We have the pleasure to inform you that you are offered appointment as DMD, subject to
thefollowingtermsandconditions:

1.
Your appointment will commence on 01122014 on you submitting ajoiningletteron
thestartofworkinghoursonsuchdate.

2.
Magic Television reserves the right to require you to perform such duties as it may
reasonablyrequiredfromtimetotime.

3.
You will report directly to theADVISER (Operation). The company may require you
to report only the ADVISER and you are work strictly in accordance with the
instructionsoftheADVISER(Operation).

4.
Your place of work isat Dhaka. TheCompanymayrequireyou toworkatsuchother
placeorplacesastheCompanymayreasonablyfromtimetotime.

5.
You are required to servea probationary period of 6 (six)Monthsandonsatisfactory
completionofwhichyourappointmentwillbeconfirmed.

6.
Within this probationary period you have to plan a proper channel administration
policy, implementation road map and apply a corporate administrative backbone of
theCompany.

7.
You will be paidthefollowingsalaryandallowances(lessapplicabletaxes)monthlyin
arrears on or before the day ofeach month (except for benefits accruing or payable
otherthanonmonthlybasis):

Companywithout2Eidbonus.Eidbonuswillbethefullbasicofnetpayablesalary.

You will be facilitatedby a vehicle with necessary support and maintenance for your
officialmovementonlyaftersatisfactorycompletionofprobationaryperiod.
Yearly increment, provident fund, gratuity, group life insurance coverage and other
admissiblefacilitywillbegivenasperCompanypolicyandpractice.
You may not during or after the end of your employment disclose to anyone other
than in the proper course ofyour employmentanyinformationofaconfidentialnature
relatingtotheCompanyoritsbusinessorcustomers.
YouwillberesponsibleforCompanysAdministration.

You have to advise the ADVISER (Operation) of the Company as well regarding
bettermentofworkingenvironmentanddisciplinarycoexistenceoftheCompany.
You shall abide by policies of employment with the Company issued from time to
time.
You will not serve or give interviews / enter into any contract for job(s) in any other
television broadcast organization / Newscompany/Agency/Productionorganization
/ News paper / Online news site or will not maintain any relationship with another
business or financial concern either part time or full time and or with or without
remunerationwhatsoever.
Your servicece is terminable without any cause by you or the Company by 1 (One)
months notice or payment of 1(One)monthssalaryinlieuofnotice.However,inthe
event you breach any of the terms and conditions ofyouremployment,theCompany
mayterminateyourservicewithimmediateeffect.
You shall be bound by the terms, conditions, policies, rules and regulations for the
wholetermofyouremploymentwiththeCompany.
You have to carry out your duties honestly, sincerely and diligently and do everything
within your domain of powers and duties and the responsibilities to safeguard the
interestsoftheCompany.
YouhavetoactloyallyandfaithfullytowardstheCompanyinallmatters.

You shall not be allowed to accept loan from any person or persons without the
consentinwritingoftheCompany.
The interpretation, construction, effect and enforceability of this appointment letter
shallbegovernedbythelawsofBangladesh.

It should be noted that your work with Magic Television requires that you maintain, at all
times, a proper level of confidentiality and appropriate business practices in your dealings
withandfortheCompanyanditsManagement.

You are to signify your acceptance of this offer on the terms and conditions mentioned by
signingtheduplicateofthisletterandreturnthesametotheCompanyby01.12.2014.
