Module Aims
Corporations today are not only the most effective vehicle for performing industrial and
commercial activities, but they are also major social and economic institutions of
stupendous size and power affecting the lives of all in the society. The recent recession,
or the Satyam or Harshad Mehta or Enron scams are a running commentary on this.
Corporate law is no more a component of private law, but has emerged as part of public
law.
This course will dwell upon statutes, their impact on case law, economic implications of
laws, the role of the Securities and Exchange Board of India (SEBI), dissection of scams
etc.
Module Objectives
On successful completion of this course students will:
1. Know the basis and evolution of corporate law
2. Understand formation of companies
3. Identify constituting documents of companies; powers, organs and agents of
companies (such as general meetings; board of directors; corporate restructuring mergers and acquisitions; company liquidation; winding up)
.

What is corporate law? The background of Companies Act
1956. What is the importance of this Act?

incorporation of a company.
Memorandum of association. Doctrine of ultra vires.
