Official Rules

The Official Rules of the 2015 ARMSTRONG Flag Day Giveaway Photo Contest (the
Rules) are as follows:
A. SPONSOR

Apex Tool Group, LLC (Sponsor), 14600 York Road, Suite A, Sparks, MD 21152 is the
sponsor of the 2015 ARMSTRONG Flag Day Giveaway Photo Contest (the Contest).
The Contest is in no way sponsored, endorsed or administered by, or associated with,
Facebook
B. TERM

The Contest will begin May 15, 2015, at 5pm, Eastern Time. All entries
by those participating in the Contest (Entrant or Entrants) must be received
by 11:59pm Eastern Time on June 7, 2015, Eastern Daylight Time. Entrants are
responsible for determining the entry times in their local time zones.
C. WHO MAY ENTER

The Contest is open only to individuals (Entrants) who are residents of the United
States residing in one of the 50 United States or the District of Columbia and are at least
18 years of age, or the age of majority in their state of residence, whichever is older, as of
the time of entry. If you are not a resident of the United States or you are not the required
age as of time of entry, you are not eligible to participate in this Contest or to win a Prize.
D. HOW TO ENTER

To enter, follow @armstrongtools on Instagram. Post only photo(s) that capture

Armstrong Branded Tools with the user and their place of business/work. Instagram
accounts must be public for entries to qualify. Photos must be the Entrants original
work. Tag the photo(s) #ArmstrongMUSAFlagDay.
During the registration period, you may enter the Sweepstakes through the Sponsors
official page on Facebook (www.facebook.com/armstrongtool) (the Website) by
posting a photo to the Facebook page or sending a direct message to the Facebook Page
administrator. It will be necessary for the entrant to submit a photo that they feel best
represents the ARMSTRONG brand utilizing an Armstrong tool and taken at their place
of business/work in the photo to be eligible for a prize. After completing this step the
entrant will automatically will receive one (1) entry into the Contest. Deadline for
registration is 11:59 PM ET on the last day of the Contest Period. Valid contest entries
must be received by the Websites administrator on or before the deadline for registration.
Normal Internet access and usage charges imposed by your Internet service provider or
telecommunications provider will apply. Internet entries will be deemed made by the
authorized account holder of the Facebook account submitted at the time of entry. All
entries become property of the Sponsor and will not be returned.
Ineligible Entries:
Each entry submission must be manually key stroked and manually entered by the
individual entrant; automated and/or repetitive electronic submission of entries (including

but not limited to entries made using any script, macro, bot or sweepstakes service) will
be disqualified and transmissions from these or related email or IP addresses may be
blocked. Entries will be disqualified if found to be incomplete and/or if prohibited
multiple entries are determined.
Alternative Method of Entry:
Individuals may also enter by sending a mail-in entry containing their name, address and
telephone number and/or email address to Apex Tool Group, 14600 York Road, Suite A,
Sparks MD 21152, ATTN: FAY/ Armstrong Flag Day Giveaway. Deadline for receipt of
mail-in entries is 11:59 PM ET on the last day of the Sweepstakes Period.
The Sponsor is not responsible for entries not received due to difficulty accessing the
internet, service outages or delays, computer difficulties or other technical problems.
When applicable the website administrator's computer will be deemed the official time
keeping device for the Sweepstakes promotion.
D. CONDITIONS OF PARTICIPATION:
If the entrant is unable to verify eligibility information the entrant will automatically be
disqualified and their prize will be forfeited. The Sponsor is not responsible for any
change of email address, mailing address and/or telephone number of entrants.
Notification is deemed to have occurred immediately upon Sponsor placing a
congratulatory post on the Sponsors official Facebook page
(www.facebook.com/armstrongtool) referencing the winner by name or by sending of an
e-mail or any other form of communication Company may use to contact the winner.
E. CONTEST PRIZES

a) The Editors Choice winners will receive a 3x5 Nylon American Flag constructed
with sewn stripes, embroidered stars, reinforced fly ends and nylon thread. These nylon
United States Flags can be used outdoors and are designed to resist fading or fraying.
White header and brass grommets to insure maximum durability and all MADE IN THE
USA. These prizes have an estimated value of $16.
F. JUDGING CRITERIA AND SELECTION OF CONTEST WINNER

The Editors Choice contest winner will be selected by Apex Tool Groups team of
judges based on the following criteria: ability to capture Armstrong Tools Brand Image
at their place of business/work as well as technical composition and quality. Each winner
will be notified via a comment on the winning photo or by replying to their original direct
message. The winner must then email his or her name and email address to
Armstrong@apextoolgroup.com. Decisions of the Contest judges and ATG, LLC are
final and binding.
G. LIMITATION OF LIABILITY

By participating in the Contest, each Entrant irrevocably agrees to release, indemnify,

defend, and hold harmless ATG and its partners, affiliates, and subsidiaries, and their
respective employees, officers, directors, agents and representatives from any claims,
losses, liabilities, and damages, including, but not limited to, those arising out of: an
Entrants participation in the Contest, any Contest-related activity, a breach or violation

of the Rules, and/or the acceptance of any prize awarded for the Contest.
H. PRIVACY/TERMS OF USE

Participation in the Contest constitutes each Entrants consent to a Sponsors use

of his or her name, likeness, biographical information, and/or state of residence
for promotional purposes in any media without further notice, further payment or
consideration; and (b) Sponsors use of Entrants personal information as outlined in
Sponsors privacy policy located at http://www.armstrongtools.com/privacypolicy
I. CONDITIONS

The Contest is governed by the laws of the State of Maryland, U.S.A., and entrants
consent to exclusive jurisdiction and venue of the courts located in Baltimore County,
Maryland in any claim relating to or arising from this Sweepstakes.. All federal, state, and
local laws, regulations,
and restrictions apply. The Contest is void where prohibited or restricted by law.
By participating in the Contest, each Entrant agrees and/or warrants:
1. To be bound by the Rules;
2. The decision of the judges and ATG, LLC is final and binding on all matters relating to
the Contest;
3. Each entry is original and the Entrant is the sole and exclusive owner and rights
holder of the submitted entry (or if not, that he or she has obtained the release and
consent necessary to include the entry in the Contest);
4. He or she has the right to submit an entry for the Contest;
5. All entries submitted do not infringe upon any third-party rights, including, but
not limited to, copyright, trademark, patent, trade secret, publicity, or confidential
information rights; If the Contest winners cannot be traced or do not respond within three
days to ATG, LLC after receiving a winner notification, or if the Contest winners refuse
their respective prizes or are ineligible for the prizes awarded, the prize(s) will be
forfeited and ATG, LLC in its sole discretion, may choose whether to award the forfeited
prize(s) to another Contest Entrant. In the event of a dispute as to the identity of any
winner based on an Facebook or Instagram account, the winning entry will be declared
made by the authorized account holder of the e-mail address submitted at time of entry.
Authorized account holder is defined as the natural person who is assigned to an e-mail
address by an Internet access provider, on-line service provider, or other organization
(e.g., business, educational, institution, etc.) that is responsible for assigning e-mail
addresses for the domain associated with the submitted e-mail address. Sponsor reserves
the right in its sole discretion to disqualify any individual it finds to be tampering with the
entry process or the operation of the Contest, or to be acting in violation of these Rules or
in an unsportsmanlike or disruptive manner.
J. RIGHT TO CANCEL, SUSPEND THE CONTEST, OR REMOVE SUBMISSION

ATG, LLC reserves the right to cancel, terminate, modify, or suspend the Contest at
any time and for any reason. ATG, LLC also reserves the right to remove any Entrants
submission in its sole discretion.
K. BINDING AGREEMENT

These Rules form a legally binding agreement between ATG, LLC and each Entrant with
respect to the Contest. Each Entrant should ensure he or she has read these Rules
carefully. Entrants may not submit an entry to the Contest and will not be eligible for
the prizes described in the Rules unless they agree to these Rules. The submission of an
entry in the Contest constitutes an Entrants agreement to
these Rules.
L. TRADEMARKS:

All trademarks and registered trademarks used on the Website and in the Sweepstakes are
the property of their respective owners.
