THIS SALE DEED is executed at Gurgaon on this _____day of April, 2010


between Shri Jagmohan Krishan Dang son of Shri Krishan lal Dang resident

of K 140, South City I, Gurgaon (hereinafter called the VENDOR


which expression shall unless repugnant to the context of this sale deed
mean and include his heirs, successors-in-interest, legal representatives,
survivors, administrators, executors, nominees and assigns etc. ) on one
hand.
AND
(1) Shri Dharmendra Bhandari son of Shri D.P. Bhandari, resident of House
No. A-126, Sushant Lok, Phase I, Gurgaon and (2) Shri Sunil Satija son of
Shri T.L. Satija, resident of House No. A-125, Sushant Lok Phase, I,
Gurgaon (hereinafter called the VENDEES) which expression shall
unless repugnant to the context of this sale deed mean and include their
heirs, legal representatives, administrators, executors, survivors, nominees,
assigns etc.) on the other hand.
WHEREAS the VENDOR is the lawful owner in possession of agricultural
land bearing Rect. no. 64, killa nos. 1/1 ( 6-15), 10/1/2 ( 1-13) to the extent
of 156/168 share which comes to 7 kanals 16 marlas situated in the revenue
estate of Hayatpur, Tehsil and District Gurgaon. This land holding had been
purchased by the VENDOR vide sale deed dated 26.02.2008 bearing vasika
no. 27400 on payment of valuable sale consideration amounting to Rs.
50,70,000/-(Rupees fifty lacs seventy thousand only). Mutation bearing no.
2287 was sanctioned on the basis of aforesaid registered sale deed.
Accordingly VENDOR became full fledged and lawful owner in possession
of the said land and is competent and entitled to execute and register instant
sale deed in favour of the VENDEES.
WHEREAS the VENDOR is desirous of selling the said land together with
all rights, easements etc. appurtenant thereto for his bonafide needs. The
VENDOR has approached the VENDEES for sale of the said land
hereinbefore described and the same is being sold in favour of the
VENDEES on the terms and conditions set out in this sale deed.
NOW THIS SALE DEED WITNESSETH AS UNDER:1.

That the total sale consideration in respect of said land and all rights

appurtenant thereto has been settled at Rs. 54,00,000/- ( Rupees fifty


four lacs only) The total sale consideration amount has been paid by
the VENDEES to the VENDOR in the following manner:i)
Rs. 27,00,000/- (Rupees Twenty Seven lacs only) vide cheque
bearing No. 045714 dated 3.4.2008 drawn on Corporation Bank,
SCF No. 87-88, Sector 14, Gurgaon, issued by Mr Dharmendra
Bhandari.

Rs. 27,00,000/- (Rupees Twenty Seven lacs only) vide cheque


bearing No. 053054 dated 3.4.2008 drawn on Corporation Bank,
SCF No. 87-88, Sector 14, Gurgaon, issued by Mr Sunil Satija.
The VENDOR has thus received the entire sale consideration from
the VENDEES in respect of said land and all rights appurtenant
thereto and no amount whatsoever is outstanding or payable to them
towards any account by the VENDEES.
That the VENDEES have become full fledged and lawful owner in
possession of the said land alongwith all rights appurtenant thereto
and VENDEES shall be entitled to hold and enjoy the same absolutely
without any let, hindrance, interruption, disturbances, claim or
demand from the VENDOR or any person claiming under or through
the VENDOR. The VENDOR has not been left with any right, title or
interest whatsoever with the aforesaid land. Actual physical
possession has been delivered at the spot to the VENDEES.
That the stamp and registration expenses have been incurred by the
VENDEES.
That the VENDEES shall be entitled to use and utilize the said land
in any manner deemed fit by them and the VENDOR undertakes not
to raise any objection to the same. The VENDOR has assured the
VENDEES that he has got a clear marketable title in respect of the
said land and that he is entitled to sell the same to the VENDEES.
VENDOR has further assured the VENDEES that the said land being
sold is free from all types of encumbrances, acquisition proceedings,
charges, taxes, liens, loans, restraint orders attachments etc. and no
litigation or dispute whatsoever is pending in respect of the same
before any court or authority. VENDOR has further assured the
VENDEES that he has not entered into any agreement of sale in
favour of any other third party relating to the said land.
That VENDOR further undertakes that in case any outstanding
amount or dues, taxes, charges or liens etc. are discovered
subsequently in that event the VENDOR and his estate shall be liable

to pay/satisfy the same. The VENDOR has assured the VENDEES


that the said land is his self acquired property and he is competent
and entitled to alienate the same without any claim of any heir/legal
representative/dependent/relative/family member.
That the VENDOR has assured the VENDEES that there are no
dues, cesses, rates or taxes due or outstanding to any one in respect of
the said land being sold to the VENDEES by virtue of this deed and in
case any such dues are found payable the same shall be paid by the
VENDOR.
That in the event of said land / part thereof being lost to the
VENDEES on account of defective title of the VENDOR or on
account of any concealment on his part, the VENDOR shall
recoup/indemnify the VENDEES for such loss together with all
litigation expenses incurred by the VENDEES and damages suffered
by them.
That the VENDOR is not left with any right, interest or title in the
said land which has become the absolute property of the VENDEES.
That the VENDEES shall be entitled to get sanctioned mutation on
the basis of this sale deed and to get their names reflected as owners
in possession of the said land subject matter of this sale deed in the
revenue records. VENDOR undertakes not to raise any objection to
the same. VENDOR shall execute all such documents and do all
requisite acts, deeds and things as may be required for getting
incorporated names of the VENDEES in revenue records in terms of
this sale deed.
