1.

The Name of the Company is DOBSINA LIMITED

2.

The Registered Office of the Company will be situated in Nigeria.

3.

The Objects for which the Company is established are:

(a)

To engage in the business of general contracts; general merchandise, trading,

import and export service; petroleum products, crude oil upstream, mainstream
and downstream sectors such as searching, wining, transportation, refining,
storage, sales, distribution and marketing. Manufacturing, sales and distribution
of chemicals, paints and other allied products; mining of general solid minerals
(which includes but not limited coal, gypsum, limestone); mechanized and
manual farming services and agriculture processing which includes but not
limited to rearing of livestock, poultry, feed milling, arable and variety of crops
farming, manufacturing, processing and distribution of agricultural products.

(b)

To carry on the business of supply of all forms of farm and agricultural

implements, machinery, tools, equipment, agro chemicals and agro allied
products. And to carry on the business of production, processing, packaging,
sales and distribution of arable and fruits product millers and manufactures of
cereal products (which includes but not limited to cornflake, custard), flour,
juice, juice-milk, egg products, powdered milk, water (which includes but not
limited to sachet and bottle water), wines, drinks, beverages and all kind of food
products and processing.

(c)

To carry on the business of export, import, buying, selling and supply of

computers, electronics, printing machines, printing materials and to operate
media, printing press, publishing, supermarket and departmental stores,
stationary stores, building materials sales and production, book production and
sales. And to carry on the business of production, manufacturing, processing
and packaging of cloths and label.

(e)

To engage in the business of transportation, haulages, car rental, automobile

sales, borehole drilling, cold room, cyber caf, business center services,
provider of telecommunication system and telephone accessories, sales and
service.

(f)

To do all such other things as may be considered incidental or conductive to the

attainment of the above objects or any of them.

The company is a private company.

5.

The liability of the members is limited by shares.

6.

The Share Capital of the Company is One Million Naira (N1,000,000.00k)

divided into 1,000,000 Ordinary shares of N1.00k each.

We, the several persons whose names and addresses are subscribed hereunder,
are desirous of being formed into a Company in pursuance of this Memorandum of
Association, and we respectively agree to take the number of shares in the capital of
the Company set opposite our respective names.
