00 ARTICLES OF AGREEMENT
2.1

ARTICLES OF AGREEMENT made to day 12 th of September, 2002 BETWEEN PT.

WIETASHA PUTRINDO WISATA whose registered office is situated at, Jl. Pantai Kuta, Kuta,
Bali Indonesia, hereinafter called the Employer which expression shall include his of its
heirs, personal representatives, successors and assigns of the one part and MADE DAPIR
whose registered office is situated at Jl. By Pass Ngurah Rai No. 52XX, Sanur, Denpasar,
hereinafter called the Contractor which expression shall include his or its heirs, personal
representatives and permitted assigns of the other part.

2.2

WHEREAS the Employer is desirous of the Execution of Bathroom Renovation Project

Alam KulKul Resort Kuta, Construction, hereinafter called the Works at ALAM KULKUL
RESORT KUTA, BALI Indonesia and has caused Drawings, Specifications, Contract
Documents and Bills of Quantities showing and describing the work to be done, to be
prepared by, or under the direction of Cdesign, his Supervisor.

2.3

AND WHEREAS the Contractor has supplied the Employer with a priced copy of the said
Contract Documents AND WHEREAS the said Drawings (hereinafter referred to as the
Contract Drawings), and the Contract Documents have been signed by or on behalf of the
parties hereto.

2.4

NOW IT IS HEREBY AGREED AS FOLLOWS :

2.4.1 For the consideration hereinafter mentioned the Contractor will upon and subject of the
Conditions annexed hereto carry out and complete the works shown upon the Contract
Drawings and in said Specifications and Conditions to the entire satisfaction of the Architect
and Employer.
2.4.2 The Employer will pay to the Contractor the Fixed Price Lump Sum of: Rupiahs Two Billion
Three Hundred Thousand Million (Rp. 2,300,000,000,00), Hereinafter referred to as the
Contract Sum or such other sum as shall become payable hereunder at the times and in the
manner specified in the said Conditions.
2.4.3 The Term Supervisor in the said Conditions shall mean the said Cdesign, or in the event of
his death or ceasing to be the Supervisor for the purpose of this contract, such other person
as the Employer shall nominate for the purpose, not being a person as the Employer shall
object for reasons consideration to be sufficient by the Arbitrator appointed in accordance
with Clause 17 of the Conditions. Provided always that no person subsequently appointed to
be the Supervisor under this Contract should be entitled to disregard or overrule any
certificate or opinion or decision or approval or instruction given or expressed by the
Supervisor for the time being.

2.4.4 The following documents are hereby incorporated by reference;

a. Contract Document complete with the Form of Tender, Articles of Agreement, Condition of
Contract, Preliminaries and Bill of Quantities.
