Vendor Services Agreement for VETRI VELAN LAND PROMOTERS

This agreement is made on this the _______ Date______ year Two Thousand and fifteen
by and between:
(Here in after referred to as VETRI VELAN LAND PROMOTERS with a principal
place of business at SALEM
AND
Placement Company, life care business services
VETRI VELAN LAND PROMOTERS wishes to engage the services of Life care
business services, which is in business of providing professional services (herein referred
to as life care business services)
1. Term of Agreement:
a. This agreement shall be made effective from the date first mentioned above and
shall continue for a limited period of one year. This agreement gets
automatically renewed unless called off by either party.

2. Services:
a. Life care business services will provide, from time to time as requested by
VETRI VELAN LAND PROMOTERS, Services to or for the benefit of
VETRI VELAN LAND PROMOTERS by providing resumes of candidates
suitable to specification/details (as per the written job profile and other written
communications) mentioned in VETRI VELAN LAND PROMOTERS
resource requirement.
b. The Life care business services shall identify and shortlist suitable candidates
(Prospects) as per the written job profile and other written communications
provided by VETRI VELAN LAND PROMOTERS , after proper screening
and evaluation of such Prospects.
c. The Life care business services shall act as interface between VETRI VELAN
LAND PROMOTERS and the P r o s p e c t s and shall be responsible for
arranging meetings, discussions and interviews of the Prospects with VETRI
VELAN LAND PROMOTERS.
3. Selection of Professionals:
a. VETRI VELAN LAND PROMOTERS shall provide any information with
regard to skill or experience of the professional required or any other
information, which is needed by the Life care business services to service the
VETRI VELAN LAND PROMOTERS request in a timely manner.
b. Upon the Prospects being selected and confirmed by VETRI VELAN LAND
PROMOTERS for the specified job and thereupon accepting and joining
VETRI VELAN LAND PROMOTERS for the specified job, the Life care
business services shall be paid consideration (200), schedule for which is in
point no. 10 (Plus applicable taxes, charges, expenses, cess or levies) for its
efforts in identifying, referring and assisting in engaging the Prospect (the
Prospect identified and referred to by the Life care business services, upon
joining VETRI VELAN LAND PROMOTERS, shall be referred to as
Employee) for VETRI VELAN LAND PROMOTERS.

c. In case the candidate refuses to join VETRI VELAN LAND

PROMOTERS after accepting the offer, life care business services
will provide an alternate candidate of equivalent or with better caliber,
who is available to join VETRI VELAN LAND PROMOTERS.
d. Once candidate presented by Life care business services it will be
treated as Life care business services candidate for next one year and if
VETRI VELAN LAND PROMOTERS recruits the candidate by any
sources including other vendor or its own recruitment team, VETRI
VELAN LAND PROMOTERS would still reward the placement fees
to the Life care business services.
4. Relationships:
a. A life care business service asserts that it is an independent vendor,
which offers its services to other organizations as and when required.
This agreement does not constitute joint ventures or agency relationship
between Life care business services and VETRI VELAN LAND
PROMOTERS. VETRI VELAN LAND PROMOTERS agrees that
it will have no right to control or direct the details, manners or means
which life care business services uses to accomplish the results of
services performed.
5. Non-Disclosure:
a. Life care business services agrees to hold confidential and not use for its
own benefit or any other parties benefit, any secret or confidential
information acquired by Life care business services or its referred
employees by virtue of services performed in accordance with this
agreement. Information shall be considered secret or confidential only if
explicitly stated as such and communicated to Life care business
services in writing. Confidential information shall not include any
information, which is previously known to life care business services,
is publicly disclosed either prior to or subsequent to life care business
services or its referred employees receipt of such information, or is
rightfully received by life care business services from a third party
without obligation of confidence.

6. Termination:
VETRI VELAN LAND PROMOTERS may terminate this agreement giving a
30 days notice at any time. Life care business services may as well terminate this
agreement with 30 days prior notice.
7. All disputes in connection with or arising out of this Agreement shall be
submitted to one arbitrator. The arbitration shall be governed by the
provisions contained in the Arbitration and Conciliation Act, 1996 of India. The
venue of arbitration shall be Salem. The language of arbitration shall be
English. The fees of arbitration will be borne equally by both parties.
8. Subject to arbitration specified in the foregoing clause, all disputes arising out of
or in connection with this Agreement shall be subject to the exclusive
jurisdiction of the courts situated in Salem
9. Service Tax: Would be levied on every Invoice as per applicable rate
10. Service Charges:
To life care business services, fees payable on placement of a potential candidate with vetri
velan land promoters Shall be based on working below which is Cost to the vetri velan land
promoters (Guaranteed Annual Salary of Candidate).
Additionally:
a. The life care business services shall raise the invoice for Fees for the
services rendered under this Agreement (Invoice) after its Prospect has joined vetri
velan land promoters, which will be cleared within 15 days from the date of raising
the invoice.
b. The life care business services will give the vetri velan land promoters a 4
months Guarantee (instead of usual 3 months found in market) for all employees
placed with the vetri velan land promoters. The life care business services will
provide FREE REPLACEMENT for candidates who leave the services of the vetri
velan land promoters AT THEIR OWN WILL or being terminated by the vetri velan
land promoters during the stated 4 months period starting from the Date of Joining.

IN WITNESS WHERE OF this Agreement has been executed by authorized signatories of
