UCLA Head Coach Agreement AMENDMENT NO. 3 For good and valuable consideration, the receipt of which is hereby acknowledged by the parties, the 2012 Head Coach Agreement (“HC Agreement”) effective December 13, 2011, by and between The Regents of the University of California, on behalf of its Los Angeles campus (“UCLA”), and UCLA Head Football, Coach James L. Mora, Jr. Coach”), is hereby amended for a third time as follows, subject to those approvals as are required under University of California policy. The effective date shall be the day such approvals are finalized by University of California. L_Amendment to Section 5 of the HC Agreement The period of employment is amended to end January 15, 2022. II, Amendment to Section 6 of the HC Agreement Under Section 6.b of the HC Agreement and Amendment No 2, Section Il, Talent Fee is amended as follows: vii. Contract Year 9 (ending January 15,2021): $3,450,000 viii, Contract Year 10 (ending January 15, 2022): $3,450,000 IIL, Amendment to Section 7 of the HC Agreement ‘The first sentence of the first paragraph of section 7 of the HC Agreement shall be modified to read: “Coach shall be eligible to cam additional compensation in the form of the following performance bonuses which may accumulate to a total of no more than $1,065,000 annually.” Section 7.a. of the HC Agreement shall be amended to read: a, Academic Performance: Payment of any of the following bonuses will require the certification of the Faculty Athletic Representative and will be paid within 30 (days) of such certification, Coach shall be eligible to earn a bonus from each of the eight categories below, up fo a maximum cumulative total of $145,000 per year. All Academie Performance Rate (APR) related bonuses are cumulative and use a single year calculation rate. Coach shall receive a bonus of $25,000, if the Graduation Success Rate for the team, calculated in accordance with NCAA rules and guidelines, exceeds 56 percent i. Coach shall receive a bonus of $25,000 if the Academic Progress Rate (Gingle year) as caleulated by the NCAA is equal to or greater than 930, Coach shall receive a bonus of $10,000 if the Academic Progress Rate (single year) as calculated by the NCAA is equal to or greater than 940. 1 Initials: iv. Coach shall receive a bonus of $10,000 if the Academie Progress Rate (Gingle year) as calculated by the NCAA is equal to or greater than 950. v. Coach shall receive « bonus of $10,000 if the Academic Progress Rate (Gingle year) as calculated by the NCAA is equal to or greater than 960. vi. Coach Shall receive a bonus of $15,000 if the Academie Progress Rate (Single year) as calculated by the NCAA is equal to or greater than 970. vii. Coach shall receive a bonus of $15,000 if the Academic Progress Rate (Gingle year) as calculated by the NCAA is equal to or greater than 980. viii. Coach shall receive a bonus of $25,000 if the Academic Progress Rate (single year) as calculated by the NCAA is equal to or greater than 990. A new section 7.e. added to the HC Agreement, as follows: ¢, Final Season Rankings. Coach shall be eligible to earn a bonus from final team rankings as noted by the final Associated Press (AP) poll. These figures are cumulative, ‘The bonus shall be paid within thirty (30) days of the release of the final poll. i, Team Top 10 Finish (including ties): $25,000 ii, Team Top 5 Finish (including ties): $25,000 IY. Amendment to Section 11 of the HC Agreement Under Section 11.c.i of the HC Agreement, Coach’s Termination dates and amounts are amended as follows: a. If notice of termination is given before January 16, 2017: $2,000,000. of termination is given before January 16, 2018: $1,700,000. ‘ of termination is given before January 16, 2019: $1,350,000. d. Ifnotice of termination is given before January 16, 2020: $1,000,000. Amendment to Section 12 of the HC Agreement ‘Under Section 12.a of the HC Agreement, Termination Without Cause, and in accordance with Amendment No. 2. Section V. dates and amounts are deleted, and replaced with: “Bighty percent of the Base Salary and Talent Fee remaining to be paid in Section 6.b. of the Agreement, as amended by Amendment No 2. Section II, and this Amendment No.3 Section TI.” ‘This Amendment No. 3 supersedes any previous Amendments, whether oral or written pertaining to the subject matter herein. In all other respects, those terms of the HC.
