For value received in the amount of the Principal Amount, the Borrower hereby promises to pay to the order
of the Lender the Principal Amount and Interest according to the Payment Method and pursuant to the terms and
conditions set forth herein.
In the event that the Borrower fails to pay any part of the principal or interest as and when due under this
Note; or the Borrower becomes insolvent or does not pay any and all of its debts as they become due, the Lender shall
have the right, at its sole and exclusive option, to declare this Note immediately due and payable, and in addition to
any other rights and remedies that Lender may have.
And that, in the event that the Borrower is unable to fulfil his obligations upon this Note, the Guarantor has
the obligation to settle the amount due to the Lender in partial or full of the Principal Amount and Interest accrued as
deemed fit by the Lender. The Lender has the right to exercise any legal action against the Borrower and/or the
Guarantor upon violation of any terms agreed upon this Note.
All of the foregoing is the promise of Borrower and Guarantor and shall bind Borrower and Guarantor. The
Borrower and Guarantor may not assign any of its rights or delegate any of its obligations hereunder without the prior
written consent of the Lender. This Note shall be governed by, and construed in accordance with, the laws of the
Philippines.
