    1. S 141, CA 2001: Table of RR.
    S 140(1): Effect of RR have effect
    as a contract.
    2. Can only enforce provisions that
    apply as officers, e.g:
    S. 201G, CA 2001: Co may appoint a
    director by resolution in general
    meeting of shareholders.
    S. 198A, CA 2001: Management
    powers of the directors.
    202A, CA 2001: Remuneration of
    directors determined by resolution.
    SECT 203C
    Removal by members--proprietary companies
    (replaceable rule--see section 135)
    A proprietary company:
    (a) may by resolution remove a director from office; and
    (b) may by resolution appoint another person as

    a director instead.

    204F, CA 2001:

    Terms and conditions of


    service including remuneration of secretary.
    These are to be determined by directors.
