B. This Deed embodies the agreement between SELLER and

BUYER for the sale of the Motor Vehicle.
IT IS AGREED:
1. For and in full consideration of the amount of FIVE HUNDRED
THOUSAND PESOS (P500,000.00), the SELLER assigns,
transfers and conveys to BUYER all his rights, title and interest
in the Motor Vehicle.
2. SELLER makes the following representations and warranties in
favor of BUYER:

(ii) The Motor Vehicle

all

liens

(iii)
There is no action, suit or proceeding before any
judicial or administrative body, court or agency pending

having a material adverse effect on, or the validity or
enforceability of this Deed;
(iv)
BUYER shall acquire good and valid title to the Motor
Vehicle; and
(v) The Motor Vehicle is in good running condition.
3. This Deed shall be binding upon the successors and assigns of
the parties.
