ABOUT THE LEGAND


Radhika Roy is Co- founder and co-chairperson of the NDTV .Radhika Roy
is married to her school friend Prannoy Roy and they have a daughter Tara
Roy. Radhika is the sister of Rajya Sabha member and CPI (M)
politician, Brinda Karat.Radhika Roy is the guiding force behind NDTV and
has been responsible for leading NDTV's tremendous growth since
inception. With her editorial and production expertise, Radhika advises her
team to set benchmarks in programming formats. Radhika Roy has over
ten years of experience in print journalism, with leading publications such
as "Indian Express" and "India Today. In the mid-80s, she recognized the
endless possibilities that TV offered as a news medium and co-founded
NDTV.

Journey on Radhika Roy


Radhika Roy at first worked with leading publications such as Indian
Express and India Times for ten years.
In the mid-80s, she recognized the endless possibilities that TV
offered as a news medium and co-founded NDTV.
(NDTV= New Delhi Television Limited).
Mrs. Roy served as a Managing Director of New Delhi Television
Limited until July 29, 2011.
Now, she serves as Executive Director of New Delhi Television Ltd.

Attitude towards work-life balance:

Sebi initiates action against NDTV, Prannoy


Roy, Radhika Roy, and RRPR Holdings
A day after leading media house New Delhi Television Ltd (NDTV) said it has been
issued show-cause notices by the Securities and Exchange Board of India (Sebi) for
alleged violation of takeover norms for failing to make timely disclosures to
exchanges with regard to share transactions of its promoters Prannoy
Roy and Radhika Roy the market regulator initiated approved enforcement action
against NDTV, its promoters and RRPR Holdings.

While NDTV claims that the violations in the notice are merely procedural, Sebi in a
notice issued on 8 June 2016 said: "...(Sebi) conducted an examination of certain noncompliance by you in the matter of NDTV Ltd and prima facie found that you have
violated SEBI Act, 1992 and SEBI (Substantial Acquisition of Shares and Takeovers)
Regulations, 1997 (Takeover Regulations). In view of this, SEBI has decided to

initiate/ launch adjudication proceedings against you under section 15A (b) of
the SEBI Act for the alleged violation."

However, NDTV has told the exchanges that: "The Company is of the opinion that the
alleged non-compliance referred in the show-cause notice (SCN) are
technical/procedural in nature. The Company and its Promoters are in the process of
seeking legal advice to take appropriate action in the said matter."

Meanwhile, Sebi in its notice has also said, in case NDTV desires to avail settlement
of the said proceedings, it can file an application in terms of Regulation 3(1) of the
said Regulations with two months.

Sebi observed non-compliances after complainant Quantum Securities alleged


multiple disclosure violations by NDTV, its promoters and major shareholders. Based
on the allegations made by Quantum and the information provided by the
exchanges, Sebi noticed a slew of non-compliances.

Sebi has found disclosure discrepancies with respect to the below mentioned
deals:

1) General Atlantic sold 7.73% to promoters

2) India bulls Financial Services bought 6.40% in NDTV on 1 January 2008.


However, the information was not disclosed to the exchanges for over seven years

3) NDTV promoters entered into an agreement with Goldman Sachs for the sale of
14.99% stake held in NDTV. Dates of sale: April 17, 2008 and July 14, 2008

4) NDTV promoters acquired 20.28% stake in the company on July 3, 2008.


However, the company informed the BSE on July 3, 2015, and NSE on January 14,
2016

5) Both Prannoy and Radhika Roy acquired 5.5% each in NDTV from RRPR
Holdings

6) There are also some discrepancies with respect to annual disclosures by the
company. The company either failed to disclose information to NSE about its annual
filing or did so with a massive delay.

NDTV withdraws case against government's


Sagarmala project:
Limited has withdrawn its case before the National Green Tribunal
against the government's Sagarmala project. It had filed the petition
claiming that indiscriminately building new ports under the scheme
would damage the Indian shoreline further.

The green tribunal in an order September 16 recorded


that NDTV "wishes to withdraw this Application with liberty to file a
fresh Application after averring proper facts, grounds and relief that
would squarely fall within the ambit and scope to Section 14 of
the National Green Tribunal Act, 2010."

In effect, the media company withdrew the application a year after it


had filed the case but it has kept its options open to apply with a
fresh petition at a later stage if it so decided. But, responding to
queries from Business Standard, the media company claimed it had
been asked by the tribunal to withdraw the application.

It said, "We have been directed by the Court, to withdraw our


application and file the application afresh, with additional and up to
date facts and information. We are currently in the process of
collating the necessary information and shall be re-filing the
application before the NGT shortly."

Business Standard had recently reported about NDTV's petition


which had been filed in 2015 but had not gathered attention so far.
The NDTV's legal recourse had come four years after it ran a
programme series on the environmental degradation to the Indian
coast line. Besides asking for halting work on all new ports as an
interim measure NDTV had asked the tribunal that civil and criminal
action be taken against authorities, governments and private
companies for causing damage to the coast due to their neglect,
oversight or complicity.

It had asked for a complete port policy overhaul, the creation of a


restoration fund and a cumulative environmental, economic and
social impact assessment to decide the "the necessity of
new ports and, if needed, the possible locations where a limited
number of ports and harbours could be developed on sound
scientific criteria."

It had made the central government and various port authorities


across the states party to the case. Most of them, including the
central government had not responded for months leading the
tribunal to even threaten some with penalty and warrants for arrest.
Those who had responded in the case had challenged the petition
on grounds of the right of the company to file such a case and
failing limitation period - the time within which someone can file a
case before the green tribunal under the National Green Tribunal
Act. The order of the NGT acknowledging that NDTV wished to
withdraw its application refers to section 14 of the Act which refers
to the ambit of the tribunal to listen to cases "where a substantial
question relating to environment" is involved as well as the
limitation period for filing such cases.

A case needs to be filed within a "period of six months from the date
on which the cause of action for such dispute first arose". In its
original petition NDTV had claimed the case was within this time

period as it was in response to government's announcement in 2015


of the Sagarmala project.

It is not ascertainable if NDTV withdrew its application in response to


oral suggestions from the tribunal, as the company claims but the
NGT final orders dismissing the case do not suggest so.
