Terms and Conditions

This quotation is based upon one round of sample only per deliverable.
Danniyeh Royal Gifts requires a down payment of 50% of each phase prior to the start of the work, and 50% of the
remaining sum upon completion of the phase. Please note the amount is excluding VAT and excluding travel and
expenses.
Costs for illustrations, (buy out of) photography, couriers, research agencies, brand registration, global legal checks,
external presentations are not included. In case the scope and/or planning change, DRG reserves the right to charge
additional costs for time spent.

The General Terms and Conditions of Danniyeh Royal Gifts apply to this agreement. All intellectual property rights
arising from the work commissioned will vest in Danniyeh Royal Gifts

Delivery is 90 days from the date of approved pre-production sample. Acceleration procedures may be adopted during
production (if possible) without jeopardizing quality of the goods.

General Terms and Conditions

Concept Design
a)

All design work (Designs) is created by Al Danniyeh Royal Gifts (ADRG) and all costs associated with the Design
have been borne by ADRG;

b) ADRG retains ownership of the Designs and reserves the right to take legal action if the Designs are used in anyway
whatsoever without ADRG's prior written consent;
c)

Should the client at any time whatsoever wish to use the Designs, ADRG may grant a license to the client for a fee to
be negotiated at the time, and the client further agrees to enter into a license agreement to give full effect to the
right of using ADRG's Designs;

d) All Designs remain confidential, should a third party require any information whatsoever regarding the Designs, the
client must obtain ADRG's prior written consent.
Sampling Product Development Costs
a)

One round of sampling applies to custom made goods any further requests to customize are chargeable to the
customer account

b) Should any delays arise in approval process which results in inability to deliver as per the agreed lead times and
then a cancellation occurs. The client is liable to pay all expenses incurred as part of the production development
process.
Payment Terms
a)

Non-negotiable 50% in advance (Advance Payment) and the remaining balance to be paid in full on delivery (Final
Payment).

b) Please consider and obtain all associated internal written approvals prior to issuing any purchase orders to ADRG.
c)

The client is deemed to have obtained all written internal approvals upon the issue of the purchase order by the
client to ADRG of the Advance Payment.

d) Any failure by the client to comply with the purchase order and payments terms gives ADRG the right to claim for all
costs, expenses and losses incurred due to ADRGs reliance on the purchase order.
e)

ADRG will not commence production of the design (the Goods) until ADRG receives the Advance Payment.

Validity
a)

This quotation for the (the Goods) is valid for 3 days and subject to revision upon expiry.

Delivery
a)

Delivery .. (Due Date). Acceleration procedures may be adopted (if requested by the client) during
production (if possible) to deliver to the client without jeopardizing quality of (the Goods)

b)

ADRG will advise the client immediately of any time delays due to any public holidays outside the United Arab
Emirates but ADRG will ensure that such matters are factored into the Due Date.

c)

ADRG is not responsible for any unforeseen delays, including but not limited to, delay in shipment of the Goods or
any part of the Goods caused by an Act of God, a tempest at sea, political insurrection, strike, lockout, riot or civil
commotion, breakdown of machinery, fundamental failure in utilities (water, electricity, phone), natural disasters,
fire, government interference, delays at customs, war and any other matters that can be categorized as a force
majeure.

d) ADRG is unable to commence delivery of the Goods until the client confirms in writing to ADRG that the Final
Payment is ready for collection. Inspection and Final Payment must happen simultaneously.
e)

Manufacturing/ production requires extensive collaboration with various external parties under ADRGs business
umbrella. will bear the full risk associated with timely completion and delivery by the Due Date if they fail to comply
with clauses 1, 2 and 4 of the Terms & Conditions of this purchase order.
