Lease Agreement ‘This Lease Agreement is made and entered into this 9" day of December 2013 by and between 4, Gulf United Real Estato Investments Company O.P.C., organized under the laws of State of Qatar, with its head office at Doha, Qatar, P.O Box 3805, and with Commercial Registration Number 41080 (the "Lessor") represented by the Authorised Signatory of the Lessor: (On one part, and; 2, Mis. 7Brothers Group Holding of P.O. Box 3805, Doha, with commercial registration no. 48393, telephone no, +974 44359502, fax’ no. #974 44955504 and email sabeer@7bholding com the "Lessee", represented by the Authorised Signatory ofthe Lessee; On the second part; RECITAL WHEREAS, the Lessor owns a compound which is known as the "Najma Building" and located in Najma Area (the “Building"); WHEREAS, the Lessee wishes to rent the Unit Number 12 “2 Bedroom" Un-furnished unit (the Unit’) located at the Building with Electricity meter no. 131278: Water meter no. 95478: and the Lessor wishes to rent the Unit to the Lessee, in accordance with the terms and conditions of this Lease Agreement. (Together, the Lessor and Lessee are the “Parties’ and individually, each is a “Paty’) NOW AND THEREFORE, the Parties hereby agree as follows’ Article The above Recitals shall constitute an integral part of this Agreement, and shall be binding on the Parties, Article ‘The Lessor hereby leases to the Lessee the Unit Number 12 and the Lessee hereby leases the same from the Lessor, in accordance with the Terms and Conditions of this Lease Agreement. The Lessor acknowledges and agrees that such grant of lease includes a right by the Lessee to utilize all ‘common areas of the Building, communally with other persons residing in the Building 3 The Lessor agrees that the Unit will be Un-furnished, for those items inside the Unit under this Lease ‘Agreement, each of which shall be included in the Unit and provided for the use of the Lessee of the Unit. The Lessee agrees that the lease of the Unit under this Lease Agreement is only for the purposes of family accommodation, ‘This Lease Agreement shall become effective as of 1" January 2044 and shall continue fora torm of cone (1) year (ihe “Initial Term’), unless terminated sooner as provided in Aiole 7 hereof The Initial Term shall be renewable for a successive period of one (1) year by a written agreement between the Parties at least thirty (30) days prior to the end of each term, unless terminated as provided in Article 7 hereof (any such renowal term and the intial Term are hereinafter, the "Term’) 1 of4 wat. 4 POB0x:805, Doha, Gata, Tel: (1974) 44385601, 44409705, F (ove te Shoe (9974) 44509405, 4489706, E-mail gullunted@gue.com.qa_ www gue.com.qa Article 4: RENTAL The Lessee agrees to pay the Lessor the rent during the Initial Term to end of intial term (inclusive) a sum of QR §,000/- per Month (Qatar Riyals Five Thousand Only) in respect of rent and forall costs in respect of maintenance and security services (the *Utilly Services’) (logether, the rental sum and cost of Utlity Services is the "Monthly Rent’) The Monthly Rent shall be paid on the beginning of the Initial Term in advance by 12 post dated cheques to the Lessor at his office, the Lessor shall not deposit any rent cheque prior to its due date. During any renewal term which follows the Initial Term, the Monthly Rent shall be as agreed between the Parties, following good faith negotiations between them, Article 5: SECURITY ‘The Lessee agrees to pay a sum of QR 5,000/- (Qatar Riyals Five Thousand) by undated cheque as, ‘a Security Deposit, which shall be held by the Lessor for the due observance and performance of the Lessee's obligations contained herein, and the Lessor shall at the expiry of the Term refund to the Lessee the Security Deposit less the Lessor’s cost of replacing any of the items inside the Unit under this Lease Agreement, where the same have been materially damaged by the Lessee during the Term, Article 6: PARTIES’ OBLIGATIONS, Lessee Obligations 1. The Lessee shall use the Unit for family accommodation throughout the Term. 2. The Lessee declares that it received the Unit in good, clean and habitable condition and that it shall return them to the Lessor at the end of the Term in a condition which is similar to the Condition in which took occupancy of them, subject to fair wear and tear. 3, The Lessee shall not make any structural alterations, structural changes or structural additions to the Unit nor remove or fix any fittings or fixtures such as electric wires or water pipes during the Term of this Lease Agreement, without the Lessor’s written permission, such permission not to be unreasonably withheld . 4, The Lessee agrees not to carry out any material modifications, repairs or adjustment to the Unit without Lessor's prior written permission, such permission not to be unreasonably withheld. 5, Subject to Paragraph 1 in this Article 6, the Lessee shall neither sublease nor assign the Unit either wholly or partially during the Tetm. . 6. The Lessee shall use the Unit as agreed and for residential (and not commercial) purposes. 7. The Lessee shall be liable for any damage or destruction of the Unit which it directly causes, All other damage and destruction shall be the responsibilty of the Lessor, and the Lessor agrees to repair or otherwise remedy such damage or destruction as quickly as is reasonably possible. 8. The Lessee shall pay of the bills for Electricity, Water, Qatar Cablo Vision and Qatar Telecom which are received for their respective services rendered to the Unit, within a reasonable and timely receipt of the same. 9. The Lessee shall not move its furniture from the Unit without prior written notice to the Lessor. ‘The Lessee shall ensure that at the time of vacating the Unit, it has paid all amounts owing to the Lessor. 10, The Lessee shall at any time when requested by the Lessor permit the Lessor or his representative at reasonable time to enter the Unit to cany out the necessary maintenance Moreover, the Lessor or his representative shall be allowed to at anytime to enter the Unit in 2014 gL yar ‘event of emergency, to carry out the necessary maintenance, repairs or inspection for the protection of the Unit and the entire bui Lossor Obligations 1. The Lessor shall be responsible for any and all sewer or water rent, charge, rates, taxes, duties and charges whatsoever imposed by the State of Qatar which are now or may be hereafter imposed upon or payable in respect of the Unit. 2. The Lessor covenants with the Lessee to permit the Lessee to have quiet possession and enjoyment of the Unit during the Term, without any interruption by the Lessor or anyone claiming under or through or in trust for the Lessor, save as specifically provided herein 3. The Lessor hereby covenants and agrees at all times during the Term of this Lease ‘Agreement to maintain and keep in force all risks property insurance in an amount of the full replacement costs, insuring all of the property owned by the Lessor in or affixed to the ‘Compound. 4, The Lessor agrees to maintain the common areas of the compound in good condition, and to respond promptly to all reasonable writen requests by the Lessee for repair to the Unit TERMINATION 1. The Lessor may terminate this Lease Agreement and require the Lessee to vacate the Unit upon {ten (10) days writen notice to the Lessee of any of the following reasons: a) If the Lessee fails to pay the Monthly Rent within ten (10) days of it becoming due PROVIDED thal Lessor notifies Lessee in writing of such failure to pay the Monthly Rent within a period which is not more than ten (10) days after such Monthly Rent becomes due, b) Ifthe Lessee subleases or assigns the Unit either wholly or partaly to anyone other than its slaff during the Term of this Lease Agreement and does not recify such prohibited subleasing or assignment within ten (10) days of its receipt of a writen notice from the Lessor advising it of the same or within ten (10) days of i otherwise becoming aware of such situation. ©) If the Lessee uses the Unit for purposes in a manner which conflict with public order or ‘ethics, or Is otherwise harmful to the interests of the Lessor PROVIDED THAT where any of the same occurs, the Lessor shall immediately notify the Lessee of such matter and provide the Lessee with an opportunity to rectify the situation within ten (10) days of the Lessee’s receipt of such notice 4) Ifthe Lessee materially violates any of his obligations under Article 6 of this Agreement and. does not reasonably rectify such violation within ten (10) days of its receipt of a writen notice {rom the Lessor advising it of the same. 2, The Lessee may terminate this Lease Agreement by giving one month prior written notice to the Lessor if his employment in Qatar should cease (either by resignation or termination) and he or she has to leave the country. In such case, the Lessee shall provide the Lessor with copies of the necessary documents to evidence such cessation of employment, such as, () cancelled visa, (i) Employer Termination Letter, or (ii) Employee Letter of Resignation of employment. In this case ‘no penalties shall be applied to the Lessee, and the Lessee shall be immediately released from his obligation to pay Monthly Rent as of the end of the month notice period specified above in this Paragraph b of this Article 7 provided that he handover the unit key at the same time in good ‘condition as he receive it, and the Lessor shall immediately return to the Lessee all the remaining post dated cheques specified in Article 4 above plus the security deposit less than the Lessors ‘cost of replacing any of the items in the Unit under this Lease Agreement, where the same have been materially damaged by the Lessee during the Term. \ sats Article 8: TERMINATION CONSEQUENCES If this Agreement is terminated by the Lessor in accordance with Aticle 7 above: 1. The Lessor may keep the Security Deposit as liquidated damages for the Lessce's breach of this, Agreement; and 2. The Lessee shall pay to the Lessor the Monthly Rent due in respect of the Unit the subject of this Lease Agreement for the remaining period of the Initial Term or the relevant renewal term, as applicable (where the Initial Term has been renewed) PROVIDED THAT such Lessee obligation to pay the Monthly Rent in accordance with this Paragraph 2 of Article 7. Article 9: GOVERNING LAWS ‘This Agreement shall be subject to the laws of State of Qatar. Article 40: JURISDICTION If any dispute arises from execution of this Agreement, Qatar Courts shall be the Competent Courts. Article 44: SEVERABILITY any Provision or part of this Agreement is void for any reason, it shall be severed without affecting the validity or the balance of this Agreement. Article 12: AGREEMENT LANGUAGE The Language of this Agreement is the English Language and all Correspondence to be given under this Agreement shall be in English. Article 13: NOTICES ‘Any Notice to be given hereunder to either Party shall be deemed properly given when personally delivered, sent by fax or e-mail, with the original sent by courier, to the address of such Party as set forth at the beginning of this Agreement, each Party shall notify the other Party of any change to his address as state above al the beginning of this Agreement, Article 14: AGREEMENT COPIES ‘This Agreement is made out in two original copies.
