Dear Mr.Upendra Verma,

Subject: YOUR ENGAGEMENT AS SAP Technical Consultant

Subsequent to the discussions we had with you today, we are pleased to engage your services,
on consultancy, as SAP Technical Consultant effective January 9, 2015. Following services will
be rendered by you.
Your responsibilities include but not limited to the following:
1. Responsible for participation in the implementation or as a lead member in a development
project.
2. Responsible for performing integrated testing of system.
3. Responsible for overall planning for development and testing.
4. Responsible for understanding architecture and design principles.
5. Responsible for understanding specifications and turn them into solutions.

You may be deputed to work at our clients place or you may be transferred from one Section
/ Department / Unit / Establishment / Cost Center / Location to another whether existing or
to be set up in future, whether in India or abroad forming part of our Organization / Associate
Organization / Group Organization.
You shall not directly or indirectly apply to any position at the Client places while you are
deputed with such client. You shall inform and obtain prior consent/permission from the
Management before applying to that position. Further, you shall not apply to any position/s
or get into any kind of Business engagement with the Companys client places for a minimum
period of 6 months from the date of your closure of this contract at Pacecom Technologies
Private Ltd.
The term of your engagement with the organization is valid as per the validity of PO issued by
our client where you will be working and extendable based on the further extension of the
PO. In consideration of the above service rendered by you, you will receive a consolidated pay
of 70 % of the billing value as agreed mutually, subject to deduction of applicable taxes,
effective January 9, 2015.

During your association with our organization, you will be bound and governed by the policies
and guidelines in force in the company. We would expect your professional conduct on all
matters to consistently reflect the high standards of integrity and competence as member of
our organization.
