GENERAL CONDITIONS OF SALE

These general terms of sale, which are given below, define the principles of cooperation.
1. CONDITIONS OF DELIVERY
1.1. SATEL undertakes the realization of delivery on the basis of the order which is sent to the headquarters of SATEL by mail, fax or e-mail.

1.2. DISTRIBUTOR is bound by the order placed.

1.3. Subject to the clause 1.4 below, not later than on 3 working days after receiving the order SATEL shall send to DISTRIBUTOR by fax or email a
Proforma Invoice.
1.4. SATEL can refuse to accept the order placed and inform DISTRIBUTOR of the reasons.
1.5. Unless otherwise agreed by the Parties, the deliveries shall be conducted on EXW terms, as defined in INCO-TERMS 2010.
1.6. All delivery costs including custom clearance, insurance and transport costs shall be carried out by DISTRIBUTOR.
1.7. The orders shall not be proceeded and the Products shall not be dispatched if DISTRIBUTOR is in delay with any payment. SATEL may refrain
from fulfilling any and all its obligations when DISTRIBUTOR is in delay with its obligations.
2. PRODUCT ACCEPTANCE
2.1. At the moment of receiving the Products DISTRIBUTOR is obliged to check the quantity and possible visible faults of the Products. Any claim
should be notified to SATEL within 7 days. In case of no claims it is assumed that the Products were delivered in the quantity and quality as in the
order.
3. PAYMENT
3.1. The Price of the Products shall be defined in accordance with the valid SATEL price-list.
3.2. Payment terms, Banks account number, total amount shall be presented within Proforma Invoice issued by SATEL.
3.3. The date of payment is the date in which the payment is registered on the bank account of SATEL.
4. RESPONSIBILITY OF SATEL
4.1. In case of faulty Products, claims of the persons, to whom DISTRIBUTOR has sold or otherwise transferred the Products, shall be submitted to
DISTRIBUTOR only. Subject to the absolutely binding regulations of law, SATEL has no responsibility whatsoever towards the persons, to whom
DISTRIBUTOR has sold or otherwise transferred the Products.
4.2. The responsibility of SATEL for the defects of the Products, including the responsibility arising from the guarantee lasts 36 months from the
date of purchase by DISTRIBUTOR, and does not cover the faults, which were caused by an event out of SATELs control, including improper
storage, moving or fitting of the Products.
4.3. Any further responsibility of SATEL arising from the defects of the Products, including the guarantee or warranty, is excluded. In addition to
that stated above, SATEL has no product responsibility and no responsibility for possible damages resulting from a product default.
4.4. SATEL shall not be liable whether by way of indemnity or by reason of any breach of contract or in tort (including but not limited to
negligence) for any indirect, special, incidental or consequential losses or damage such as loss of use of the Products, loss or alteration of data,
loss of profit, property damages, personal injuries, governmental fines or penalties or any other financial or economic loss or damage whatsoever,
howsoever arising even if SATEL has been informed of the possibility of such damage or loss.
5. MISCELANNEOUS
5.1. The products delivered by SATEL, including their software, hardware and design, are intellectual property of SATEL. The same applies to
promotional materials submitted by SATEL. DISTRIBUTOR is obliged to take all measures to protect the intellectual property of SATEL.
5.2. These General Conditions constitute standard conditions of contracts as per Art. 384 of the Civil Code and shall apply in contracts of sale of
the Products by SATEL. Deviations from these Conditions shall not apply unless agreed by SATEL in writing.
5.3. Disputes arising out of or in connection with the contract shall be brought before the common court, competent for SATEL registered office.
5.4. The Polish law will govern all transactions between the Parties.
