Confidential Disclosure Agreement
AGREEMENT
THIS CONFIDENTIAL DISCLOSURE AGREEMENT (the Agreement) is
made effective as of ______________________________, by and between
___________________ (the Company), and
_____________________________________________________________(the Recipient), to
assure the protection and preservation of the confidential and/or proprietary nature
of information to be made available by the Company to Recipient in connection with
discussions or negotiations between the parties regarding a proposed business
relationship. Any earlier dated Confidential Disclosure Agreement is superseded by
this Agreement.
The parties hereby agree as follows:
1.
Subject to the limitations set forth in Section 2, all information
disclosed by the Company to the Recipient, whether in oral, written, graphic or
electronic form, shall be deemed to be Proprietary Information. In particular,
Proprietary Information of a party shall include, without limitation, technical and
non-technical data, information with respect to or know-how, including, but not
limited to, that which relates to research, patents and patent applications, trade
secrets, proprietary information, trade-marks, business names, trade names, trading
styles, trade dress, service markers, logos, domain names, products, services,
customers, markets, software, developments, inventions, processes, designs,
drawings, engineering, compilations of data, other works of authorship,
improvements, discoveries, information regarding plans for research and
development, new products, marketing and selling, business plans, budgets and
unpublished financial statements, licenses, prices and costs, suppliers, customers,
licensees and strategic partners, the existence and terms of any business
discussions, negotiations or agreements to which such party is a party and
information regarding the skills and compensation of other employees or
consultants of a party.

Know-how excludes know-how learned by the Recipient, its employees,
officers, directors and consultants in the course of performing services that is of
general efficacy to its professional practice (General Know-How). The Recipient
acknowledges and agrees that General Know-How will be used subject to its
obligations with respect to Confidential Information (including not to misappropriate
KSI Proprietary Information under this Agreement, and not to infringe KSI Intellectual
Property).

Trade Secret means confidential information of the Company which is
related to a trade or business that derives independent economic value, actual or
potential, from not being generally known to, and not being readily ascertainable by
proper means by other persons who can obtain economic value from its disclosure
or use, and is the subject of efforts that are reasonable under the circumstances to
maintain its secrecy.

The term Proprietary Information shall not include information
which the Recipient can demonstrate by competent written evidence: (a) is now,
or hereafter becomes, through no act or failure to act on the part of the Recipient,
generally known or available; (b) is known by the Recipient at the time of receiving
such information, as evidenced by its written records; or (c) is hereafter furnished to
the Recipient by a third party, as a matter of right and without restriction on
disclosure.
5.
The Recipient shall maintain all Proprietary Information in trust and
confidence and shall not disclose any Proprietary Information to any third party or
use any Proprietary Information for any unauthorized purpose. In particular, the
Recipient shall not file any patent application containing any claim to any subject
matter derived from the Proprietary Information. The Recipient may use such
Proprietary Information only to the extent required to accomplish the purposes of
this Agreement hereto and for no other purpose. Proprietary Information shall not
be used for any purpose or in any manner that would constitute a violation of any
laws or regulations, including, without limitation, the export control laws of Canada.
No rights or licenses to trademarks, inventions, copyrights, patents or any
other intellectual property rights are implied or granted under this Agreement.
Nothing in this Agreement grants the Recipient the right to retain, distribute or
commercialize any Proprietary Information, or to use it in any other manner other
than the limited manner set forth above. The Recipient agrees that it will not in any
way attempt to obtain, either directly or indirectly, any information regarding the
Proprietary Information from any third party who has been employed by, provided
consulting services to, or received in confidence information from, the Company.
Proprietary Information shall not be reproduced in any form except as required to
accomplish the intent of this Agreement.
6.
The Recipient shall advise its employees, consultants and agents who
might have access to Proprietary Information of the confidential nature thereof
and agrees that its employees, consultants and agents shall be bound by the
terms of this Agreement.
The Recipient shall not disclose any Proprietary
Information to a third party without the prior written agreement of the Company.
The Recipient shall not disclose any Proprietary Information to any employee,
consultant, agent or third party who does not have a need for such
information. The Recipient may not reverse engineer, decompile or disassemble the
Proprietary Property or product lines of the Company.
7.
All Proprietary Information (including all copies thereof) shall at all
times remain the
property of the Company and shall be returned to the Company after the
Recipient's need for it has expired, or upon request of the Company, and in
any event, upon completion or termination of this Agreement provided that the
Recipient may retain one copy of such Proprietary Information for legal and archival
purposes.
8.
Notwithstanding any other provision of this Agreement,
disclosure of Proprietary Information shall not be precluded if such disclosure is in
response to a valid order of a court or other governmental body of competent
jurisdiction of Canada or any political subdivision thereof or is other- wise required
by law or regulation; provided, however, that the Recipient shall first have
given notice to the Company and shall have made a reasonable effort to obtain a
protective order requiring that the Proprietary Information so disclosed be used only
for the purposes for which the order was issued or the law or regulation required or
to seek other confidential treatment of such information.
9.
This Agreement shall continue in full force and effect so long as the
Company continues to disclose Proprietary Information to the Recipient. This
Agreement may be terminated by either party at any time upon ten (10) days
written notice to the other party. The termination of this Agreement shall not
relieve the Recipient of the obligations imposed by Sections 3 through 13 of this
Agreement which shall survive any such termination and continue for a period of the
(3) years from the date of such termination except for the disclosure of Trade
Secrets as defined in Clause 3, and the prohibition in Clause 6 not to reverse

If any dispute arises between the parties with respect to the matters
covered by this Agreement which leads to a proceeding to resolve such dispute, the
prevailing party in such proceeding shall be entitled to receive its reasonable
attorneys' fees, expert witness fees and out-of-pocket costs incurred in connection
with such proceeding, in addition to any other relief it may be awarded.
IN WITNESS WHEREOF, the parties have, by duly authorized persons,
executed this Agreement, as of the date first above written.
