KNOW ALL MEN BY THESE PRESENTS:

This agreement, made and executed in the City of Baguio, by and betweenREYNATO DELA CRUZ, Filipino, of legal age, single and a resident of 098,
Greenwater Village, Baguio City, herein referred to as the First Party;
-andHERMAN ZUNIGA, Filipino, of legal age, single, and a resident of Lower
Magsaysay, Baguio City, herein referred to as second partyW I T N E S S E T H:
WHEREAS, the first party is the owner of a motor vehicle which is more
particularly described as follows, to wit:

Series Pride GLX 1991 Turbo
Serial/Chassis No.: NQST744113556004933
Motor No.: NI6758860
WHEREAS, the first Party is lending to the second party;

NOW THEREFORE, the parties agree that the First Party shall give the
above vehicle for the use of the Second Party for his personal use for a period of
one six (6) months from the execution of this agreement and that the Second
Party shall be liable for any and all accident that may take place during the
period when said vehicle is in his possession.
IN WITNESS WHEREOF, the parties have here unto set their hands this
20 day of July 1993 at Baguio City.
