between the Dcxoocraiic Party of Albania, a political parry ("DPA") and Sotrington Strategies, a
division of Muzia Capitol Partners, a Mao'tond-based company (*^amtoaT> (collectively the
PARTIES).
Scon* of Work: DPA wishes to engage Stomngtontoassist with the "Troject", comprised ofthe
following;
Designing and implementing a political campaignforthe 2017 elections.
Promoting the vision and goals ofthe Dercocratic Party of Albania in the press, and to
business sod politicalfiguresin the United States and internationally.
RcsetireJticg and devising strategics to promote Ihe conservative movement hi Albania,
Stonirtgton shall engage in research and promotional activities to advance the aims of the Project.
Stcaingion shall provide professional services consistent with customary efforts In (he public
affairs industry, and shall use best efforts to obtain success for the Project; however, Stooiiigtou
cannot guarantee a successful outcome for (he aims ofthe Project

Fees and Exntntes; In consideration of Stonington's work under this AGREEMENT, DPA wil
pay Stoitrngtan $25,000 USD per month for three numths. Three payments of $25,000 USD will

Compliance with AonlicabU haws: DPA and Strmington agree to comply with all applicable
laws and any regulations and/or rules arising out of this AGREEMENT. Where required by law,
Stonisgton shall register its services under the Lobbying Disclosure Act ("LDA") or, if required,
the Foreign Agents Registration Act ("FARA").

Indemnification: DPA agrees m defend, indemnify and held harmless Stonmgtonfromany and
all liabilities,tosses,claim, damages,rtrmsrvls,sahx causes of actions, judgments, costs or
expenses (Including attorneys*feesand disbursements) which may incur as a result of any
damage or injury sustained as a result ofDPA's breach of warranty or representation, negligence,
willful rj&iscoaduct, fraud, atsrepresentation, or violation of law.

SevemMBrv: If any pan of this AGREEMENT is held to be uncnrorcenblc, void, overly
burdensome or invalid, then the remaining parts shall continue to be valid and enforceable as
though the invalid portions were not a pan.
Sutvrvqf; AU ofthe warranties and representations contained m this AGREEMENT stall survive
termination of this AGREEMENT.
Govemina Law and Forum Srfecrttm Oauw: This AGREEMENT shall be construed in
accordance with and governed by the laws ofthe District of Columbia. The PARTIES expressly
agree that the District of Columbia and Us laws have a reasonable relationship with one or both of
the PARTIES. The Federal district courtforthe District of Columbia shall have sole and
exclusive jurisdiction of any action arising out of this AGREEMENT nor^nthstarjdiiig where the
breath may occur or where this AGREEMENT is signed. This provision shall be construed ai a
mandatory, and not a permissive, forum selection clause.
Termination: This AGREEMENT may be terminated upon 30 days written notice by either
party, without cause, notwithstanding die other provisions witiim lots AGREEMENT, however
BT shall be baste for any outstanding fees due and payable under this agreement at Utt time of
term nation.
Entire VndttstasuDnt: this AGREEMENT contains the entire understanding between the
PAR1TES with respect to this subject manor and supersedes all prior and contemponuvous
understandin&s relating to this subject matter. No amendment, modiGcatkto or waiver of mis
AGREEMENT may be accomplished without a written instrument signed by bom PARTIES.
