MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

This Memorandum of Agreement is made and entered into by and between:

THICK & THIN AGRI-PRODUCTS, INC., a domestic corporation,

duly organized and existing under and by virtue of laws of the Philippines,
with business address at #148 Sitio Bisita, Duhat, Bocaue Bulacan and
represented herein by its Sales Manager, CHARLIE HSIEH, and hereinafter
referred to as FIRST PARTY;

-and-

SOROSORO IBABA DEVELOPMENT COOPERATIVE (SIDC),

a duly registered cooperative under the Cooperative Development Authority
and with business address at Sorosoro Ibaba, Batangas City represented by its
Chief Executive Officer, HON. RICO B. GERON hereinafter referred to as
the SECOND PARTY;

WITNESSETH;

WHEREAS, the FIRST PARTY is an entity primarily engaged in the

manufacture and marketing of quality hogs and poultry feeds bearing the registered
name ATLAS NUTRITION;

WHEREAS, the SECOND PARTY is an entity primarily engaged in the

integrated business of feed manufacture, meat and food processing, banking, savings
and loans business;

WHEREAS, the FIRST PARTY in its desire to support the marketing

program, push for volumes and market share of the Big Boy Line of Piglet Feeds
Product, and to maintain a business relationship with the SECOND PARTY, has
come up with a marketing support fund in the amount of Seven Hundred Thousand
Pesos (700,000), Philippine Currency.

NOW, THEREFORE, for and in consideration of the foregoing premises and

the mutual covenants herein set forth, the parties hereto have agreed as follows:

1. That the effectivity and period of coverage of this Memorandum of

Agreement shall commence from the period of January 1, 2017 to
December 31, 2017;

2. That during the period of coverage, the SECOND PARTY shall commit
itself to purchase from the FIRST PARTY a target volume at least One
Hundred Fifty Thousand Pesos (Php150,000.00) bags of piglet feed
 (credited as 25kg per bag) or equivalent to 3,750 metric tons of piglet
booster and piglet pre-starter within the contract period of 12 months;

3. That during the duration of the contract , the SECOND PARTY shall abide
with the same credit term of 15 days and other arrangements; and

4. That it is clearly understood by both parties that only perfected sale and
payment within the agreed term shall be included in the computation of
such target/quota or rebate.
