CHARGING ORDER REGARDING GRAND LODGE MEMBERSHIP
MANAGEMENT SYSTEM, LLC

THIS COURT, having reviewed Clifton Croan and Enigami System, LLCs (Enigami)
Motion for Charging Order (the Motion); the Affidavit of Judgment Creditor in support
thereof; and being otherwise fully advised in the premises, hereby

GRANTS the Motion.

IT IS HEREBY ORDERED that, pursuant to COLO.REV.STAT. 7-80-703, the interest

of Judgment Debtor Ashley Buss, (the Judgment Debtor) in GRAND LODGE MEMBERSHIP
MANAGEMENT SYSTEM, LLC is charged with payment of the unsatisfied amount of the
judgment entered by this Court on September 18, 2013 (the Judgment);

IT IS FURTHER ORDERED that:

1. Judgment Debtor and GRAND LODGE MEMBERSHIP MANAGEMENT

SYSTEM, LLC shall pay to Enigami Systems, LLC all present and future distributive shares of
proceeds, distributions, credits, drawings, or payments of which Judgment Debtor would be
entitled, whether or not Judgment Debtor normally draws full distributive share thereof, until the
entire unsatisfied balance of the Judgment, plus interest, is paid in full;
2. GRAND LODGE MEMBERSHIP MANAGEMENT SYSTEM, LLC shall not
make any loans to any members or anyone else until the entire unsatisfied balance of the
Judgment, plus interest, is paid in full;
3. GRAND LODGE MEMBERSHIP MANAGEMENT SYSTEM, LLC shall not
acquire any capital assets or accomplish any unnecessary repairs and/or additions to membership
property, whether real or personal, which will dissipate or reduce the membership cash which
might otherwise be available for distribution to Judgment Debtor, until the entire unsatisfied
balance of the Judgment, plus interest, is paid in full;
4. GRAND LODGE MEMBERSHIP MANAGEMENT SYSTEM, LLC shall not
sell, encumber, or modify any membership interest or property, whether real or personal, without
prior approval of the Court or Enigami, until the entire unsatisfied balance of the Judgment, plus
interest, is paid in full;
5. Within ten (10) days of service of this Order, Judgment Debtor shall deliver to
Enigami full and complete GRAND LODGE MEMBERSHIP MANAGEMENT SYSTEM, LLC
documents including membership agreements and any amendments or modifications thereto;
operating agreements; books of accounts, balance sheets, and profit and loss statements for the
past two years; all state and federal tax returns filed within the past two years; and, upon ten (10)
days notice from Enigami to GRAND LODGE MEMBERSHIP MANAGEMENT SYSTEM,
LLC all books and records shall be produced for inspection, copying and examination;
6. GRAND LODGE MEMBERSHIP MANAGEMENT SYSTEM, LLC shall
provide to Enigami all future statements reflecting cash position, balance sheet position, and
profits and losses within ten (10) days of the respective accounting period when such data is or
may be generated, until the entire unsatisfied balance of the Judgment, plus interest, is paid in
full;
7. If the entire unsatisfied balance of the Judgment, plus interest, is not paid in full
within 180 days of the date of this Order, Enigami is authorized to foreclose and sell Judgment
Debtors interests in the Membership as provided by law; and
8. Upon due application, Enigami may apply to this Court to modify this Order, in
the event Enigami believes it has cause to seek the appointment of a receiver for any of the
Membership or for any other appropriate relief.
9. Breach of this Order or a Failure to comply with any of its provisions shall be
considered contempt of court and may be punishable by fine or imprisonment or both.
