We would like you to begin this expatriate assignment on September 11, 2015. HE reserves the right to
modify the anticipated length of the work at any time, for any reason, and to change your title, duties
and reporting relationships as may be determined by ME. Should modifications be made, HE will
communicate the information to you.

This offer is contingent upon your successful completion of the HE pre-employment conditions on or
before the start date which include a background check and your being free of any restrictions that might
interfere with your working for us. In addition, your employment is at all times subject to your obtaining

of the position in the assigned location, such as medical clearance, passport, visas and work permits.

Remuneration and Allowances


Your gross annualized salary will be $137,500, paid to you in semi-monthly installments in accordance
with IIE's standard payroll practices and policies. The salary offered is based on the assumption that
you will work at least 40 hours per week with no additional compensation for hours worked over 40 in
a work week. Your compensation is subject to applicable federal, state and local taxes and
withholdings (including United States social security withholdings), and any other voluntary deductions
you designate HE to make on your behalf. It is your responsibility to meet all personal tax filing
requirements, including for your country of residence and any associated foreign jurisdictions.

In addition to salary, you are eligible for allowances. Allowances are based on government and/or
sponsor-standardized rates which may change upward or downward, depending on the then- current
environment, and always subject to sponsor approval. HE reserves the right to review, adjust and/or
reallocate these amounts as your duties and obligations may warrant. Please refer to the attached
personalized Schedule of Allowances for information concerning your allowances related to your
international assignment.

Policies and Benefits

Your employment is subject to IIE's policies and procedures as they may be interpreted, adopted,
revised or deleted from time to time at IIE's sole discretion. You further agree to discharge all duties
and responsibilities hereunder faithfully and in accordance with such policies, laws, rules, and
regulations.

Professional Requirements and Conflict of Interest

A conflict of interest arises when an employee or staff person has an interest in any business or
property or an obligation to any person that could affect the employee's or staff person's judgment in
fulfilling his or her responsibilities to HE. Accordingly, IIE's employees are expected to refrain from any
activity or investment that constitutes, or might appear to constitute, a conflict of interest.

By signing this letter, you represent that you are not engaged in, nor will you engage in during your
employment with HE, any employment, business enterprise or other activity that will conflict in any way
with your duties and obligations as an employee of HE, and that you will promptly disclose any activity
that may have the potential for a conflict of interest.

General Terms
This letter contains the entire understanding between you and HE concerning your expatriate
assignment, and is intended to confirm our mutual understanding of the terms and conditions of your
expatriate assignment. This letter is not, and is not intended to be, an employment contract for any
fixed or indefinite period of time; rather, this letter sets forth the general guidelines that normally apply
to employees on expatriate international assignments. Your employment with HE is terminable at will
by either party at any time, with or without cause, and with or without advance notice. Should IIE's
agreement with its sponsor be terminated for any reason, your employment will also be terminated, as
this position is conditioned upon sponsor funding.

Your employment will be governed by and construed in accordance with the laws of New York, without
regard to principles relating to conflicts of law. The courts of the State of New York in New York
County and the United States District Court for the Southern District of New York will have exclusive
jurisdiction over the parties with respect to any dispute or controversy between them arising under or
in connection with this letter and, by execution and delivery of this letter, the parties to this letter
submit to the exclusive jurisdiction of those courts.
