    Accordingly, one of the conditions for the merger by Kroton of the shares of Estcio
    (Operation) was not fulfilled and, in accordance with the Agreement and Plan of
    MergeroftheOperationandtheresolutionstakenintheshareholdersmeetingsofthe
    CompaniesheldonAugust15,2016,approvaloftheOperationbecamevoid,withthe
    automaticterminationoftheAgreementandPlanofMerger.
