Want to file ROC? Heres a step by step guide for you!

There are many companies working in our countries and have huge turn over. Their records and
mentioned in the Registrar of Companies. This thing is mandatory under the Companies act 2013 which
focuses on the responsibilities of a company, its directors etc. You must need to know how to file a ROC
return and what documents are needed in this. Then why not we talk about the same in this article? So,
it is very much clear that today I am going to write about ROC filing and documents required for the
same. Let the article begin!

First of all lets discuss what the information you must need for filing ROC are.
1. Companies which have share capital:

These companies are administrated under the Companies act of 1956, section 159
You must fill with the authority within 30 to 60 days after their annual general meeting.
Information like address of registered office, registration of members and bond holders,
all the members (past as well as present), details of indebtness and lastly the details
concerning about the managing director, directors, secretary as well as ,managers of
that company.

2. Companies which do not have share capital:

These companies are administered under the Companies act 1956, section 160.
The authority must be filled within 60 days after the annual general meeting is held.
The information needed to be filled is address of the registered office, details of the
present members which include the date of joining of members as well as the details
regarding the annual general meeting.
The details of managing director, directors and secretary must be filled too.

Documents required for filing ROC:


1. It is important for both the companies which are having share capital or not to fill the Balance
sheet. For this, form 23AC is required to be filed in XBRL Format.

2. Whether the company is having share capital or not, it is required to maintain the profit and loss
account by both. For this, Form 23ACA is required to be filed in XBRL Format.

3. For the companies having share capitals it is important t file the Annual returns. For this, Form
208 is to require to be filed.
4. For the companies which do not have share capital, Annual returns must be filed under Form
21An.

5. Form 66 is required by the companies which have share capitals in order to file Certificate
Compliance.

Steps to fill the form:

1. You must have good internet speed (most important thing!).


2. Download the required form.
3. Details like company name, registered address etc will be filled automatically. After entering
the CIN click the Pre Fill Button.
4. Fill the rest of the form and attach the required attachments.
5. The size of the form (filled and attached with documents) must be more than 2.5 MB. If it
happens then you should use Additional Attachment Sheet.
6. After doing all the steps mentioned above click on Check form button. If there is any field
left unfilled then the system will alert you regarding this.
7. Attach the digital signature in the signature box of the form by using Sign and Save as
option.
8. Click on Pre- scrutiny button which will lock the form.
9. If Pre- scrutiny button is not functioning it means that the size of your form is more than 2.5
MB and must be modified using Modify button.
10. You must remember, in order to do any correction in the form, there is a need to do Pre-
scrutiny again.
