EQUIPMENT PURCHASE AGREEMENT

This contract is being entered into by and between

King Media Trading, a domestic company with office address at #70 Murphy Cubao, Quezon City,
Herein represented by Ryan R. Enriquez, General Manager
( otherwise known as the “SELLER” )

SOLAR INNOVATION ADS Corp, domestic company with address at 8162/E Doc.A Santos,Ave.
Herein represented by ROMMEL RIVERA, owner.
( otherwise known as the “BUYER”)

That the terms and conditions of this agreement are as follows:

1 .. PURCHASE AND SALE. SELLER hereby agrees to sell to BUYER the one (1) 3208S with 8 pcs
SPT510 Printer heads in the purchase price of ONE MILLION NINE HUNDRED THOUSAND
PESOS ONLY ( Php1,900 ,000.00)exclusive of VAT. & net of other applicable taxes.payable as
follows:
Down payment: 1ST P 500,000.00
Upon Delivery : P 276,000.00

Remaining Balance Payable in 23th months

2.1 INITIAL INSTALLATION. That SELLER’s technician is responsible for the initial installation
of the equipment at BUYER’s location. SELLER’s technician will demonstrate to BUYER the successful
operation and functions of the equipment.
2.1 BUYER RESPONSIBILITIES. BUYER shall authorize personnel to supervise the
installation of printers, participate in the on-site training, and learn or perform all responsibilities
necessary for the proper operation of the equipment.
2.2 ACCEPTANCE. BUYER shall certify acceptance in writing when installation has been
completed. Operations manual shall be provided to client as reference material.

3. WARRANTIES AND LIMITATION OF LIABILITY. The parties hereto agree and acknowledge
that the equipment delivered has the description set forth in Schedule A and is in good working condition
upon acceptance of the client.

3.1 WARRANTY. That one (1) year warranty is granted for all PRINTER MACHINES from the
date of acceptance. This includes all parts except print heads. In each installation or maintenance
form designated by SELLER shall be filled in and signed.

3.2 WARRANTY OF PRINT HEADS. That six (6) months warranty is granted upon
installation. (Printhead Dampers is not included in the Warranty ).Any damage due to improper
maintenance, physical damage made by the user is not covered by the said warranty.
3.3 WARANTY CONDITION. One (1) year warranty on parts and services (filters, pads and
all consumable items is not included in the warranty. That the warranty scope includes
breakdown due to factory defect in parts, breakdown during normal use, or damage resulting
from non-force majeure. Even within the validity period of the warranty, the following damages
shall not be covered by the warranty:

a. Breakdown caused by outside power-supply system or computer

b. Breakdown and damaged caused by collision
c. Breakdown caused by adaption or maintenance by the user without authorization.
d. Accidents or damages caused by force majeure / Acts of God.
e. Use of ink other than SPTII- Printek Ink.
 3.4 REPAIRS OUTSIDE OF WARRANTY. Installation and maintenance outside of the
warranty condition shall be serviced by the SELLER upon the request of the BUYER.
Charges for the labor and installed parts shall be for the account of the BUYER.

4. TERM AND TERMINATION. This Agreement shall commence on the date of both parties written
acceptance of this Agreement. Unless sooner terminated in accordance with this Section, this Agreement
shall continue in effect for two (2) years, and thereafter may be renewed upon the mutual written
agreement of the parties.

4.1 TERMINATION DUE TO NON-DELIVERY. In case the SELLER fails to deliver the
machine in accordance to section 2 of the agreement within 60 days from placing of down
payment, BUYER may cancel this agreement and recover 100% of the down payment from
the SELLER.
4.2 TERMINATION DUE TO DEFAULT. In case the BUYER fails to send payment
despite demand within the schedule as agreed upon in section 1 of this agreement, SELLER
may cancel this contract and recover all delivered equipment, parts and supplies from the
BUYER. All payments prior to the cancellation of this contract due to default shall be
forfeited in favor of the SELLER.

5. NON-WAIVER.A failure by either party to enforce any right under this Agreement shall not at any
time constitute a continuing waiver of such right or any other right, shall not modify the rights or
obligations of either party under this Agreement.

6. TRAINING. SELLER will provide 32 Hours supervision and training of printer operator. SELLER
shall not be responsible in providing printer operator and not to extent operating the business.

7. ENTIRE AGREEMENT. This Agreement is the entire agreement of the parties, and supersedes all
prior agreements and communications, whether oral or in writing, between the parties with respect to the
subject matter of the Agreement. No ammendment or modification of this Agreement shall be effective
unless made in writing and signed by King Media Trading and BUYER.
