ANCILLARY SERVICES PROCUREMENT AGREEMENT

This ANCILLARY SERVICES PROCUREMENT AGREEMENT (hereinafter referred


to as the Agreement) is entered into by and between:

Administrative Officer, ANTHONY L. ALMEDA who is duly authorized to
represent NGCP in this Agreement;

WITNESSETH:

WHEREAS, NGCP is the concessionaire which assumed the power transmission


functions of the National Transmission Corporation (TRANSCO) pursuant to
Republic Act No. 9136, otherwise known as the Electric Power Industry Reform Act
of 2001 or EPIRA;

WHEREAS, on January 15, 2009, by virtue of the congressional franchise granted


under Republic Act No. 9511, NGCP took over TRANSCOs power transmission

business;

WHEREAS, as the system operator, shall be responsible for determining, acquiring,


and dispatching the capacity needed to supply the Ancillary Services required to
maintain power quality and the reliability and security of the nationwide grid;

WHEREAS, the Ancillary Services Procurement Plan (ASPP) authorizes NGCP to

generation companies to provide sufficient ancillary services to ensure the reliability
and security of the grid;

WHEREAS, the Service Provider is the owner of the xxxx generating facility in
xxxx(the "Generation Facility), which was certified and accredited by NGCP to be
capable of providing xxxx;

WHEREAS, in accordance with the Ancillary Services Cost Recovery Mechanism


(AS-CRM), the cost of acquiring Ancillary Services under this Agreement shall be a

the Service Provider hereby stipulate and agree on the following:

1.1 For purposes of this Agreement and the Schedules, the capitalized terms
shall have the same meaning ascribed to them under Republic Act No. 9136
(EPIRA), the Philippine Grid Code (PGC), the OATS Rules, and the ASPP,
unless otherwise defined in this Agreement.

particular date of effectivity, the Agreement shall be effective on the date

3. Provision of Ancillary Services

3.1 The Service Provider shall provide NGCP with the Ancillary Services

specified in Schedule 1 of this Agreement, in accordance with the terms and

conditions set out in this Agreement, the ASPP, AS-CRM, the OATS Rules,
and all other relevant issuances of the ERC, including any amendments
thereto, subject to Clause 12.3 (Material Adverse Change).

5. Rates and Penalty

5.1 The Applicable Rates for the computation of AS payment cost shall be in

5.2 In the event that Service Provider failed to:

a. Declare the availability of its Firm Contracted Capacity on a day-ahead


basis;
b. Make available its scheduled Firm Contracted Capacity;
c. Make available its Non-firm scheduled capacity, if applicable;
d. Comply with the Ancillary Services Standard Technical Requirements
under Attachment 5 of the ASPP, as assessed by NGCP at the end of
the billing period. Note that these technical requirements are not
monitored by NGCP on a real-time basis, and is the responsibility of the
Service Provider to ensure that provision of Ancillary Services are within
the standards at all times; or
e. Comply with the dispatch instruction from the System Operator in
accordance with the ERC-approved ASPP and its Dispatch
Protocol/Guidelines, and Schedule 2 of this Agreement,

NGCP shall not pay the Service Provider the Applicable Rate for the non-
compliant interval/s. Further, NGCP shall deduct an amount equivalent to
fifty percent (50%) of the Applicable Rate for that particular scheduled
interval/s when the non-compliance occurred. Such deduction shall be
applied to the payment of the monthly AS cost.

Note that during outages that occur within Schedule 8 Outage Allowance,
Service Provider shall be exempted from the deduction of 50% of the
Applicable Rate, but shall not be paid during the affected intervals.

6. Billing and Payment

Preparation of Billing

6.1. Each Statement of Provided Ancillary Services (SPAS)shall indicate the


Ancillary Service Fees due to the Provider covering the period beginning on
the 26th day of the calendar month until the 25th day of the succeeding
calendar month (Billing Period). It shall be based on NGCPs Notice of
Ancillary Services Schedule (NASS) of the Service Providers day-ahead
ancillary services capacity nominations pursuant to Schedule 2 hereof.

6.2. Three (3) working days after each Billing Period, NGCP shall provide the
Service Provider of its SPAS.

For the avoidance of doubt, references to the approved Ancillary Services


Provider Schedule or the AS schedule in this Agreement shall be deemed to
refer to NGCPs NASS of day-ahead ancillary services capacity nominations,
as applicable.

6.3. Within three (3) working days from receipt of the SPAS, the Service Provider
shall submit to NGCP an Ancillary Services Power Bill (the AS Power Bill)
for the aggregate amount specified in the SPAS.

6.4. In case the Service Provider disputes any amount provided in the SPAS, the

stating the amount/s disputed and the grounds relied upon therefore.

The Notice of Claim shall be subject to the billing and payment dispute
mechanism set out in Clause 9 hereof.

6.5. Should the Service Provider fail to submit a written Notice of Claim in
accordance with Clause 6.4 above, it shall be deemed to have agreed with

the accuracy of NGCPs SPAS.

Payment by NGCP to Service Provider

6.6 NGCP shall pay the amount provided in the AS Power Bill including Value
Added Tax (VAT). The remittance of the VAT shall be in accordance with
ERC Resolution No. 20, Series of 2005, as may be applicable and the
protocol to be agreed upon by the Parties.

6.7 NGCPs payment for the Ancillary Services as described under Clause 6.1 to
6.3 shall be made by NGCP on the period and upon the terms provided for
under this Agreement as they are collected by NGCP from the grid users,
and in accordance with Clause 6.9. NGCP represents that it shall exert its
best efforts to ensure the timely collection of the Ancillary Service charge
from the grid users, and shall provide the Service Provider with relevant
information of its collection efficiency in respect of each Billing Period.

6.8 All payments due to the Service Provider shall be paid by NGCP in
accordance with this Agreement, provided that, at the Service Providers
option, such amounts received from NGCP may first be applied by the
Service Provider against NGCPs prior Billing Periods starting from the oldest
outstanding amounts payable.

For the avoidance of doubt, any payments made by NGCP shall be applied
first against interest; then forthe outstanding Ancillary Service Fees.

Payment Method and Timeline

6.9 NGCP shall pay the Service Provider on the last business day of the

Service Provider shall receive a pro-rata of NGCPs collection from its


customers for the Ancillary Services cost less VAT, if any, on a per grid basis
(the AS Collection). From the AS Collection, NGCP shall deduct payments
due to existing service providers with as-billed payment arrangements (the
Net AS Collection).

NGCP shall pay Service Provider the latters pro-rata share in the Net AS
Collection as Service Providers bill bears to the total sum due from NGCP to
all existing service providers with as-collected payment arrangement.

6.10 Any unpaid amount in the Ancillary Service Power Bill under Clause 6.7 shall

6.11 In the event said due date falls on a holiday or a weekend, payment shall be

6.11 The Parties shall not offset any payments made under this Agreement to any

7 ERC Approval

7.1 It shall be the Parties joint obligation to submit this Agreement for approval
of the ERC. All incidental expenses related to the securing of the ERC
approval, including, but not limited to, the filing of the proper application/s
with the ERC and/or the publication of this Agreement, shall be for the
account of the Service Provider.

8 Dispute Resolution Procedures

8.1 Where the Service Provider submits a written Notice of Claim pursuant to
Clause 6.3.b, disputing any sum included or referred to in the SPAS:

c. Following resolution of a dispute, any amount agreed or determined to be

8.2 All disputes arising from this Agreement shall be subject to the pertinent

9 Indemnity

In the event of a claim by a third party against a Party (the Indemnified


Party) arising from or in connection with any wilful act or omission of the
other Party (the Indemnifying Party) in violation of the Indemnifying Partys
obligations under this Agreement, the Indemnifying Party shall indemnify the
Indemnified Party against any liability, loss, costs, charges or expenses
incurred in connection with such third party claim, subject to the incidents
governed by Clause5.2 and Clause 10 of this Agreement, provided that
neither Party shall be liable to the other in any event for loss of profits, or for
any indirect, special or consequential losses or damages, whether arising
under tort, contract or otherwise, in respect of or in connection with this
Agreement.

10 Force Majeure

Neither Party shall be considered in breach of its obligations under this


Agreement if it is prevented from fulfilling such obligations due to a Force
Majeure Event, as defined in the OATS Rules.

Where, by reason of the occurrence of any Force Majeure Event as


described above, the Generation Facility in respect of an Ancillary Service is
unavailable to provide such Ancillary Service in accordance with the
provisions of this Agreement:

a. the Service Provider shall provide prompt written notice to NGCP of the
circumstance which it considers to be a Force Majeure Event, the
expected duration of the Force Majeure Event, the Ancillary Service
which may become unavailable as a result of such Force Majeure Event,
and other probable impact of the Force Majeure Event on its
performance or compliance with its obligations in this Agreement;
Provided, that where emergency conditions reasonably prevent the
serving of written notice, the Service Provider may serve notice by
telephone, electronic mail, telegram or facsimile, to be confirmed as soon
as reasonably possible thereafter by formal written communication;

b. this Agreement shall remain in full force and effect; Provided, however,
that the Service Provider shall, in respect of the Ancillary Service
affected thereby, be relieved from fulfilling its obligations under this
Agreement for the duration of the Force Majeure Event and its effects;

c. the Service Provider shall not be responsible, or liable, to NGCP for any
loss or damage which NGCP may incur as a result of its failure to deliver
the Ancillary Services rendered unavailable by the Force Majeure Event;

d. the Service Provider shall, in accordance with Good Industry Practice,

11 Annual Performance Evaluation

11.1 The performance of the Service Provider shall be evaluatedannually to


determine its capability to provide the Ancillary Services specified in
Schedule 1 of this Agreement based on the standards set in Schedule 6 of
this Agreement.

12 Termination

b. The affected Party may, at its option and in lieu of termination, inform the

between the Parties in respect of the subject matter of this Agreement as
applied immediately prior to the relevant Material Adverse Change.
Despite best efforts, if the Parties fail to reach an agreement within thirty

period as may be agreed upon by the Parties, the Party adversely
affected by the change in law may send a notice to the other Party
terminating this Agreement effective on the date indicated in the

contemplated in sub-clause (a) above shall include such changes which

1. full or partial inability of a Party to perform or comply with any of its


obligations or exercise any of its rights under this Agreement giving
rise to the right of the other Party to terminate this Agreement;
2. diminution of the rate under Schedule 4, including the effect of the

Provider to terminate this Agreement;
3. any significant change in the Dispatch Protocol/Guidelines under
Schedule 2 giving rise to the right of Service Provider to terminate
this Agreement;
4. imposition of additional penalties or burden on the Service Provider
not contemplated at the time of the execution of this Agreement
giving rise to the right of Service Provider to terminate this
Agreement.

12.4 Effect of Termination

In the event of termination or expirationof this Agreement, the Service Provider shall
cease to provide Ancillary Services to NGCP. Termination shall be without
prejudice to any rights and obligations of any Party which may have accrued prior to

13. Assignment

13.1 The conditions under which Parties may assign the rights and obligations
under this agreement (e.g. following a merger, sale or asset transfer) are set
out in Module A of the OATS Rules.

13.2 Notwithstanding the other terms of this Agreement the Service Provider shall
be permitted to assign, transfer, mortgage, charge or otherwise encumber all

extent such assignment, transfer, mortgage, charge or encumbrance is
made in favour of the Service Providers lenders.

14. Non-Waiver of Rights

Any failure or delay by any Party in exercising its rights under this Agreement shall

not operate as waiver by such Party, nor shall any single or partial exercise of such
right preclude any further exercise of such right. No waiver by any Party to act in
case of breach of this Agreement shall be deemed to be a waiver to act in any
subsequent breach of this Agreement.

15. Notices

Except as otherwise provided in law or regulation, all notices, demands, requests or


communications to a Party under this Agreement, or any instrument or

documentation required or permitted to be delivered by either Party to the other,


shall be in writing, unless emergency conditions exist reasonably preventing such
notice from being given.

A Party may change its address and contact numbers by notice to the other Party,
and such changed address shall be effective for all purposes of this Agreement.

16. Governing Laws, Rules and Regulations

This Agreement shall be governed by and construed in accordance with the laws of
the Republic of the Philippines and existing policies, rules and regulations,
administrative orders, and other issuances of the Department of Energy and the
ERC.

In carrying out the requirements of this Agreement, neither Party shall be required to
take actions that would violate any provision of the reliability criteria, standards,
guidelines and operating procedures of the OATS Rules or Grid Code, or applicable
governmental laws or regulations. For this purpose, each Party hereby warrants that
it has fully understood its rights and obligations under the OATS Rules, Grid Code,
and other applicable rules and regulations, including Good Industry Practices, with
respect to this Agreement.

17. Amendments

This Agreement may be amended, superseded, cancelled, renewed or extended,


and the terms hereof may be waived, only by a written instrument signed by the
Parties, or, in the case of a waiver, by the Party waiving compliance. The failure of a
Party to insist upon strict adherence to any term of this Agreement on any occasion
shall not be considered a waiver, and shall not deprive that Party of the right
thereafter to insist upon strict adherence to that term or any other term of this
Agreement.

18. Application and Incorporation of the OATS Rules, Philippine Grid Code
and Issuances.

The obligations of the Parties under this Agreement shall be governed by the OATS
Rules, the Philippine Grid Code, and other relevant issuances, orders, rules and
regulations as promulgated by proper government agencies and authorities as if
they are originally written herein. This shall be understood to include all
amendments and modifications thereof, as may be issued from time to time.

19. Severability

If any provision contained in this Agreement or any part thereof shall, for any
reason, be held invalid or unenforceable in any respect under the laws of the
Philippines or any other relevant jurisdiction, the remainder of the Agreement shall
continue in full force and effect, to the extent permitted by law, and the Parties will
negotiate in good faith to replace such provision in light of the intention of the Parties
