Introduction

To aid discussion on the introduction of an appointment system in an inner city


practice with a 'walk-in' (non-appointment) system, we surveyed, firstly, patients'
and staff members' attitudes to appointment systems, and secondly, aspects of the
functioning of the current system. Of 250 patients in the first survey 73 per cent
were against appointment systems while 24 per cent indicated that they would
consider registering with another practice if such a system were introduced.
Adverse comments about appointment systems greatly outweighed favorable ones.
Staff members perceived clear advantages and disadvantages of both methods of
consulting e.g. the 'walk-in' system was thought to be stressful due to the
unpredictable workload but thought to reduce the demand for house calls.
Appointment systems were seen as giving staff more control over consulting but as
less flexible for the patient. In the second survey of 352 patients, 17 per cent
estimated a wait of 10 minutes or less for their consultation, 62 per cent estimated
it as 10 to 20 minutes and 21 per cent as more than 30 minutes. Further, 68 per cent
of patients estimated that their consultation lasted five minutes or less and 27 per
cent indicated that the doctor seemed rushed. As a compromise between the wishes
of patients and the needs of staff, 'walk-in' morning surgeries and appointment-
only evening surgeries are now offered.

Appointment system

The appointment module is an electronic paperless application designed with high


flexibility and ease of usage, implemented in single clinics and polyclinics. The
system serves in managing appointments for different resources. The resource can
be any clinic or service, such as an Ophthalmology clinic or X-ray apparatus. Each
resource has a defined daily schedule that indicates the available time slots for
booking appointments.

Objectives of appointment system

The appointments system is a means for E-health care that allows for quick
booking and managing of patients appointments while eliminating the possibility
of reiteration of the same time slot for different patients. Only eligible people with
access remittance are consent to reserve appointments, thereby to provide the best
service for patients. Specific objectives include:

1- Establishment of a paperless environment


2- scheduling of the medical activities and services within the healthcare center
3- Optimizes utilization of medical resources at the medical center
4- increase efficiency of medical care outcome

METHOD OF APPOINTMENT
SLATE VOTING
The Board of Directors is appointed by the Shareholders Meeting on the basis of
slates submitted by the Shareholders and by the Board of Directors and in
compliance with the applicable legal framework on equal access to corporate
bodies by the less represented gender.

ENTITLEMENT TO SUBMIT SLATES


Each shareholder may submit or take part in the submission of only one slate. Only
those shareholders who, on their own or together with other shareholders represent
at least 1% of the share capital or such other percentage, if lower, established by
Consol through a regulation, are entitled to submit slates.
Ownership of the minimum shareholding necessary to submit slates must be
proven by the deadline and in accordance with the procedures provided under the
applicable legal framework in force from time to time.
Candidate slates may also be submitted by the out-going Board of Directors.
Each person entitled to vote may vote for only one slate.

COMPOSITION AND FILING OF SLATES


Each candidate may be presented on only one slate, failing which he or she would
become ineligible.
Within the slates, the candidates must be listed in progressively ordered numbered
slots.
Each slate must include at least two candidates meeting the independence
requisites provided by law, indicating such candidates separately and indicating
one of them in the first slot on the slate.
Furthermore, slates that present three or more candidates must include candidates
of different genders, in accordance with the indications set forth in the notice of
call of the Shareholders Meeting, so as to ensure that the composition of the Board
of Directors complies with the applicable legal framework in force on the balance
of genders.
The slates must be filed with the Companys registered office in accordance with
the procedures and by the deadlines provided under the applicable legal framework
(i.e. at least twenty-five days before the date of the Shareholders Meeting called to
appoint the Board of Directors).
Together with the filing of each slate, the professional curricula vitae of the
candidates as well their declarations in which they accept the candidatures and
certify the inexistence of causes for ineligibility or incompatibility, as well as the
satisfaction of integrity requisites provided under the applicable legal framework
and the Bylaws and, where applicable, the independence requisites provided by
law and/or the Corporate Governance Code must also be filed, and failure to do so
would result in the inadmissibility of the slate.
