Contractual Basis

Transport agreement between the Carrier and Kuehne + Nagel (herein after KN). For this contract for carriage, the
subsequent specications shall be deemed valid and through acceptance of the transport order they are fully approved and
agreed. Other conditions do not apply. The ADSp as well as the VBGL are expressly excluded. The Carrier waives all lien and
retention rights.

For the rights and obligations under this contract, the following laws and conventions shall apply:

- The regulations of the German Commercial Code (HGB) for national transports , also in case the transports should be
carried out by vehicles, that are exempted of the regulations of GKG according to sec. 1 (1) GKG. In deviation from sec.
431 (1) and (2) HGB the liability for loss or damage to the goods shall be limited to 40 SDR per kilogram. To calculate the
SDR sec. 431 (4) HGB applies.
- The Convention on the Contract for the International Carriage of Goods by Road (CMR) for cross-border transports,
- The provisions pursuant to secs. 3, 6 and 7 GKG. Drivers from third countries are required to carry the following
documents, which shall be submitted on request: work permit, or ofcial certicate with an ofcially certied translation
in German, or a valid driver's license,\n- The social provisions for drivers, in particular, the regulation (EG) No. 561/2006
on driving time and rest periods, the AETR, sec. 2 No. 2b), No. 3) FPersG, sec. 20a FPerV as well as the regulation (EU) No.
165/2014 on tachographs in road transport,
- The German minimum wage law (MiLoG).

The Carrier conrms to turn over goods only at secure premises or keep them in warehouses, to protect against
unauthorized access and use only reliable staff. Placing loaded transport containers before, in the middle or at the end
of the transport lane is only permitted within guarded or secured parking lots, industrial sites or forwarding facilities. The
Carrier is obliged to inform KN immediately of any threat to the proper execution of the transport order. The Carrier is
responsible for the reliable loading in accordance with sec. 412 HGB. The drivers of the Carrier have to ensure proper cargo
securing according to VDI 2700 ff and / or the CTU packing guidelines. A reload and manipulation ban applies. Customer
protection is considered as agreed! Demurrage will not be accepted. Instructions from third parties may be followed only
after consultation with KN.
The transport order is considered, in unaltered form, as accepted as soon as it is conrmed in writing or the vehicle has been

Within 24 hours after delivery, Carrier shall provide KN with a delivery receipt, counter signed by the consignee. If a delivery
receipt is not submitted, the freight will not be paid to the Carrier.

Note for transports of food and animal feed: Damage caused by contamination of the cargo during cargo handling and
transport must be considered impossible, and the loading area must be swept clean. Odours may not adversely affect the
products.

Note for transports to or from third countries:

In third countries, it is agreed that for loading and export customs, 24 hours shall be free of charge and for unloading and
import customs, 48 hours shall be free of charge.

Payment terms: 60 days from the date of invoice / credit note

Note for Dangerous goods

If hazardous material is transported, the Carrier must ensure that only ADR trained drivers and vehicles with prescribed ADR
equipment are used. A valid ADR Certicate and a photo ID shall be kept and submitted on request. Unless expressly agreed
otherwise (see notes on loading and unloading) the transport documents are handed over to the driver by the shipper at the
Loading point.
Dangerous goods transports without carrying the transport documents are strictly prohibited.

Means of exchange agreement

Exchange is generally considered agreed as follows:

Double exchange at loading and unloading point with use of own means of exchange by the Carrier.
On the transport documentation, the Carrier notes the number, type and quality of the exchanged pallets and has them
counter signed by the shipper/consignee.

Exchange at the unloading point without the use of own means of exchange by the Carrier. On the transport documentation,

Empty exchange means, which are not returned as agreed, will be invoiced to the Carrier with 8.00 Euro per at pallet and
80.00 Euro per lattice box.

A pallet credit for the consignee is only accepted after consultation with KN. The remuneration for the pallet handling is, as
agreed, already included in the freight rate. The documentation of the exchange transactions shall be submitted to KN in
addition to the delivery receipt within 5 days after delivery.
