1. INTRODUCTION

Gee Solutions Pvt. Ltd. (promoted by Proto Developers & Infrastructures Limited) is planning to be set up
as an Information Technology and Information Technology enabled Services (IT-ITeS) company in Mohali
on 4300 square yards of land. Gee Solutions (P) Ltd. would be the subsidiary of Proto Infosys Limited
working as Special Purpose Vehicle.

2. SCOPE OF PROJECT REPORT

The scope of this ‘Detailed Project Report’ includes Indian IT-ITeS industry outlook, overview of IT SEZs,
location analysis of Mohali (including accessibility and state of physical and social infrastructure
available there) and the potential for the IT companies.

Gee Solutions Pvt. Ltd. will be promoted by Proto Developers & Infrastructures Limited as its
subsidiary. Gee Solutions will function as a team of young and energetic entrepreneurs who will engage

The project will be taken up by Gee Solutions Pvt. Ltd., a company promoted by Mr. Gursharan Batra
and Mr. Parvinder Singh as well as by Proto Developers & Infrastructures Ltd.

is also steering initiatives in academics, marketing, industry and much more.
To his credit lies an extensive experience of the real estate & retail industry, enriched with expertise at
the development of knowledge centric infrastructure. He is recognized as a prestigious Builder-
developer of the Residential, Commercial and Industrial Infrastructure and has successfully handled
many such mega projects. He has enriched blend of extensive experience of the Wholesale as well as
Retail Business of Apparels. He has a chain of Franchisee Outlets of various apparel brands. He is a
Founder Member of National Real Estate Development Council of India (NAREDCO).

Mr. Parvinder Singh brings more than 18 years of experience in sales, management, and operations of
different industries. As Chief Executive Officer, he steers the Group toward continued market leadership
and profitability. He understands how to find key opportunities for growth and investment and manages
the most complex projects from conception to completion. He is highly experienced in creative deal
structuring with a track record of finding opportunities in key markets with significant growth potential.
He is committed to setting the standard for excellence in his entire endeavor. He continuously strives to

Previously, Mr. Singh served as Vice President of Fashion Technology Park, a sister concern. He was
responsible for expanding the company’s sales, distribution, and marketing of intellectual as well as
physical infrastructure. He is a hard core Marketing Professional with an extensive experience. He is
known for establishing brands, communicating and positioning it at national and international markets.
He has given launch pads and has been the key person in forming strategies, implementations, creating
channels & concepts for various products in FMCG & Knowledge based Industries.

3.2.2 Brief Profile of Proto Developers and Infrastructures Limited


Proto Developers and Infrastructures Limited was incorporated as Proto Infosys Ltd in the year 1994 to
provide telecom infrastructure and connectivity. Later it got itself registered with BSE and its name
changed to Proto Developers and Infrastructures Limited. Its areas of expertise are in marketing and
installation of broadband technology, equipments and GPs systems, for computers and microprocessors
equipments funding and related funding activities as Delicate Leasing and Finance Ltd. Apart from
diversified disaster and scarcity management related products.
The Company is currently launching a complete infrastructure project for above activities over a land of
about 60 acres strategically located at a short distance from IGI Airport, New Delhi, (India). Any spare
capacity in above project shall be rented at lucrative prices to MNCs.
Its present activities range from software solutions (for ERP, Financial, Hospital, Power Billing, I-key
Solutions etc.) to Wireless Applications, Transcriptions, Telecom Solutions, etc. It is about to start new
business activities of VSAT, E-commerce, Hub-based Training Programs and even Software Parks.
Proto Developers and Infrastructures Limited has a large, long-term and growing customer base which
include Maruti Udyog Ltd., IOC, Indian Railways, CMC Ltd etc in domestic market and Exxon Inc. USA,
Radix Corporation, Flash LLC, Dubai etc in international market. The company uses the most
sophisticated and innovative technologies to deliver high quality, cost-efficient services. Its technologies
are regularly reviewed and evolved through research & development. The company believes that the
technology systems used by it are scaleable to service many customers without significant technology &

to employ more than 500 people who will include the in-house expertise as well as out-sourced
professionals. It plans to adopt a strategy of business segmentation to create different business clusters
functioning as different growth engines which would evolve into a single entity known as GEE. By
providing a winning combination of flexibility, security, accuracy and cost-effectiveness, GEE will
efficiently meet the challenge of today’s IT sector and environments. Within 2 years of its establishing
business in the land provided by Punjab Infotech, it will emerge as a key IT player with the returns on its
capital of more than 20% and strives to consistently exceed that level in later years to come.

The Gee Solutions Private Limited has been promoted by Proto Developers & Infrastructures Limited.
The Gee Solutions Pvt. Ltd. will function as the subsidiary to Proto Developers & Infrastructres Ltd and
has been promoted as SPV. The Gee Solutions will own the land allotted by Punjab Infotech. To finance
the project, promoter will bring an equity equivalent to one-third of the total project cost and balance
two-third will be raised through debt financing. The total project cost has been estimated at Rs.21
crores. The debt fund to the amount of Rs.14 crores will be raised from the market at benchmark
interest rates and repayment schedule with special concessions for IT companies.

3.4.3. RETURN FOR PROJECT


The market is now rebounding from the effects of recession and is opening up new opportunities for
growth of IT companies in India. Keeping in view the rate of market growth and company’s core
strengths as well as its value proposition, the rate of return for 1st five years has been estimated at 20%
per annum.
The estimated moratorium period for the completion of project is 30 months after which the revenue
will start generating. However, keeping a conservative view, in the first year after the end of
moratorium period the rate of return has been estimated at only 12%. Thereafter, the regular revenue
generation activity will begin and company will earn 20% p.a.

While the industry displayed tenacity and resilience, it also commenced its journey to achieve its
aspirations in view of the altered landscape. It commenced working on its agenda to diversify beyond

Tier-1 cities have been looking at migrating/initiating operations to Tier-2 and Tier-3 cities. Further, the
government is also working to provide a framework so that the IT Sector can be diversified in other Tier-
2 & Tier-3 cities. By gradually spreading their business operations to smaller Tier-2 Tier-3 cities, the IT
sector (besides generating revenue and employment) is also assisting in improving the supply of talent
pool and development of physical and social infrastructure, either directly by themselves or by spurring
the Government to action.

5. IT VISION OF GOVERNMENT OF PUNJAB


The Government of Punjab has come out with a strategic roadmap to establish IT/ITeS as an engine of
economic growth. The IT vision of Punjab is to position Punjab firmly in the mind of every IT investor as
one of the most competitive investment destinations. The mission rolled out is to create an enabling
ecosystem for IT investors by focusing on policy advocacy and reform, facilitating infrastructure and
human capital development and proactive engagement with investors. Punjab Government’s vibrant
support and commitment to IT have encouraged the companies to establish themselves in a state with
tremendous potential. Further, Punjab Government is also committed to tickle down the benefits to
common man and motivate entrepreneurial skills of the State.

6. WHY MOHALI?

1. Mohali, a booming satellite city of Chandigarh is the youngest district in the state of Punjab
introduced in 2006.
2. This mega city on its international arena is 250 kms from National Capital New Delhi. It is easily
accessible by rail, road & air.
3. IT infrastructure in Mohali need not be mentioned as it has developed as not only Punjab’s but India’s
key IT cluster. Mohali has been targeted by an increasing number of outsourcing IT companies.

4. 52 eminent companies have therefore found Mohali as their most favorite destination due to the
congenial investment climate coupled with investor-friendly policies. Companies like Dell , Quark, Tata,
Reliance, HCL, Infosys have their presence.

4. Based on government reports:-


Various IT parks and SEZs are proposed to be set up in Mohali to foster the growth of IT industry in
Punjab.
Approval has been granted to master plan of Mullanpur Local Planning Area to develop 15,130 acres of
land spread across 33 villages on the outskirts of Chandigarh. The industries there will be catering to
service-oriented businesses such as IT, health and tourism.
Mohali will be new knowledge centre for north India - What Bangalore is for south India, Mohali would
soon be for northern India - a hub for multi-level knowledge base.
There have been plans for a Mass Rapid Transport System (a monorail).
A pro-IT Punjab Government is offering subsidized land to IT industries at Mohali.

5. Mohali is a prominent location as the base station for Himachal Pradesh.
