EXPRESSION OF INTEREST (EOI)

Setup of Integrated facility to convert Lignocellulosic biomass to Ethanol


via enzymatic hydrolysis and fermentation route

IndianOil Corporation Limited (IOCL) is India’s largest commercial enterprise and


highest ranking Fortune 500 Company in India. IOCL owns & operates 10
refineries, which meets over 40% of the country’s oil demand. IndianOil R&D,
Faridabad intends to setup integrated facility to convert Lignocellulosic biomass
to ethanol via pretreatment, enzymatic hydrolysis and fermentation route. This
facility will have the Feedstock handing system, Preimpregnation system,
Pretreatment system, Conditioning and solid liquid separation system, Enzymatic
hydrolysis system and Fermentation system.

Following is the eligibility criteria for the vendors:

1. Vendor should have worked in sugar or paper or wood industry & have
experience of handling slurry or semisolids
2. Vendor should have experience in designing or installing special equipment
such as high pressure and high temperature reactor, basket centrifuge, peristaltic
pump, automated enzymatic fermenter and screw feeder
3. Vendor should have experience in designing or fabricating or installing units of
different metallurgies for acid hydrolysis
4. Vendor should have installed and commissioned at least one skid-mounted
process pilot plant related to point 1 for R&D application which involves process
control monitoring and data acquisition using PLCs.

Interested vendors have above capabilities, and willing to sign secrecy


agreement in the prescribed format will only be considered for participating in the
tender. Vendors should respond within 21 days of publication of this notice with
details of relevant experience and the duly signed secrecy agreement to Mr. Ravi

present their capabilities at IOCL R&D.
SECRECY AGREEMENT

This agreement made ----------- day of ------------------ between INDIAN OIL


CORPORATION LIMITED having its registered office at G-9 Ali Yavar Jung Marg,
Bandra (E), Bombay 400 051, and having its Research & Development Centre at
Faridabad (herein after referred to as “IOCL”) which expression shall include its
successors and assigns on the one part:

WHEREAS IOCL is engaged in the research and development of lignocellulosic


biomass conversion to ethanol, and is interested to “set up integrated facility for
conversion of lignocellulosic biomass to ethanol via enzymatic hydrolysis and
fermentation route”. The data generated from this facility will be utilized to
commercialize the process for bio-ethanol production.

AND WHEREAS it is necessary for IOCL to pass on certain technical and non-technical
data, know-how, formulae, processes, designs, specifications, samples, sketches,
plans, drawings, reports, studies, findings, intentions, ideas, recipe and documents etc
of confidential nature related to the process technology for design and fabrication of the
unit.

Now in consideration of the obligations on part of Vendor, it is hereby understood and


agreed by the Vendor as under:

1. All information and data pertaining to process technology including


information/technical data etc disclosed by IOCL in connection with the process
to be treated by the Vendor as confidential and shall not be passed on to a third
party by the Vendor without consent of IOCL.

2. The Vendor shall not use the information as indicated in clause 1 for any purpose
other than design and fabrication of the unit for IOCL.

3. The IPR for design of the pilot plant shall rest exclusively with IOCL. Further, the
Vendor shall indemnify IOCL for any third party infringement arising out of the
components used in the integrated facility.
4. This Agreement shall be governed by the laws of India. In the event of any
dispute arising out in relation with the secrecy agreement, the dispute shall be
resolved in accordance with the Arbitration and Conciliation Act, 1996, based on
the UNCITRAL rules of the arbitration. The place of arbitration shall be New
Delhi, India.

INFORMATION & INSTRUCTIONS FOR APPLICANTS
1.0 General :

1.1 All offers should include a covering letter listing the various enclosures being submitted
by the applicant
1.2 The applicant should sign each page of the application.
1.3 Overwriting should be avoided. Correction, if any, should be made by neatly crossing out,
initialing, dating and rewriting. Additional sheets, if any added by the party, should also be
numbered. They should be submitted as a package.
1.4 The applicant may furnish complete desired information including additional information, if any,
which he thinks is necessary to establish his capabilities to successfully complete the envisaged
work.
1.5 The applicant may also furnish necessary documents of their capabilities. He is, however,
advised not to furnish superfluous information.
1.6 Any information furnished by the applicant found to be incorrect either immediately or at a later
date, would render him liable to the termination of the contract.
1.7 The EOI document duly completed and signed should be submitted in a sealed cover
superscribing: Expression of Interest - “Setup of Integrated facility to convert
Lignocellulosic biomass to Ethanol via enzymatic hydrolysis and fermentation route”. The
applicant shall mention on the sealed cover Company’s name, phone numbers & name of contact
person. The EOI should be addressed to; Shri. Ravi P Gupta, Research Manager, Indian Oil

received at IOC-R&D Centre, Faridabad, by 17:00 hours of 30th July 2010.

2.0 Definitions:

2.1 In this document the following words and expressions have the meaning hereby assigned to
them.
2.1.1 IOCL: means Indian Oil Corporation Ltd. (R&D Centre), Sector-13, Faridabad.

2.1.2 Applicant: means the Individual, Proprietary Firm, Firm in Partnership, Limited
Company Private or Public or Corporation.
2.1.3 Party: also means the Individual, Proprietary Firm, Firm in Partnership, Limited
Company Private or Public or Corporation.
2.1.4 “EOI” means “Expression of Interest”

3.0 Final Decision Making Authority

IOCL reserves the right to accept or reject any application and to annul the pre-qualification
process and reject all applications at any time, without assigning any reason or incurring any
liability to the applicants.

4.0 TENDER SUBMISSION

After evaluation of Expression of Interest, a list of successful applicants/parties will be prepared.


Thereafter, pre-qualified applicants/parties only would be invited to separately submit
tenders for the work.

5.0 AWARD CRITERIA


5.1 IOCL reserves the right, without being liable for any damages or obligation to inform the
applicant, to
(a) Amend the scope and requirements of the EOI
(b) Reject any or all of the applications without assigning any reasons.
(c) IOCL has the right to call the parties, if necessary, to present their capabilities at IOCL R&D
Centre.
(d) IOCL has the right to finalise the parties for prequalification
(e) IOCL will inform only qualified parties to sign secrecy agreement & for further discussions

5.2 Any effort on the part of the applicant or his agent to exercise influence or to pressurize IOCL
would result in rejection of his application.
