1. Brian Schwartz, Westfield and Investec

Brian Schwartz was first appointed to the FFA board in 2003, according to Football Federation
Australia corporate records.1 Frank Lowy knew Schwartz professionally in 2003 when he
appointed Schwartz to the FFA board, but was unaware of Schwartzs interest in soccer,
according to Jill Margos Frank Lowy: A Second Life.2

Brian Schwartz was recommended for the FFA board position to Frank Lowy by David
Gonski, a Westfield board member for 25 years until 2011,3 according to Jill Margo.4
Brian Schwartz was CEO of Investec from 2005 to 2009, a company that David Gonski
persuaded Schwartz to join.5 Gonski was chairman of Investec until 2014.6

Brian Schwartz had a career with Ernst & Young Australia spanning more than 25 years.
Schwartz served as Chairman of Ernst & Young Australia from 1996-1998 and as CEO
of the company from 1998 to 2004.7

Schwartz worked on the Westfield America float in the early 1990s, according to the
Australian.8 Schwartz also won Westfields audit for Ernst & Young prior to 2003,

Frank Lowy invited Brian Schwartz to join the Westfield board in 2009, according to the
Australian.10 Schwartz is deputy chairman of the Westfield board as of October 2016.11
As of October 2016, Schwartz is also chairman of the Scentre Group, a company that
was created in 2014 through the merger of Westfield Retail Trust and Westfield Groups

Brian Schwartz was chairman of the Nominations Committee of the FFA in 2015 that
was tasked with filling vacancies on the FFA board arising from the mandatory
retirement of Frank Lowy, Brian Schwartz, Phillip Wolanski, and the resignation of Peter
Tredinnick.13

Investec is Hakoah Sydney City East Football Clubs 2016 platinum sponsor, according
to the clubs website.14

2. Crispin Murray, FFA director and Westfield restructure

Crispin Murray has served as a director of the FFA since November 2015, according to the
FFAs website.15 Crispin Murray is also Head of Equities at BT Investment Management.16
Crispin Murray manages a number of BT Investment Managements flagship funds and leads
one of the largest equities teams in Australia, according to BT Investment Managements
website.17

BT Investment Management was a shareholder in Westfield Retail Trust. In June 2014, BT
Investment Management delayed a shareholder vote on a controversial proposal led by Frank
Lowy to create an independent local arm of the Westfield Group by selling its interests in
Australia and New Zealand to Westfield Retail Trust, according to the Australian.18

The vote was initially headed towards defeat after winning only 74.1% of the 75% of
proxy votes needed to approve the measure, when BT investment Management
intervened, arguing proxy votes had been cast before investors learned what the
Westfield group would do if the proposal was rejected, according to the Wall Street
Journal.19

The vote was delayed three weeks, which allowed Westfield Retail Trust to obtain more
votes in favor of the proposal, which ultimately succeeded, according to the Australian.20

3. Daniel Moulis, FFA director and principal of law firm that provides services to Westfield
entities

Daniel Moulis has served as a director of the FFA since November 2015.21 Daniel Moulis is the
founder and principal of Moulis Legal.22

Daniel Moulis and his law firm Moulis Legal compete for and showcase their work on behalf of
Westfield Corporation or Scentre Group as a client. Westfield Corporation and Scentre Group
are among the worlds largest shopping center companies.

In 2015, Moulis Legal produced a promotional video for the firm that featured a
testimonial from Scentre Group development executive George Arena who states,
Moulis Legal was, if you like, a lawyer of choice for Westfield for many, many years.
And when I took over the Canberra portfolio eight and a half years ago, I was introduced
to Danny [Daniel Moulis] as your preferred lawyer, and Ive been using him ever since.23

Kelly Bayer Rosmarin has served as a director of the FFA since November 2015.24 Kelly Bayer
Rosmarin was appointed Group Executive for Institutional Banking and Markets at
Commonwealth Bank of Australia in December 2013.25

As active borrowers, Westfield Corporation and Scentre Group allocate fee generating business
to Australian banks that arrange syndicated loans and lead bond offerings, including
Commonwealth Bank of Australia.

A 2015 cover story by FinanceAsia profiling the top 25 women in Asia Pacific finance
features Kelly Bayer Rosmarin. In her profile, Scentre Group is listed among six big
clients of Kelly Bayer Rosmarins institutional banking and markets group at CBA.26

5. Frank Lowy, Steven Lowy and Sydney FC

Frank Lowy, Chairman of Football Federation Australia (FFA) from 2003-2015, has been
involved in the ownership of Sydney FC since 2004.27

In December 2004, Soccer New South Wales, the governing body for soccer in New
South Wales, pulled out of its 25% ownership stake in Sydney FC amid claims the club
had become a plaything for Frank Lowy and his family, according to the Sydney
Morning Herald.28

The decision came after concerns were raised about Lowys autocratic style in
establishing the club during Soccer New South Wales annual general meeting.

In December 2008, David Traktovenko and Paul Ramsay agreed a deal to become majority
shareholders of Sydney FC, according to the Sydney Morning Herald.29 David Traktovenko is a
former owner of the Russian club Zenit St. Petersburg, according to a May 2012 Australian
Broadcasting Corporation report.30

The sale of Sydney FC to David Traktovenko reduced perception of a conflict of interest


between Frank Lowys roles as owner and chairman of Sydney FC, FFA chairman, and

Steven Lowy, Frank Lowys son, was elected chairman of the FFA for a three-year term in
November 2015.37 Steven Lowy was nominated for the position of FFA chairman by a
committee chaired by FFA board member Brian Schwartz in September 2015.38 As of February
2017, Steven Lowy is an executive director and Co-CEO of Westfield Corporation and a non-
executive director of Scentre Group, according to Westfield Corporations website.39

6. Phillip Wolanski, Denwol and Sydney FC

Phillip Wolanski was a director of the FFA from 2003 to 2015.40 Phillip Wolanski has served as a
director of Sydney FC since April 2016, according to Sydney FC corporate records.41

Phillip Wolanski owns and controls a Sydney-based property development group,
Denwol, according to the companys website.42

Denwol owned .19% of Sydney FC as of May 2014, when Phillip Wolanski was an FFA

Frank Lowy had known Phillip Wolanski for decades when Lowy first appointed Wolanski to the

Phillip Wolanski was a director and Vice President of the Sydney-based Hakoah Club

Lowy was President of the Hakoah Club from 1969 to 1988 and remained involved in the
clubs development as of 2015, according to media reports.50

Hakoah Clubs soccer team was Hakoah Sydney City East Football Club, one of the
most successful soccer teams in the first 10 years of the Australian National Soccer

7. Simon Hepworth and Caltex sponsorship of Socceroos

Caltex Chief Financial Officer Simon Hepworth has served as a director of FFA since October
16, 2014.54 In March 2016, Caltex Australia Ltd purchased the naming rights for the Socceroos
and established a broader partnership with the mens and womens national teams to help
develop the next generation of football players, according to a press release on the companys
website.55 The Socceroos had been without a naming rights sponsor since Qantas ended its
naming rights deal in mid-2013, according to The Guardian.56

The four-year agreement with Caltex is worth AUD 12 million until 2020, according to a
March 2016 Sydney Morning Herald report.57

The value of the agreement with Caltex was understood to be less than the $5m annual
sum Football Federation had initially sought when Qantas walked away from its long-

An October 2015 FFA memo discusses the appointment of advisors for the tender process for
FFA domestic rights.73
Macquarie and Adara Partners submitted competing proposals to advise on the tender process,
according to the memo.74 Adara Partners is a corporate advisory firm established in 1998,
according to its website.75

Adara Partners is a member of the Adara Group, which includes two corporate advisory
businesses -- Adara Partners and Adara Advisers -- and an international development
organization, Adara Development, according to Adara Partners website.76

Adara Partners and Adara Advisers sole purpose is to support Adara Development
through their corporate advisory work, according to Adara Groups website.77 Adara
Partners and Adara Advisers fund all administration and infrastructure costs of Adara

Adara Development works on health, education, and other community

The W-League launched in 2008 and was expected to cost between AUD 3 million and AUD 4

inaugural naming-rights sponsor, according to The Age.106

In 2008, then-managing director of Westfield Steven Lowy stated that, Neither Dad

The Westfield sponsorship agreement also included the naming rights to the womens

Westfield was believed to have agreed to a fee of AUD 2 million a year, according to The

In July 2017, Scentre Group, the company that was created in 2014 through the merger of
Westfield Retail Trust and Westfield Groups Australian and New Zealand management
business,110 renewed its sponsorship agreement with the FFA for an additional two years,
