PARTNERSHIP DEED

This deed of partnership made on the 20th day of May, 2017 between:-

Mr. Muhmmad Shan, male, Muslim, son of Mr. Muhammad Yousuf, CNIC#1226-12313267-3
resident in Lahore (A-3, Neelam Block, Iqbal Town Lahore Pakistan) ((0321) 5873782) of the
first part.

Mr. Mommar Rana, CNIC#1116-12313267-0, male, Muslim, son of Mr. LiaqatAli Chohan,
resident in Lahore (40 B Street # 47 Union Park, Lahore, Pakistan) ((0321) 5868524) of the
second part

Mr. Faisal Qureshi, CNIC#1236-14413267-3, Muslim, son of Mr. Naseem Syed, resident in
Lahore (B-17, Block-12 EB Area, Gulberg Lahore-38, Pakistan)(Phone Number ((0333)
5873782) of the third part.

AND whereas all the parties have thought it expedient to bring into the writing the terms and
conditions so settled to determines partner’s rights and liabilities and avoid any doubt
complications and misinterpretations in the course of the conduct of the Business.

WHEREAS the parties above named have joined to carry on business under the name and
style of M/s Jaguar Enterprises, opposite 12-Galib Colony Gulberg, Lahore, but may be
shifted to any other place in Pakistan with mutual consent of the partners, branches etc. may be
open or close any place in Pakistan as and when necessity arises.

NOW THIS DEED OF PARTNERSHIP WITNESSTH AS UNDER:

(1) That the name and style of the firm will be M/s Jaguar Enterprises, opposite 12-Galib
Colony Gulberg, Lahore. Main business of the firm will be ---and other allied line of
lawful business.
(2) That the capital of the firm shall be contributed as per books of accounts. However the said
capital may be increased or decreased as the partners may mutually decide.
(3) That the capital distribution of the partners and share in profit and loss shall be as under:

Profit Loss

a. Partner No. 1 : 50% 20%


b. Partner No. 2 : 30% 20%
c. Partner No. 3 : 20% 40%

However, the partners of the firm will be jointly and firmly liable to pay off the total liabilities
incurred on the basis of the instant partnership deed regarding the finance facility availed or to be
availed.
(4) That the account of the firm will be operated by Mr. shan , opened in the branch of any
Scheduled Bank of Pakistan or other financial institutions and all the partners will
complete all the legal in term of law or to execute all necessary documents in respect of
above account as and when required from time to time.
(5) That the partners may borrow or raise money by means of loans/finance facility or other
legal arrangements from any scheduled bank or any financial institutions in such manner
as the partners may think fit on the basis of the property of the firm or partners either
owned individually or collectively or of third party for running the business in trade of
the customer firm M/s Jaguar Enterprises, opposite 12-Galib Colony Gulberg,
Lahore. The partners will execute all financial documents on behalf of the firm in this
regard.
(6) The business of the firm to be contributed by the partners, and shall be paid immediately
after the execution of these presents
(7) All the outgoings and expenses of the firm shall be paid out of the capital and profits of
the business, and in case of deficiency, by the partners in equal shares
(8) That the firm shall maintain proper book of accounts and all the transactions shall be
incorporated under the proper heads and shall be opened for inspection for the partners,
during working hours, on any working day.
(9) That the duration of the partnership will complete on this day 20th of the May 2023.
(10) That in case of death of any partner, the legal heir/heirs, successors or nominees
of the deceased shall be consider as part to all intents and purposes . The Firm may be
dissolved on three months prior written notice to each other subject to adjustment of total
outstanding liabilities of the Firm.
(11) That no partner shall be allowed to assign, mortgage or sell his/her share, rights
and interest in the Firm without the consent of the remaining partners.
(12) That no partner possess any right to ensure any financial commitment in the firms
name for his individual gain or interest or to encumber the assets of the partnership.
(13) That in event of any dispute between the parties of any nature, whatsoever shall
be referred to the Arbitrator appointed mutually by the parties to this deed.
(14) That the parties can affect any change and amend any or all the terms of this
partnership by mutual consent in writing whenever there is any occasion for the same.
(15) That any other matter touching the business of partnership not specifically
provided in this deal shall be decided and conducted by mutual consent, in accordance
with the provisions of the Partnership Act 1932.
(16) That the firm shall not be responsible or liable for any personal debit/liabilities of
any partner before the date of this deed of partnership.
(17) That the provisions of the Partnership Act 1932 shall apply to this partnership
deed.
(18) That the accounts of the business will be closed on 30th June each year.
