What is a corporation?

- A corporation is treated as an artificial being created by operation of law, having the right of
succession and the powers, attributes and properties expressly authorized by law or incidental to
its existence.
Dual Function
- Political and corporate functions
- Being political units of the government and as agents of the national government. LGU exercises
governmental functions. On the other hand, as corporate entities, they also exercise powers which
are proprietary in nature but which they can perform for the benefit of their constituencies.
When is a corporation a public corp?
- if it is formed and organized by the government or a portion of the state. Its purpoe is the general
good and welfare.
When is a pubcorp a municipal corp?
- If it is a body politic and corporate constituted by the incorporation of the inhabitants for the
purpose of local government.
How does a corporation begin to exist?
- The existence of a newly created LGU begins of the date specified by the law or the ordinance
creating it. If the law of ordinance does not specify the beginning of its existence, then the
corporate life of the LGU with the election and assumption of office by its chief executive and the
majority of the members of the sanggunian.
Is MMDA a municipal corp?
- No, it is beyond doubt that MMDA is not an LGU or a pubcorp endowed with legislative power. It
is not even a special metropolitan political subdivision. MMDA’s powers are limited to
formulation, coordination, regulation, implementation, preparation, monitoring, policy-setting,
installation of a system and administration.
- The MMDA is, as termed in the charter itself, a "development authority." [30] It is an agency
created for the purpose of laying down policies and coordinating with the various national
government agencies, peoples organizations, non-governmental organizations and the private
