MEMORANDUM OF UNDERSTANDING

This MOU is entered into at

Mumbai on the ___ day of December, 2011.

Mr. Sachin Bhatnagar, aged 35 years, & Mrs. Pragya Bhatnagar, aged 35 years,
Both an adult Indian Inhabitant, Residing Address at C 204, Windlass Residency
Apartments, Curzon Road, Dalanwala, Dehradun 248001. Hereinafter called
the “The Transferor” (which expression unless be repugnant to the context or
meaning thereof be deemed to include his heirs, executors administrators and
assigns) of the ONE PART.
AND

Mr. Uday Karkera aged about 47 years, & Mrs. Heeravathi Karkera aged 74
years, Both an adult, Hindu, Indian Inhabitant of Mumbai residing at Flat no 405,
4th floor, Harsha Building, Amrut Nagar, Ghatkopar (west), Mumbai – 400086.
Hereinafter called as ‘THE TRANSFEREE’ (which expression shall unless it be
repugnant to the context or meaning thereof mean and include his respective
heirs, executors, administrators and assigns) of the OTHER PART;

Mr. Sachin Bhatnagar & Mrs. Pragya Bhatnagar, owner of the Flat no. 602 on
the Sixth floor in Wing “B” of “Mayfair Sonata Greens Co-Operative Housing
Society Limited”, admeasuring about 1040 Sq. ft. Built up Area, Village
Ghatkopar, Godrej-Hiranandani Link Road Vikhroli (west), Mumbai-400 079.
Agreed to sell the Flat along with One Reserved Parking, fixtures, share
certificates, Society membership, for a total consideration amount of Rs.
96,00,000/-. And the purchasers agreed to buy the same as per the following
terms and conditions.
1) Out of the total sum of Rs. 96,00,000/- the purchaser paid a sum of 1,00,000/-
(Rupees. One Lakh Only) by Bank of India Cheque No. 000037 dated
24/12/2011 as a token advance.

2) Before the registration sellers will provide all the necessary documents
required by the purchaser to complete the sale agreement, Bank Loan, And for
the completion of the transfer of the Flat.

3) The balance amount of


Rs. ___________________________________ a part will be paid at the time
of registration of the agreement on or before

4) Both the parties agreed to complete the registration of documents, making full
and final payments and handing over the possession of the unit on or before
31st January 2012.

5) The Stamp Duty and registration charges will be borne by the purchasers.
Transfer charges payable to the society born by the seller & Purchaser 50%
both.

6) Sellers/Transferors will pay 1% Commission / Brokerage Charges to Amarbaria


Properties, and Purchaser/ Transferor will Pay 1% Commission / Brokerage
Charges to Mr.

7) This MOU is valid for 45 days only.
