RE : Legal Service Agreement Proposal for Representation in NLRC Case

No. 02-02439-17

Dear Ms. Qua,

We are privileged to send you this Legal Service Agreement proposal to be your
counsel in connection with NLRC Case No. 02-02439-17. It must be noted, however,
that this proposal was made on the basis of initial information discussed during the
meeting and the documents presented. In any case there are other difficulties involved
in the subject labor standards case as opposed to what was represented, the fees
herein may change.

In this light, please find the following for your perusal:

Scope of Work:
 Rendering of legal advice on the settlement of the labor case filed against
your company;
 Drafting of position papers and other pleadings required;
 Representing the company in the hearings with the NLRC.

Professional Fees:
We propose the following discounted legal service fees and schedule of
payment:

1. Acceptance Fee: In consideration of the works above stated and difficulty of the
task at hand, we propose a discounted acceptance fee of TWENTY THOUSAND
PESOS (PHP20,000.00 ) to be paid as follows

Upon signing of this Proposal PHP 10,000.00

Upon filing of the Position Paper PHP 10,000.00
Total: PHP 20,000.00
 2. Appearance Fee: A discounted rate of One Thousand Five Hundred Pesos
(PHP2,00.00) for every personal appearance before the NLRC which the lawyer
attends in relation to the settlement of estate.

3. Revolving Fund: We propose an initial amount of Two Thousand Five

Hundred Pesos (PHP 2,500.00) to defray operating expenses such as
photocopying of documents, certifications, fax, phone, and transportation
expenses, notary, etc. Such advances shall be subject to reimbursement and or
replenishment upon liquidation.

Filing Fees, Penalties ,Actual Fees and other out of pockets expenses is on
clients account.

Should this proposal meet your approval, kindly affix your signature in the
conformity provided below, and return to us a duly signed copy thereof together with the
following: Ten Thousand Pesos (PHP 10,000.00) as part of the acceptance fee, and
Three Thousand Pesos (PHP3,000.00) for the revolving fund, or a total of Twelve
Thousand Five Hundred Pesos (PHP12,500.00).
