STANDARD TERMS OF EQUIPMENT HIRE

Interpretation & Definitions :

1.  In these terms and conditions unless the context otherwise requires : ”the Owner" means the proprietors of PT. CRID
ASIA; "the Hirer" means the person hiring equipment from the Owner and his, their or its successors, personal
representatives and permitted assigns; and ”the Equipment" means all or any equipment hired by the Hirer from the
Owner from time to time.
2.  Where there is more than one Hirer, each of them shall be bound by these terms and conditions jointly and severally
and any reference to the singular shall, unless the context otherwise requires, include reference to the plural and any
reference to one gender shall include a reference to the other gender.
3.  Any reference to a person shall include a reference to a company.

Hire Equipment :
1.  These terms and conditions are deemed to be incorporated into all contracts for the hire of Equipment to the Hirer
and supersede all terms and conditions previously issued by the Owner.
2.  These terms and conditions constitute the whole of the agreement between the Owner and the Hirer and should not
be varied in any way unless done so in writing and signed by the Owner and the Hirer.
3.  All orders placed by the Hirer shall be deemed to be an order made on these terms and conditions.
4.  An insurance cost of 10% will be imposed on the total value of every rental.
5.  For every insurance claim for damaged equipment, the hirer shall be responsible and will be charged a “deductible “
a.  ACT OF GOD : 10% of Claim, Min IDR 10.000.000
b.  THEFT CLAUSE : 10% of Claim
c.  OTHERS : 15% of Claim, Min IDR 2.500.000
6.  Collection of equipment will be from 4:00 am onwards on the 1st day of hire. Rental equipment must meet wrap time
06:00 on the following day of the last date of the shooting period. Late returns will be charged as follows:
a.  50% of the daily hire shall be billed is wrap time is after 06:00AM but not later than 09:00am.
b.  100% of the daily hire shall be billed is wrap time is later than 09:00am.
7.  Camera boy and Data Wrangler will be charged for working beyond 12:00 midnight as follows:
a.  50% of the daily fee if wrap time on location or completion of data transfer/transcoding is before 03:00 AM.
b.  100% of the daily fee if wrap time on location or completion of data transfer/transcoding exceeds 03:00AM.
c.  Hirer will provide their own Hard Disks to store all the footage from the shoot for post-production purposes.
8.  When equipment is confirmed but cancelled within 24 hours or less prior to the collection time on the 1st day of hire,
the hirer shall be charged 50% of a day’s hire.

Insurance :
1.  Unless the Hirer is advised to the contrary the Owner has insured the equipment against loss, damage or destruction
as a result of direct physical loss or damage from external causes to protect the interests of the Owner and the Hirer
whilst the Equipment is in Indonesia (as per the policy).
2.  The Hirer acknowledges that the insurance cover obtained by the Owner does not extend to:
a.  Moths, vermin, inherent vice, wear, tear, gradual deterioration, dampness of atmosphere, extremes or
changes of temperatures, shrinkage, evaporation, loss of weight, leakage of contents, unless caused by a
peril not otherwise excluded;
b.  Mysterious disappearance;
c.  Any work, process, experimentation, tests, repairing, restoration, conversion or partial conversion,
retouching, painting, cleaning or any other form of process performed or undertaken by or on behalf of the
Insured or at the Insured's direction, unless accidental fire or explosion ensues and then only for the loss or
damage caused by such ensuing fire or explosion;
d.  Rain, sleet, snow or hail, whether driven by wind or not, to property stored in the open;
e.  Damage to or destruction of property caused intentionally by or at the direction of the Insured;
f.  Shortage of inventory (including unexplained shortage);
g.  Electrical injury or disturbances to electrical appliances, wiring or devices, caused by electrical currents
artificially generated, unless fire ensues and then only for such loss or damage to them as may be caused
by the ensuing fire and does not cover film media of whatsoever nature.
3.  The Hirer Agrees :
a.  Not to do, suffer or admit any act, matter or thing which may prejudice any policy of insurance effected by
the Owner for the benefit of the Owner and the Hirer;
b.  To immediately notify the Owner and the Police where necessary and take any practicable steps towards
discovery and recovery in the event of theft and, as soon as practicable, provide to the Owner a full written
report of the circumstances of any loss or damage with any particulars or evidence as is reasonably
required by the Owner;
c.  To pay to the Owner on demand any increase in insurance premiums payable as a consequence of the
actions of the Hirer or as a consequence of the Hirer's particular use of the Equipment;
d.  In the event the equipment is lost or damages (fair wear and tear expected) while at the risk of the
Customer, the Customer shall be liable for and agrees to compensate the Company for the hire charges
incurred whilst the Equipment is being replaced or repaired. These charges will not exceed 13 weeks hire.

Acknowledgment by Hirer:
The Hirer acknowledges that he has inspected and tested the Equipment and he is satisfied with its condition, quality,
safety, suitability and correct functioning (include the testing of all cameras) for his purpose and agrees no warranty,
condition, description or representation on the Owner's part is given other than as may be contained in a written
document signed by the Owner and the Hirer's obligation to pay hiring charges and otherwise comply with these terms
and conditions shall continue notwithstanding any subsequent defect or breakdown of the Equipment.
Hirer's Undertakings:
The Hirer Agrees –
1.  To pay to the Owner the rental charges for the Equipment determined by the Owner from time to time, the hire
charges to be paid at the Owner's address notified in writing to the Hirer by the Owner from time to time and to pay
government taxes, fees or charges payable with respect to the hiring of the Equipment;
2.  To operate the Equipment by recognized methods and standards of operation and in carrying out its obligations
under this paragraph, but without limiting the generality of the foregoing, to comply in all respects with the
instructions and recommendations of the manufacturer relating to the Equipment and its use, to only allow persons
with appropriate qualifications and experience to use the Equipment, not to use the Equipment on any hazardous
assignment; and take all reasonable precautions to avoid loss or damage to the equipment;
3.  The Hirer shall not have any authority to pledge the Owner's credit or create any lien or charge upon the Equipment
and the Hirer shall give notice of this provision to any technician before such technician does any repair work upon or
service of the Equipment;
4.  The Hirer acknowledges and agrees that the Owner is not liable to the Hirer or the Hirer's servants or agents for any
direct or incidental or consequential loss, injury or damages of any nature howsoever caused (whether based in
contract, tort or otherwise) including but not limited to loss of profit, loss of production, loss of sales opportunity or
business reputation, direct or indirect labor costs and overhead expenses and damage to the Equipment or Property
or any other claim whatsoever arising directly or indirectly or any way attributable to the performance of or failure of
the performance of the Equipment;
5.  To indemnify and keep indemnified the Owner and the Owner's servants and agents against all damages, suits,
actions, claims and demands of every description whatsoever and howsoever arising, either directly or indirectly from
the use, maintenance, transport, operation of the Equipment or otherwise arising out of or in connection with the
hiring of the Equipment whether resulting from the negligence of the Hirer, its servants, agents or otherwise and all
solicitor's costs incurred by the Owner in relation to any such action claim or demand (on an indemnity basis);
6.  To indemnify the Owner against any loss or destruction of or damage to or liability in respect to the Equipment
including fines which may arise in respect to the possession, use or operation of the Equipment by the Hirer or any
other person in respect of injury to person or property arising out of the possession or use of the Equipment by the Hirer
or any other person;
7.  Not to alter or make any addition to the Equipment without the prior written consent of the Owner and not to alter or
deface any identifying marks or number on the Equipment;
8.  To give immediate written notice to the Owner of any change in the address of the Hirer or any address at which the
Equipment may be kept from time to time and not to remove the Equipment from Indonesia;
9.  To notify any person attempting to seize the Equipment of the ownership of the Owner and to give written notice to
the Owner of such seizure;
10.  In all respects to observe and comply with all statutes, regulations and by-laws relating to the Equipment or its use
and to maintain all necessary permits and authorities that may be required with respect to the Hirer's use of the
Equipment;
11.  To pay to the Owner on demand any expenditure the Owner may incur by reason of tracing or endeavor to trace
the whereabouts of or retaking or attempting to retake possession of the Equipment including, but without limiting the
generality of the foregoing, any moneys paid by the Owner in releasing any lien claimed over the Equipment and
any repairs or renovations to the Equipment;
12.  To pay to the Owner interest on any moneys paid to the Owner hereunder which are not paid within 7 days of
becoming due such interest to be paid at the rate of 2 per centum per month and calculated on a daily basis for the
respective periods from the date or dates the moneys become due to the date or dates of payment;
Right of Termination :
The Owner shall have the right to terminate the hiring of any of the Equipment if –
1.  The Hirer fails to make payment of any hiring charges in the manner agreed;
2.  The Hirer fails to observe or perform any of the terms and conditions herein contained or otherwise agreed between
the Owner and the Hirer on his part to be observed or performed;
3.  The Hirer suffers any act or thing whereby the interests of the Owner or rights in the Equipment or under these terms
and conditions may, in the opinion of the Owner, be prejudiced or be in jeopardy;
4.  Execution is levied or distress made against any property of the Hirer and not satisfied within 7 days;
5.  Any insurance proposal made in respect of the Equipment is declined or any insurance policy cancelled;
6.  The Hirer suffers any act or thing which in the opinion of the Owner is likely to endanger the safety of the Equipment or
persons using the Equipment or third persons.

Obligations Upon Termination

1.  Upon termination of the hire of any of or all of the Equipment, whether by passing of time or otherwise, the Hirer shall
deliver up the Equipment to the Owner at the Owner's address (notified in writing to the Hirer by the Owner from time
to time) in good order and condition in compliance with these terms and conditions.
2.  If the hire of any or all of the Equipment is terminated otherwise than by the passing of time, the Hirer shall pay to the
Owner.
a.  The amount of the installments of hiring charges then due and any interest accrued thereon;
b.  The amount of expenses incurred by the Owner in respect of any costs (including solicitor's costs on an
indemnity basis) incurred by the Owner of and incidental to the obtaining or attempting to obtain
possession of the Equipment or enforcing or attempting to enforce any of the rights under these terms and
conditions the amount expended by the Owner on storage of the Equipment and the difference between
the hiring charges and other moneys that the Owner would have received under these terms and
conditions or any other terms and conditions agreed between the Owner and Hirer for the balance of the
period of hiring had the agreement to hire the Equipment not been terminated and the hiring charges and
other moneys the Owner might reasonably expect to receive upon the re-hiring of the Equipment for the
balance of the period of hiring.

Recovery of the Equipment:

For the purposes of recovering the Equipment, the Owner may enter into or upon any such premises where the Equipment
may be without prejudice to the rights of the Owner to recover from the Hirer any moneys due hereunder or any
damages for breach of these terms and conditions and the Hirer indemnifies the Owner in respect of any claims,
damages or expenses arising out of any action taken under this clause

Further Terms:
1.  The Hirer shall only use the Equipment in Indonesia and not elsewhere and the Owner shall, at all times, have the right
to inspect the Equipment and for that purpose enter upon the premises at which it might be kept.
2.  The Hirer acknowledges that he is not entitled to grant possession of the Equipment to any other person or company
and is not entitled to hire the Equipment to any other person or to assign any hiring agreement to any other person.
3.  Any failure by the Owner to insist upon strict performance by the Hirer of any of these terms or conditions shall not be
taken to be a waiver thereof and no waiver by the Owner of one breach of any term or condition, whether
expressed or implied, shall operate as a waiver for another breach of the same or any other terms or conditions of
hiring expressed or implied.
4.  If any one or more of these terms and conditions is unlawful or invalid for any reason, such terms and conditions shall
to such extent as they are unlawful or invalid be severed from this agreement without invalidating or modifying the
remaining provisions hereof which shall continue in full force and effect as if the provisions which are unlawful or
invalid had not been included herein.
5.  All hire agreements are governed by the laws of Indonesia and all disputes shall be referred to a court of competent
jurisdiction in that country
