Liability for costs and expenses of appraisal

GENERAL RULE: The CORPORATION bears the costs and expenses of appraisal.
EXCEPTIONS: The STOCKHOLDER bears the costs and expenses in the following instances:
1. When the fair value ascertained by the appraisers is approximately the same as the
price which the corporation may have offered to pay the stockholder.
2. When an action to recover such fair value has been filed because the refusal of the
stockholder to receive payment was unjustified.
