Proposed Contract Terms
William Napier
January 1, 2018 - December 31, 2022 (mutual option for 1 year rollover after
first year at terms no less than the final year of this agreement)
$250,000 annual salary (increase $25,000 on January 1, 2019; increase $50,000
on January 1, 2020; increase $75,000 on January 1, 2021; increase $100,000 on
January 1, 2022). With associated benefits as per normal university policies.
Subject to annual increases per normal University and department salary
guidelines.
$100,000 annual contribution by University to a designated fund owned by
University. Payable to coach if still employed by University on ending date of
this contract. Coach will be entitled to a prorated portion of the annual
contributions for the time worked up to the time of termination if terminated
without cause. If Coach is still employed by University as of January 31, 2021,
coach will become entitled to any amounts contributed prior to that day,
regardless of whether he is employed through the ending date of the contract.

‘SBC Defined Bowl Appearance 25% of one month base salary
New Year's Six/CFP Appearance _ one (1) month of base salary
‘Termination of contract:
University Terminates without cause: University shall be liable to Coach for liquidated
damages as follows: 75% of remaining base and additional compensation plus the deferred
compensation as calculated above in one lump sum within 60 days of termination. There will
be no offsetting of these amounts.

Coach Terminates for another coaching job: Coach shall pay University within 60 days of
termination as follows:
Year 1 (prior to December 31, 2018): $2,750,000
Year 2 (prior to December 31, 2019): $2,000,000
Year 3 (prior to December 31, 2020): $1,250,000
Year 4 (prior to December 31, 2021): $750,000

These terms are subject to approval by the University of Louisiana System Board, successful
background check and mutual agreement of final contractual language.
