SALE AND PURCHASE AGREEMENT
(BUILDING OR LAND INTENDED FOR SUBDIVISION INTO PARCELS)

本合约于表六第1条所述日期签订。
AN AGREEMENT made on the date stated in Section 1 of the Sixth Schedule.

(1) COUNTRY GARDEN PACIFICVIEW SDN. BHD. (COMPANY No.:
1044344-D), a company incorporated in Malaysia and a housing developer duly
licensed under the Housing Development (Control and Licensing) Act 1966 (License
number as stated in Section 2(a) of the Sixth Schedule) with its registered office
at Level 3, Lot PTB 22056, Danga Bay, Jalan Skudai, 80200 Johor Bahru,

Danga Bay, Jalan Skudai, 80200 Johor Bahru, Johor (hereinafter called "the
Developer") of the one part,


AND

(2) 此签约方具体名称、详情及地址见表六第3条 (以下简称“买方”)。


(2) the party whose name, particulars and address are stated in Section 3 of
the Sixth Schedule (hereinafter called "the Purchaser") of the other part.

序言:
PREAMBLE:

鉴于,开发商是表六第4条所述*永久业权/租用业权土地(以下简称“该土地”)

的注册业主和受益人;
(A) WHEREAS the Developer is the registered proprietor and beneficial owner
of all that freehold land described in Section 4 of the of the Sixth Schedule
(hereinafter referred to as “the said Land”);

鉴于,该土地已押记给表六第5条所述银行和/或金融机构(以下简称“过渡融资

机构”),作为发放给开发商贷款的抵押品;
(B) AND WHEREAS the said Land is charged to the bank and/or the financial
institution as described in Section 5 of the Sixth Schedule (hereinafter
called “the Bridging Financier”) as security for the financial facility
granted to the Developer;

鉴于,开发商已自费获得有关当局对建筑平面图(以下简称“建筑平面图”)的

批准,并按2013年《分层管理法案》【757法案】向建筑委员会提交一份土地分区图;
(C) AND WHEREAS the Developer has, at its own cost and expense, obtained
the approval of the building plans (hereinafter referred to as "the Building
Plan") from the Appropriate Authority, a copy of a schedule of parcels has

been filed with the Commissioner of Building under the Strata
Management Act 2013 [Act 757];

鉴于,开发商拟在该土地上开发建设表六第6条所述住宅区(以下简称“项目”)

,并配套表二所述公共设施,现有广告和销售许可见表六第2(b)条(以下简称“开发商

的广告和销售许可号”);
(D) AND WHEREAS the Developer is developing the said Land as a housing
development as stated in Section 6 of the Sixth Schedule (hereinafter
referred to as “the Project”) complete thereon with the common facilities
described in the Second Schedule under the license bearing the numbers
as stated in Section 2(a) of the Sixth Schedule and the Developer is
selling the housing accommodation to be erected thereon under
Advertisement and Sale Permit number as stated in Section 2(b) of the
Sixth Schedule;

鉴于,开发商已同意出售且买方已同意购买表六第7(a)条所述具空地占有权的

住宅单位,如*楼面图/定界图所示绿色阴影部分(以下简称“该单元 ”),该单元大致

面积如表六第7(b)条所述,位于表六第7(c)条所述建筑物内,即工地平面图所示标红色

阴影部分(以下称“该建筑物 ”),并附带表六第7(d)条所述附属单位(即附于表一的
附属单位平面图所示蓝色阴影部分)(以下简称 “该单位 ”)(该单元和该附属单位以
下统称为“该单位”),并受制于下列合同条款;
(E) AND WHEREAS the Developer has agreed to sell and the
Purchaser has agreed to purchase a parcel of housing accommodation with
vacant possession distinguished in Section 7(a) of the Sixth Schedule which is
delineated and shaded GREEN in the *Storey Plan/Delineation Plan, measuring
approximately the area as stated in Section 7(b) of the Sixth Schedule within
Storey no as stated in 7 (a) of the Sixth Schedule of the building no as stated in
Section 7(c) of the Sixth Schedule which is in turn delineated in the copy of
such schedule and shaded RED in the Site Plan (hereinafter referred to as "the
said Building") with accessory parcel as stated in Section 7(d) of the Sixth
Schedule (which is delineated in the copy of such schedule and shaded BLUE in
the Accessory Parcel Plan annexed to the First Schedule) (hereinafter referred to
as "the said Parcel"), subject to the terms and conditions hereinafter
contained;

按2013年《分层管理法案》提交给建筑委员;
(F) AND WHEREAS the allocated share units assigned to the said Parcel by
the Developer’s licensed land surveyors in the schedule of parcels filed
with the Commissioner of Buildings under the Strata Management Act
2013;
鉴于,开发商已开立表六第8条所述房屋开发项目账号(以下简称“房屋开发项

目账号”),其注册办公室地址为………………………………..;
(G) AND WHEREAS the Developer has opened a Housing Development
Account No. with the bank / financial institution with its registered office as
stated in Section 8 of the Sixth Schedule (hereinafter referred to as “the
Housing Development Account No.”);

鉴于,以本合约之目的,开发商由表六第9(a)条所述人士代表(以下简称为“开

发商律师”),而买方由表六第9(b)条所述人士代表(以下简称“买方律师”)
(H) AND WHEREAS for the purpose of this Agreement, the Developer is
represented by Solicitors as stated in Section 9(a) of the Sixth Schedule
(hereinafter referred to as ”Developer’s Solicitor”) whilst the Purchaser is
represented by Solicitors as stated in Section 9(b) of the Sixth Schedule
(hereinafter referred to as “Purchaser’s Solicitor”).

双方特此接受以下条款:
NOW IT IS HEREBY AGREED as follows:

Interpretation

1. 在本合约中,若上下文如此要求:
In this Agreement, where the context requires so-

(a.) “附属单位”指楼层图所示用以或拟用以连接该单位的附属单位;
“accessory parcel” means any parcel shown in a strata plan as an accessory

parcel which is used or intended to be used in conjunction with a parcel;

(b.)“有关当局”指马来西亚半岛现行成文法授权批准土地细分、建物细分、建筑平面图、

签发所有权文件,以及执行其他相关法律的任何机关,包括有关当局已授权提供水力、

电力、通讯、污水处理服务以及其他相关服务的任何法人团体、公司或私人 机构;
“Appropriate Authority” means any authority authorised under any written law in
force in Peninsular Malaysia to approve subdivision of land, subdivision of
buildings, building plans, the issuance of document of title and to enforce any
other laws and includes any corporation, company or private agency licensed by
the Appropriate Authority to provide water, electricity, telecommunication,

sewerage services and other related services; )

(c.)“完工与达标证书”指依据1974 年《街道下水道和建筑物法案》【133法案】及依该法

制订之相关细则所授予或核发的完工与达票证书,证明住宅建筑已完工且安全宜居,但

是不包括部分完工与达标证书;
“certificate of completion and compliance” means the certificate of completion
and compliance given or granted under the Street, Drainage and Building Act
1974 [Act 133] and any by-laws made under that Act certifying that the housing
accommodation has been completed and is safe and fit for occupation but does
not include partial certificate of completion and compliance;

(d.)“共有财产”
“common property”-

i. 与建筑物或拟细分为单位的土地相关时,指以下开发区域:
in relation to a building or land intended for subdivision into
parcels, means so much of the development area

(A) 不包含在任何单位或预留单位中的区域;以及

as is not comprised in any parcel or proposed parcel; and

(B) 由或可由两个或以上单位占有人使用或享有的区域;或者

used or capable of being used or enjoyed by occupiers of

two or more parcels or proposed parcels; or

ii. 与细分建筑物或土地相关时,指以下地块:
in relation to a subdivided building or land, means so much of
the lot-

(A) 不包含在任何单位(包括任何附属单位),或任何认证楼层平

面图中所示任何临时分区的区域;以及

as is not comprised in any parcel, including any


accessory parcel, or any provisional block as shown in a
certified strata plan; and

(B) 由或可由两个或以上单位占有人使用或享有的区域;

used or capable of being used or enjoyed by occupiers of


two or more parcels

(e.)“主管”指依据 1966 年《房屋开发(管制与许可)法案》第4条任命的房屋开发主管


“Controller” means the Controller of Housing appointed under section 4
of the Housing Development (Control and Licensing)
Act 1966;

(f.)“房屋开发商”指参与、从事、承办或责成承办房屋开发项目的任何个人、个人团体

、公司、事务所或协会(无论以任何名义),并且若房屋开发商面临清算,则包括由具

司法管辖权的法庭指定成为临时清算师或房屋开发商清算师的个人或团体;
“housing developer” means any person, body of persons, company, firm or
society (by whatever name described), who or which engages in or carries on or
undertakes or causes to be undertaken a housing development and in a case
where the housing developer is under liquidation, includes a person or a body
appointed by a court of competent jurisdiction to be the provisional liquidator or
liquidator for the housing developer;

(g.)“联合管理机构”是指依据2013年《分层管理法案》成立的联合管理机构;
“joint management body” means the joint management body established
under the Strata Management Act 2013;

(h.)“管理公司”指依据1985年《分层产权法案》设立的管理公司;
“management corporation” means the management corporation established
under the Strata Titles Act 1985;

(i.)“单位”
“parcel”-

(i) 与拟细分的建筑物相关时,指将按独立分层产权证持有的(附属单位
除外)该建筑物内单个单元之一;
in relation to a building intended for subdivision, means one of
the individual units comprised therein, which (except in the
case of an accessory parcel) is to be held under a separate
strata title;
(ii) 与拟细分的土地相关时,指将按独立分层产权证持有的土地单位
的单个单元之一;
in relation to a land intended for subdivision, means one of the
individual units of land parcels which is to be held under a
separate strata title;

(iii)与已细分建筑物相关时,指按独立分层产权证持有的(附属单位
除外)该建筑物内单个单元之一;以及
in relation to a subdivided building, means one of the individual
units comprised therein, which (except in the case of an
accessory parcel) is held under a separate strata title; and

(iv)与已细分土地相关时,指按独立分层产权证持有的土地单位单个

单元之一;
in relation to subdivided land, means one of the individual units
of land parcels which is held under a separate strata title;

(j.)“买方”包括其继承人、个人代表、产权继承人和受让人,若“买方”超过两名或以上,

须依本合约承担个别和共同责任;
“Purchaser” includes his heirs, personal representatives, successors in title and
assigns and where there are two or more persons included in the expression
“the Purchaser” their liabilities under this Agreement shall be joint and several;

(k.)“连接就绪”是指开发商已安装好该单位内电接点与水管装置和配件,并已准备好为

各单位接通水电;
“ready for connection” means electrical points and water fittings and fixtures in
the said Parcel have been installed by the Developer and are fully functional and
supply is available for tapping into individual parcels;

(l.)含有男性意义的词语应视同包含女性和中性意义,单数意义应包含复数意义,反之
亦然。
words importing the masculine gender shall be deemed and taken to include the
feminine and neuter genders and the singular to include the plural and vice
versa.

无农业、工业或建筑限制的单位
Parcel free from agricultural, industrial and building restrictions

2. 开发商特此同意出售、买方特此同意购买,未被加诸任何明示或默示农业或工业

条件以及对住宅建筑有任何限制的该单位,本合约条款规定或者本合约签订时业已存

在的条件与产权负担(若有),以及任何影响该单位产权的明示或默示的条件除外
The Developer hereby agrees to sell and the Purchaser hereby agrees to
purchase the said Parcel free from any agricultural or industrial condition
expressed or implied and any restriction against the building of housing
accommodation thereon and all encumbrances other than those imposed by
the provisions of this Agreement or already subsisting at the date of this
Agreement (if any) and any condition expressed or implied affecting the title of
the said Parcel.

在买方取得该单位的空地占有权前,该单位
无任何产权负担
Parcel free from encumbrances before the Purchaser takes vacant
possession of the said Parcel

3. (1) 在签订本合约签订之后,未经买方事先书面同意,开发商不得为该土地设
置任何产权负担,并且开发商承诺,在买方取得该单位空地占有权之前,该单位无任
何产权负担。
The Developer shall not immediately and at any time after the date of execution
of this Agreement subject the said Land to any encumbrance without the prior
written consent of the Purchaser and the Developer hereby undertakes that the
said Parcel shall be free from any encumbrance immediately prior to the
Purchaser taking vacant possession of the said Parcel.

(2) 买方应以书面形式允许开发商对该土地设置产权负担,以便获得任何银
行和/或金融机构的信贷,惟买方应先取得相关银行和/或金融机构的书面确认,表示将
放弃对该单位拥有的任何权利和利益,并且承诺当该银行和/或金融机构针对开发商和/
或该土地提出任何止赎诉讼时,不对该单位执行任何止赎程序。

The Purchaser shall give such written consent to the Developer encumbering the
said Land for the purpose of obtaining financial facility from any bank or financial
institution only if the Purchaser has first received confirmation in writing from the
relevant bank or financial institution disclaiming their rights and interests over
the said Parcel and undertaking to exclude the said Parcel from any foreclosure
proceedings which such bank or financial institution may take against the
Developer or the said Land.

(3) 若开发商将该土地向任何银行和/或金融机构设置产权负担,开发商应
在本合约日期后,即刻向买方或其融资机构(定义如下)交付或责成交付一份由该银
行和/或金融机构为该单位签发的赎回声明和保证书,并授权买方将同等于该单位赎回
价的部分购买价,或买方金额机构发放的同等于该单位租契赎回价的部分贷款(视具
体情况而定),直接支付给该银行和/或金融机构,此后,购买价尾款或贷款余额应依
表三规定的时间和方式分期逐步支付给 开发商。

In the event the said Land shall be encumbered to any bank or financial
institution by the Developer, the Developer shall immediately after the date of
this Agreement, deliver or cause to be delivered to the Purchaser or the
Purchaser’s Financier (as hereinafter defined) a copy of the redemption
statement and undertaking letter issued by such bank or financial institution in
respect of the said Parcel and shall authorise the Purchaser to pay such portion of
the purchase price or the Purchaser’s Financier to release such portion of the
financial facility, as the case may be, equivalent to the amount of the redemption
sum payable in respect of the said Parcel directly to such bank or financial
institution and thereafter the balance purchase price or the balance financial
facility to the Developer provided all such payments and releases are made
progressively at the time and in the manner prescribed in the Third Schedule.

(4) 开发商与其融资机构(考虑赎回金额)可商定表三第2(a)、(b)和(c)项所
述分期款的百分比,该比例应单独书面通知买方,并用于结算全额赎回金额。若赎回
金额大于前述分期款,买方支付金额超出购买价50%之前,取得买方同意情况下,赎
回金额应由开发商与其融资机构结算
A proportion of such part of the instalments envisaged in items 2(a), (b) and (c)
of the Third Schedule as may be agreed between the Developer and its financier
(taking into account the redemption sum) and which proportion shall be informed
to the Purchaser separately in writing shall be applied towards settlement of the
redemption sum in full. In the event the redemption sum is greater than the said
instalments, the redemption sum shall be fully settled by the Developer to its
financier with the consent of the Purchaser before payment by the Purchaser of
monies in excess of 50% of the purchase price.

4. 该单位购买价如表六第 10条所述,并应按照本合约条款所规定的方式支付。

The purchase price of the said Parcel is as stated in Section 10 of the Sixth
Schedule and shall be payable in the manner hereinafter provided.

5. (1) 买方应依表三所规定的时间与方式向开发商分期支付购买价。开发商没
有义务依照表三的顺序展开或完成工程。买方则须根据开发商完成工程的情况按阶段
付款。但在买方取得该单位的空地占有权之前,若后续工程对已完成的工程造成任何
损坏,开发商须自费修复此类缺陷。

The purchase price shall be paid by the Purchaser to the Developer by


instalments and at the time and in the manner prescribed in the Third Schedule.
The Developer is not bound to commence or complete the works in the order
referred to in the Third Schedule and the Purchaser shall pay the instalments
according to the stage of works completed by the Developer provided that any
damage to the completed works by subsequent stage of works shall be repaired
and made good by the Developer at its own cost and expense before the
Purchaser takes vacant possession of the said Parcel.

(2)表三所述各通知,须附上负责开发商房屋开发项目的建筑师或工程师签署的证
明,此签署证书将作业证明有关工程已完成的凭证。
Every notice referred to in the Third Schedule requesting for payment shall be
supported by a certificate signed by the Developer’s architect or engineer in
charge of the housing development and every such certificate so signed shall be
proof of the fact that the works therein referred to have been completed.

贷款
Financial Facility

6. (1) 若买方欲申请贷款以支付该单位的购买价(以下简称“贷款”),买方应在
收到盖章合约后三十(30)天内,向开发商提出书面贷款申请。开发商应为买方尽最
大努力向银行、建筑协会、金融机构(以下简称“买方融资机构”)申请贷款。若该贷
款申请获得批准,买方应在三十(30)天内签署所有必要的表格和文件,并支付所有
相关费用、律师费和印花税。

If the Purchaser is desirous of obtaining a financial facility to finance the payment


of the purchase price of the said Parcel (hereinafter referred to as “the Financial
Facility”), the Purchaser shall, within thirty (30) days after the receipt of a

stamped copy of the Agreement, make a written application for the Financial
Facility to the Developer who shall use its best endeavours to obtain the Financial
Facility for the Purchaser from a bank, a building society or a financial institution
(hereinafter referred to as “the Purchaser’s Financier”) and if the Financial Facility
is obtained, the Purchaser shall, within thirty (30) days, execute all necessary
forms and documents and pay all fees, legal costs and stamp duty in respect
thereof.

(2) 买方应根据表三所规定的时间和方式,将全部贷款用于支付该单位的购
买价。
The Purchaser shall utilise the whole of the Financial Facility towards the
payment of the purchase price of the said Parcel at the time and in the manner
prescribed in the Third Schedule.

(3) 若买方因收入不符合贷款资格而未能获得贷款,并且已向开发商提供相
关证明,买方谨须支付给开发商百分之一(1%)的购买价,本合约应随即终止。这种
情况下,开发商应在本合约终止日期后的三十(30)天之内,向买方退还其已付的剩
余款项。
If the Purchaser fails to obtain the Financial Facility due to his ineligibility of
income and has produced proof of such ineligibility to the Developer, the
Purchaser shall then be liable to pay to the Developer only one per centum (1%)
of the purchase price and this Agreement shall subsequently be terminated. In
such an event, the Developer shall, within thirty (30) days of the date of the
termination, refund to the Purchaser the balance of any amount paid by the
Purchaser.

(4) 若买方未能接受贷款、违反必要申请条件、或者失去贷款资格而导致融
资机构撤回贷款,视具体情况而定,买方须向开发商支付该单位全部的购买价或尚未
付清的部分购买价。
If the Purchaser fails to accept the Financial Facility or defaults in complying with
the necessary requirements for the application or is disqualified as a result of
which the Financial Facility is withdrawn by the Purchaser’s Financier, as the case
may be, the Purchaser shall then be liable to pay to the Developer the whole of
the purchase price or such part thereof as shall then remain outstanding.

(5) 若开发商未能替买方取得任何贷款,开发商须在接获贷款拒绝通知后的

三十(30)天内告知买方,开发商将无须对买方承担任何损失、损害、费用或开支的
责任。未获得贷款并不能作为买方延误或拒付表三规定 之到期未付购买价分期款的理
由。
In the event that the Developer shall not be able to obtain any financial facility
for the Purchaser, the Developer shall, within thirty (30) days after the receipt of
the notification of rejection of the Financial Facility, inform the Purchaser of the
same and the Developer shall not in any way be liable to the Purchaser for any
loss, damage, cost or expense howsoever arising or incurred and such failure to
obtain the Financial Facility shall not be a ground for any delay in the payment or
for any non-payment on due dates of any of the instalments of the purchase
price as set out in the Third Schedule.

(6) 若买方融资机构要求,开发商在收到由买方融资机构发出的依表三规定
的方式支付贷款的无条件承诺函后,卖方应向买方融资机构发送一份信函,承诺若因
任何不能归咎于买方的理由使该单位的转让文件无法登记在买方名下,卖方将退还贷
款金额。
If required by the Purchaser’s Financier and upon receipt by the Developer of an
unconditional undertaking from the Purchaser’s Financier to pay the Financial
Facility sum in the manner prescribed in the Third Schedule, the Developer shall
forward to the Purchaser’s Financier an undertaking to refund the Financial
Facility sum in the event the instrument of transfer of the said Parcel cannot be
registered in favour of the Purchaser for any reason which is not attributable to
the Purchaser.

联邦或州政府或法定机构提供的贷款
Financial facility from Federal or State Government or statutory
authority

7. (1) 若买方欲向提供贷款的马来西亚政府、马来西亚任何州政府、或任何法定机
构(此中称为“政府”)取得贷款,买方应在收到盖章合约后三十(30)天内书面通知
开发商,并且买方须执行所有必要行为以确保获得贷款。

If the Purchaser is desirous of obtaining a financial facility from the Government


of Malaysia or any State Government in Malaysia or any statutory authority

which provides financial facilities (which in this context shall be referred to as
“the Government”), the Purchaser shall, within thirty (30) days after the receipt
of a stamped copy of the Agreement, inform the Developer of the same in
writing and the Purchaser shall do all acts and things necessary to secure the
Financial Facility.

(2) 若买方因任何理由未取得贷款,买方须向开发商支付全额购买价或尚未付清
的部分购买价。
If the Purchaser fails to obtain the Financial Facility for any reason whatsoever,
the Purchaser shall then be liable to pay to the Developer the whole of the
purchase price or such part thereof as shall then remain outstanding.

买方启动并主张诉讼的权利
Purchaser’s rights to initiate and maintain action

8. 买方有权按照其意愿,以自己的名义在任何法院或仲裁庭,就本合约相关事项,
对开发商或任何其他人采取、启动或维持任何诉讼、起诉或法律程序。但前提条件
是,在任何法院或仲裁庭对开发商或任何其他人采取、启动或维持任何诉讼、起诉或
法律程序之前或之后的三十(30)天之内,转让契约下注明的买方融资机构或政府应
收到相关书面通知。

The Purchaser shall be entitled on his own volition in his own name to initiate,
commence, institute and maintain in any court or tribunal any action, suit or
proceedings against the Developer or any other persons in respect of any matter
arising out of this Agreement provided the Purchaser’s Financier or the
Government under a deed of absolute assignment is notified in writing either
before or within thirty (30) days after the action, suit or proceedings against the
Developer or any such other persons has been filed before any court or tribunal.

合约之时间要素
Time essence of contract

9. 时间在本合约的所有条款均呈关键性作用。
Time shall be the essence of the contract in relation to all provisions of this Agreement.

迟缴滞纳金
Late payment charges
10. (1) 在不损及开发商在本合约第 11 条项下权益的情况下,以第(3)小条为准,若买
方未在表三规定的三十(30)个工作日期限内支付表三所列之分期款项,买方须按照尚
未清还之款项,缴付依百分之十(10%)年利率计算的迟缴滞纳金。
Without prejudice to the Developer’s right under clause 11 and subject to
subclause (3), if any of the instalments set out in the Third Schedule shall remain
unpaid by the Purchaser at the expiration of the period of thirty (30) days as
stipulated in the Third Schedule, late payment charges on such unpaid instalment
shall commence immediately thereafter and be payable by the Purchaser and
such charges shall be calculated from day to day at the rate of ten per centum
(10%) per annum.

(2) 若买方迟缴付款是因下列一项或多项情況所导致,开发商将不得向买方征
收任何分期款项的迟缴滞纳金:
The Developer shall not be entitled to impose charges on the late payment in
respect of any instalment if the delay in payment of such instalment is due to
any one or more of the following:

(a) 表三所述由开发商提供给买方、买方融资机构或政府的相关完工
进度通知信并不完整或并不符合第5(2)条要求;
the relevant notice for progressive claims referred to in the Third
Schedule furnished by the Developer to the Purchaser, the
Purchaser’s Financier or the Government is not complete or does not
comply with the requirement of subclause 5(2);

(b) 若开发商将该土地向任何银行和/或金融机构设置产权负担,而该
银行或金融机构拖延或不能提供该单位之赎回声明和承诺书给买
方、买方融资机构或政府;或
in the event the said Land is encumbered to any bank or financial
institution by the Developer, such bank or financial institution delays
or fails to issue and deliver the redemption statement and
undertaking letter in respect of the said Parcel to the Purchaser, the
Purchaser’s Financier or the Government; or

(c) 若开发商将该租契向银行和/或金融机构设置产权负担,买方融资
机构或政府因进度分期款数额不足以结清该单位的应付赎回款而
拒绝发出同等于分期款数额的部分贷款;
in the event the said Land is encumbered to any bank or
financial institution by the Developer, the Purchaser’s
Financier or the Government shall refuse to release the
relevant portion of the sum financed equivalent to the
progressive payment due on the ground that such progressive
payment is insufficient to settle the full redemption sum
payable in respect of the said Parcel;

(3.)若买方已获得政府贷款,本合约签署之后六(6)个月内,开发商不得向买方征收表
三所述任何分期款项的迟缴滞纳金。
In the event the Purchaser has obtained the Financial Facility from the
Government, the Developer shall not be entitled to impose late payment charges
in respect of any of the instalments set out in the Third Schedule for a period of
six (6) months commencing from the date of this Agreement.

买方的违约责任及合约终止
Default by Purchaser and determination of Agreement

11. (1) 若买方

If the Purchaser-

(a.)另受本第(3)条约束以外,没有依第 5(1)条支付表三规定的分期款项
或部分分期款项,并且未在分期款项或滞纳金到期日逾期三十(30)天
后按照第 10条支付滞纳金;
subject to subclause (3), fails to pay any instalment payable under
subclause 5(1) in accordance with the Third Schedule or any part
thereof and any late payment charges payable under clause 10 for
any period in excess of thirty (30) days after the due date of the
instalment or late payment charges;

(b.)另受本第(3)条约束以外,没有在应缴付之款项到期日逾期三十( 30)

天后支付本合约规定的任何款项;
subject to subclause (3), fails to pay any sum payable under this
Agreement for any period in excess of thirty (30) days after the due
date of such sum;

(c.)违反或未能履行或不遵守本合约内的任何重要条款或契约;或
commits any breach of or fails to perform or observe any material
term, condition or covenant of this Agreement; or

(d.)在未全额付清该单位的购买价之前,无论自愿与否,进行破产行为,
或与其债权人订立任何债务和解合约或(若买方为公司)进行清盘程
序,无论是否自愿,
before payment in full of the purchase price of the said Parcel,
commits an act of bankruptcy or enters into any composition or
arrangement with his creditors or, being a company, enters into
liquidation, whether voluntary or otherwise,

除另受本第(2)条的约束以外,开发商可撤销该单位的买卖并立即终止本合约。
在这种情况下:-
the Developer may, subject to subclause (2), annul the sale of the said
Parcel and forthwith terminate this Agreement and in such an event-

(i) 开发商应有权以其认为合适的方式处理或以其他方式处置该单位,视同
从未签署本合约;
the Developer shall be entitled to deal with or otherwise dispose of the
said Parcel in such manner as the Developer shall see fit as if
this Agreement had not been entered into;

(ii) 买方先前已支付给开发商的分期款项,除已付滞纳金以外,应按以下
方式处理并处置:
the instalments previously paid by the Purchaser to the
Developer, excluding any late payment charges paid, shall be
dealt with and disposed of as follows:

(A) 首先,按照第10 条计算的尚欠未付滞纳金须支付给开发商;
firstly, all late payment charges calculated in accordance
with clause 10 owing and unpaid shall be paid to the
Developer;

(B) 其次,开发商可没收如下:
secondly, a sum to be forfeited to the Developer as
follows:

(i) 若已缴付少于百分之五十(50%)购买价,没收相当
于 百 分 之 十 ( 10% ) 购 买 价 的 金 额 ; where up to fifty per
centum (50%) of the purchase price has been paid, a sum
equal to ten per centum (10%) of the purchase price;

(ii) 若已缴付多于百分之五十(50%)购买价,没收相当于百分之二十
(20%)购买价的金额;并且
where more than fifty per centum (50%) of the purchase price
has been paid, a sum equal to twenty per centum (20%) of the
purchase price; and

(C) 最后,剩余的款项应归还给买方;
lastly, the residue thereof shall be refunded to the Purchaser;

(iii) 本合约的任何一方都不得依本合约向另一方索取任何费用、损失、
赔偿或其它诉求;并且
neither party hereto shall have any further claim against the
other for costs, damages, compensations or otherwise under
this Agreement; and

(iv) 合约各方应各自承担自身费用。
each party hereto shall pay its own costs in the matter.

(2) 若发生以上第11(1)(a)、 (b)、 (c)、或(d)条所述事件,开发商须至少提前


三十(30)天以挂号信方式向买方或其律师发出书面通知,视同买方已毁约,除

非买方可同时纠正有关违例行为, 或者清还有关分期款项以及滞纳金,或依本
分条款第 (3)实施,开发商有权在前述通知届满后视本合约已终止。
Upon the occurrence of any of the events set out in paragraph 11(1)
(a), (b), (c), or (d), the Developer shall give the Purchaser or his solicitors
not less than thirty (30) days notice in writing by A.R. Registered post to
treat this Agreement as having been repudiated by the Purchaser and
unless in the meanwhile such default or breach alleged is rectified or such
unpaid instalments and late payment charges are paid or subclause (3)
shall apply, this Agreement shall, at the expiration of the said notice at the
option of the Developer be deemed to be terminated.

(3.)若买方在前述通知三十(30)天届满前,获得贷款批准并支付购买价
与贷款之间的差额,并已将买方融资机构或者政府所发出的承诺向开发商
发放贷款的承诺函交给开发商,开发商不得取消该单位的交易并终止本合
约,除非买方融资机构或政府违反其所发出之承诺,或未在前述通知三十
(30)天届满后的三十(30)天内向开发商发放首期贷款。
If the Purchaser shall have, before the expiry of the said thirty (30)
days notice, obtained approval of the Financial Facility and paid the
difference between the purchase price and the Financial Facility and
delivered to the Developer the undertaking letter from the
Purchaser’s Financier or the Government to release the Financial
Facility to the Developer, the Developer then shall not annul the sale
of the said Parcel and terminate this Agreement unless the
Purchaser’s Financier or the Government shall default in its
undertaking to release the Financial Facility to the Developer or fail to
make the first disbursement of the Financial Facility to the Developer
within thirty (30) days from the expiry of the said thirty (30) days
notice.

独立分层产权证以及产权证的转让
Separate strata title and transfer of title

12. (1) 开发商应在自行承担成本与费用并且不增加买方任何额外成本的情况下,尽

快申请该建筑或土地(视具体情况而定)细分成单位,以便在按照第27条规定的方式
向买方交付空置占有权之前,取得依据1985年《分层产权法》出具的该单位独立分层
产 权证。 The Developer shall, at its own cost and expense and at no additional
cost to the Purchaser and as expeditiously as possible, apply for subdivision of
the said Building or Land intended for subdivision into parcels, as the case may
be, so as to obtain the issue of separate strata titles to the said Parcel under the
Strata Titles Act 1985 before the delivery of vacant possession to the Purchaser
in the manner stipulated in clause 27.

(2) 该单位独立分层产权证发出时,以买方依第5(1)条向开发商支付购买价并遵
守本合约所有条款与条件为条件,开发商须在不增加买方任何额外成本与支出的情况
下,在交付空置占有权当天或之前,签署并向买方或买方律师交付该单位的有效可登
记的转让文书,并为登记在买方名下而出示独立分层产权证。 Upon the issuance of
the separate strata title to the said Parcel and subject to the payment of the
purchase price by the Purchaser to the Developer in accordance with subclause
5(1) and the observance of all the terms and conditions herein provided, the
Developer shall, at no additional cost and expense to the Purchaser on or before
the date of delivery of vacant possession, execute or cause the Proprietor to
execute and deliver a valid and registrable instrument of transfer of the said
Parcel to the Purchaser or the Purchaser’s solicitor together with a separate
strata title to be presented for registration in favour of the Purchaser

单位位置与面积
Position and area of Parcel

13. (1) 该单位面积的错误或失实陈述,不应使该单位的买卖无效或使买方有权解


除 这 项 买 卖 。 No error or misstatement as to the description of the area of the
said Parcel shall annul the sale of the said Parcel or entitle the Purchaser to be
discharged from the purchase.

(2) 对于该单位面积的错误或失实陈述,买方有权依本条调整购买价。 Any


error or misstatement as to the description of the area of the said Parcel shall
give the Purchaser an entitlement to an adjustment of the purchase price in
accordance with the provisions of this clause.

(3) 若分层产权证所示该单位面积小于建筑平面图记载的面积,并且该面积
差异(如有)超出建筑平面图记载面积的百分之二(2%),购买价将按表六第11条所
述之比率作出调整。 If the area of the said Parcel as shown in the strata title when
issued is less than the area shown in the Building Plan, there shall be an
adjustment of the purchase price for the difference (if any) in excess of two per
centum (2%) of the area as shown in the Building Plan calculated at the rate as
stated in Section 11 of the Sixth Schedule.

(4)若分层产权证所示面积大于建筑平面图记载的面积,开发商将无权调整购买
价。 The Developer shall not be entitled to any adjustment of the purchase price if
the area of the said Parcel as shown in the strata title exceeds the area shown in
the Building Plan.

(5.)开发商须在分层产权证发出之后的三十(30)天内,支付因调整而产生的任何
应付款项。 Any payment resulting from the adjustment and required to be paid by
the Developer shall be so paid within thirty (30) days of the issue of the strata title.

材料与工艺须符合描述
Materials and workmanship to conform to description

14. (1) 该单位以及应构成公共财产之组成部分的所有公共设施,必须依表四描述


的施工方法以及表二有关当局批准的平面图建造,买方仅此同意并接受有关描述和平
面 图 。 The said Parcel together with all the common facilities, which shall form
part of the common property, shall be constructed in a good and workmanlike
manner in accordance with the description set out in the Fourth Schedule and in
accordance with the plans approved by the Appropriate Authority as in the
Second Schedule, which descriptions and plans have been accepted and
consented by the Purchaser, as the Purchaser hereby acknowledges.

(2) 除依有关当局要求外,在未得到买方的书面同意之前,不得对获准平面图作出
任何变更或偏离。 No changes or deviations from the approved plans shall be made
without the consent in writing of the Purchaser except such as may be required by

the Appropriate Authority.

(3)买方将无须支付任何变更或偏离所产生的费用。若任何变更或偏离涉及使用替
代品或使用较便宜的材料或因卖方省略原已允许建造的工程之疏忽,买方应有权获得购
买价相应的调整或赔偿,视具体情况而定。 The Purchaser shall not be liable for the
cost of such changes or deviations and in the event that the changes or deviations
involve the substitution or use of cheaper materials or the omission of works
originally agreed to be carried out by the Developer, the Purchaser shall be
entitled to a corresponding reduction in the purchase price or to damages, as the
case may be.

买方的变更限制
Restriction against variation by Purchaser

15. (1) 至核发相关的完工与达标证书之前,买方在未得到开发商事先书面同意的情


况下,不得对该单位和相关描述进行或责成任何变动,或对该单位进行或责成改建或
增建,或安装或责成安装可促使已获准建筑平面图变更或须再提呈附加平面图的固定
附着物或设备。 The Purchaser shall not carry out or cause to be carried out any
variation to the said Parcel and description therein or any alteration or addition to
the said Parcel or install or caused to be installed any fixtures or fittings therein
which would involve the amendment of the approved Building Plan or the
submission of further plans without the prior written consent of the Developer
until the relevant certificate of completion and compliance has been issued.

(2) 若开发商同意为买方进行改建或增建,开发商应将允许的改建或增建项目清
单,以及预先确定的相关费用表列为本合约附件,买方应在开发商书面要求付款后的
三十(30)天内,支付该改建或增建费用。 Where the Developer agrees to carry
out such alterations or additional works for the Purchaser, the Developer shall
annex to this Agreement an inventory list of such permissible alterations or
additional items with a prefixed schedule of rates or charges in respect thereof
and the Purchaser shall pay for the cost of such alterations or additional works
within thirty (30) days of the Developer's request in writing for such payment.

Restriction against change to colour code

16. 不论第 15 条款如何规定,未经有关当局事先书面同意,买方不得改变或责成改


变该单位的外观颜色。
本条仅适用于1995年《布城法案》【536法案】第10条所述的布城直辖区。

Notwithstanding the provisions of clause 15, the Purchaser shall not carry out or
cause to be carried out any change in the colour of the exterior of the said Parcel
without the prior written consent of the Appropriate Authority.
This applies only to Federal Territory of Putrajaya as described in section 10 of the
Perbadanan Putrajaya Act 1995 [Act 536

基础设施与维护
Infrastructure and maintenance

17. (1) 开发商应自行承担成本与费用,依据有关当局的要求与标准建造或责成


建造服务于该土地之上房屋开发项目的基础设施,包括道路、车道、排水沟、排水
管、 服务于该建筑物的供水和排污系统。 The Developer shall, at its own cost and
expense, construct or cause to be constructed the infrastructure serving the
housing development on the said Land, including roads, driveways, drains,
culverts, water mains and sewerage system serving the said Building, in
accordance with the requirements and standards of the Appropriate Authority

(2) 开发商亦应承担有关当局就基础设施和便利设施的提供而收取的所有成
本与费用,包括但不限于街道照明。 The Developer shall also bear all costs and
expenses charged by the Appropriate Authority in connection with the
provision of facilities and amenities including but not limited to street lighting.

(3) 完成基础设施的建造之后,开发商应在其能力范围内尽一切可能将基础

设施交由有关当局、联合管理机构或者管理公司(视具体情况而定)接管并维护。但

是,至基础设施被接管之前,买方自取得或视同取得该单位空置占有权之日起,应以

公平及合理比例分担因基础设施的维护、保养与维修所产生的成本与费用。基础设施

维护、保养与维修的适当分摊应由开发商指定的工料测量师、建筑师或工程师,或者

得到建筑委员批准的情况下由开发商任命的任何其他称职人员确定。 On completion

of the construction of the infrastructure, the Developer shall do everything
possible within its powers to have the same taken over and maintained by the
Appropriate Authority, or the joint management body or the management
corporation, as the case may be, but until the infrastructure are so taken over,
the Purchaser shall, from the date he takes vacant possession or is deemed to
have taken vacant possession of the said Parcel, contribute from time to time
a fair and justifiable proportion of the cost and expense incurred for the
maintenance, upkeep and repair of the infrastructure. Apportionment of an
appropriate contribution for the maintenance, upkeep and repair of the
infrastructure shall be made by a quantity surveyor, architect or engineer
appointed by the Developer or, with the approval of the Commissioner of
Building, any other competent persons appointed by the Developer.

(4) 开发商以书面形式通知买方要求分担前述费用时,应提供开发商的声明

为佐证,内容包括基础设施清单与描述,维护、保养和维修基础设施所产生之费用

,以及开发商 应 分担 的金 额 。 Every written notice from the Developer to the


Purchaser requesting for the payment of such contribution shall be supported
by a statement issued by the Developer which shall include a list and
description of the infrastructure, the expenditure incurred in the
maintenance, upkeep and repair of the infrastructure and the amount of such
contribution due to the Developer in respect thereof.

公共设施与服务
Common facilities and services

18. (1) 开发商应自行承担成本和费用,建造或责成建造构成公共财产组成部分且


供房屋开发使用的公共设施, 并提供表二所列服务。The Developer shall, at its own
cost and expense, construct or cause to be constructed the common facilities,
which shall form part of the common property, serving the housing development
and provide services as specified in the Second Schedule.

(2) 至买方取得该单位空置占有权之日为止,开发商应承担维护和管理前述
公共设施以及提供前述服务所需的费用与开支。 The Developer shall bear all costs
and expenses for the maintenance and management of the said facilities and

provision of the said services until such date when the Purchaser takes vacant
possession of the said Parcel.

支付费用和偿债基金
Payment of charges, and contribution to the sinking fund

19. (1) 自买方取得该单位空置占有权起,买方应按照2013年《分层管理法案》向


开发商支付费用,并为该建筑物或拟将细分成单位的土地以及公共财产的维护与管理
支付偿债基金。 From the date the Purchaser takes vacant possession of the said
Parcel, the Purchaser shall pay to the Developer the charges, and the
contribution to the sinking fund for the maintenance and management of the
building or land intended for subdivision into parcels and the common property in
accordance with the Strata Management Act 2013.

(2) 买方应提前支付前四(4)个月的费用以及偿债基金款项,后续任何款项
将 按 月提 前支付 。 The Purchaser shall pay the charges, and the contribution to
the sinking fund for the first four (4) months in advance and any payment
thereafter shall be payable monthly in advance.

(3) 开发商以书面形式通知买方要求支付服务费用时,应提供开发商出具的
服务费明细表作为佐证。 服务费明细表应按照表五的格式填写,任何新增服务费的详
细资料应记载于后附的服务费明细表内。 Every written notice from the Developer
to the Purchaser requesting for the payment of charges shall be supported by a
charge statement issued by the Developer in the form annexed in the Fifth
Schedule and full particulars of any increase in the charges shall be reflected in
the subsequent charge statement.

保险
Insurance

20. (1) 该单位的空置占有权交付给买方之前,开发商应负责为该建筑物购买火灾


损失或损害险以及开发商认为合理的一切其他保险。 It shall be the responsibility of
the Developer to insure the said Building against loss or damage by fire and
against all such other risks as the Developer may think fit until the vacant

possession of the said Parcel is delivered to the Purchaser.

(2) 出具完工与达标证书并交付该单位的空置占有权给买方时,买方应按照

2013 年 《 分 层 管 理 法 案 》 与 开 发 商 及 其 他 买 方 共 同 分 担 前 述 责 任 。 Upon the


issuance of the certificate of completion and compliance and the delivery of
vacant possession of the said Parcel to the Purchaser, the Purchaser shall share
the said responsibility with the Developer and other purchasers in accordance
with the Strata Management Act 2013.

开支的支付
Payment of outgoings

21. (1) 自买方取得该单位空置占有权之日起,或者自该单位转让给买方之日起,


以较早日期为准,买方应负责支付一切开支,包括与该单位有关的免役租、费用、税
款、评估及其他服务费。 The Purchaser shall be liable for all outgoings including
quit rent, rate, tax, assessment and other charges in respect of the said Parcel as
from the date he takes vacant possession of the said Parcel or from the date the
said Parcel is transferred to the Purchaser, whichever is earlier.

(2) 若买方取得该单位空置占有权时,该单位尚未转让给买方,买方应向开发
商、联合管理机构或者管理公司(视具体情况而定)赔偿与该单位有关的前述开支,

并自取得该单位空置占有权之日起,至该单位转让给买方之日至,继续支付前述开
支。 In the event the separate strate title to the said Parcel is not transferred to
the Purchaser on the date he takes vacant possession of the said Parcel, the
Purchaser shall indemnify the Developer, the joint management body or the
management corporation, as the case may be, for such outgoings in respect of
the said Parcel and shall continue to pay the same from the date he takes vacant
possession of the said Parcel until the said Parcel is transferred to him.

水、电、燃气管道、电话线
Water, electricity, gas piping, telecommunication trunking

22. (1) 开发商应自行承担成本与费用,铺设或促成铺设该建筑物所需的一切必要的
水、电、排污水管、燃气管(如有)及内部电话线与电缆,并承诺自担费用分别向主管
水、电、排污管道或主管燃气管道的有关政府机关申请开通该单位内部的水、电、卫生
和 燃 气 设 施 ( 如 有 ) 。 The Developer shall, at its own cost and expense, lay or
cause to be laid all necessary water, electricity and sewerage mains, gas piping (if
any) and internal telecommunication trunking and cabling, to serve the said
Building and at its own cost and expense undertake to apply for the connection of
internal water, electricity, sanitary and gas supply installations (if any) of the said
Parcel to the water, electricity, sewerage and gas mains (if any) of the Appropriate
Authority.

(2) 买方在接获开发商要求付款的通知三十(30)天内,应缴付安装水表、电
表、燃气表(若有)的保证金,开发商应承担其他费用(若有)。 The Purchaser
shall be liable for and shall pay, within thirty (30) days after the receipt of a
notice requesting for payment from the Developer, the deposits for the
installation of water, electricity and gas meters (if any) and the Developer shall
bear all other costs, if any.

(3) 买方可以申请电话服务,并负责支付该项服务的保证金。 The Purchaser


may apply for telecommunication services and shall be liable for and shall pay
the deposits for such services.

遵守成文法
Compliance with written laws

23. (1) 开发商特此保证并向买方承诺,开发商持有有效的载有上述编号的房屋开发


商执照,该执照将依法更新并在合约期间维持有效。 The Developer hereby warrants
to and undertakes with the Purchaser that the Developer has a valid housing
developer’s licence bearing the numbers specified above which shall be renewed
and remain valid for such period as required by law.

(2) 开发商就该待建建筑物应遵守当时有效的影响房屋开发的成文法规定和要
求,并将赔偿买方因开发商违反任何成文法规定而受到的罚款、处罚或损失。 The
Developer shall, in relation to the said Building to be erected, conform to the
provisions and requirements of any written law affecting the said housing

development and shall keep the Purchaser indemnified against all fines,
penalties or losses incurred by reason of any breach of the provisions of any
written laws.

影响房屋开发的新法律
New laws affecting housing development

24. 买方无须负责赔偿开发商因新法实施或现行法律的修改而向开发商征收的额外
费用、收费或税费,支付该等费用,对开发商根据建筑平面图和该图的描述继续并完
成该房屋开发项目或其中任何部分,以及遵守并履行开发商在本合约中的义务和责任
来 说 是 必 须 和 必 要 的 。 The Purchaser shall not be liable to indemnify the
Developer in the event of an introduction of new laws or the amendment of
existing laws which shall impose on the Developer additional fees, charges or
taxes, the payment of which shall be necessary for continuing and completing
the development of the said housing development or any part or parts thereof in
accordance with the Building Plan and description referred to in such Plan and
the due observance and performance by the Developer of its obligations and
liabilities under this Agreement.

交付空置占有权的时间
Time for delivery of vacant possession

25. (1) 开发商应按照第 27条规定的方式在本合约签署日期之后 月内向买方交


付该单位空置占有权。 Vacant possession of the said Parcel shall be delivered to
the Purchaser in the manner stipulated in clause 27 within thirty-six (36)
months from the date of this Agreement.

(2) 若开发商未在第(1)条规定的时间内依第27 条规定的方式交付该单位空置占


有权,开发商应负责向买方支付违约赔偿金,该违约赔偿金应从前述第(1)规定的应交
付空置占有权的期限届满当日起至买方取得该单位空置占有权止以购买价的百分之十
(10%)年利率按日计算。If the Developer fails to deliver vacant possession of the
said Parcel in the manner stipulated in clause 27 within the period stipulated in
subclause (1), the Developer shall be liable to pay to the Purchaser liquidated

damages calculated from day to day at the rate of ten per centum (10%) per
annum of the purchase price from the expiry of the period stipulated in subclause
(1) until the date the Purchaser takes vacant possession of the said Parcel.

(3) 开发商应在开发商通知买方依第27 条规定的方式接管该单位空置占有权当


日立即支付买方该违约赔偿金,否则,买方有权从任何应付给开发商的购买价分期款
项 中 扣 除 前 述 违 约 赔 偿 金 。 The Developer shall pay any liquidated damages
referred to in subclause (2) to the Purchaser immediately after the Developer
has given notice requesting the Purchaser to take possession of the said Parcel
in the manner stipulated in clause 27, failing which the Purchaser shall be
entitled to deduct such liquidated damages from any instalment of the purchase
price due to the Developer.

(4) 为避免任何疑议,买方依本条款主张违约赔偿金的诉因将累积至买方获得
该单位空置占有权当日。 For the avoidance of doubt, any cause of action to claim
liquidated damages by the Purchaser under this clause shall accrue on the date
the Purchaser takes vacant possession of the said Parcel.

开发商应取得完工与达标证书
Developer to obtain the certificate of completion and compliance

26. 开发商应自费遵守有关当局的所有要求,以便为该建筑物取得完工与达标证
书。 The Developer shall, at its own cost and expense, duly comply with all the
requirements of the Appropriate Authority which are necessary for the issuance
of the certificate of completion and compliance in respect of the said Building

交付空置占有权的方式

27. (1) 出现以下情况时,开发商应向买方交付该单位空置占有权:

The Developer shall let the Purchaser into possession of the said Parcel upon the
following:

(a) 完工与达标证书已出具;the issuance of a certificate of
completion and compliance

(b) 有关当局已出具与该单位有关的独立分层产权证; the separate


strata title relating to the said Parcel has been issued by the
Appropriate Authority

(c) 该单位的供水与供电已连接就绪;water and electricity supply


are ready for connection to the said Parcel

(d) 买方已依表三支付第5(1)条规定的金额及本合约项下任何其他到期
款项,且已履行并遵守本合约项下规范买方的条款和约定;以及
the Purchaser having paid all monies payable under subclause
5(1) in accordance with the Third Schedule and all other
monies due under this Agreement and the Purchaser having
performed and observed all the terms and covenants on his
part under this Agreement; and

(e) 第 15(2) 条 规 定 的 任 何 改 建 或 增 建 工 程 已 完 成 , 如 有 。 the


completion of any alteration or additional work under
subclause 15(2), if any

(2) 开发商交付空置占有权时,应提供完工与达标证书,并将该单位锁匙交给
买 方 。 The delivery of vacant possession by the Developer shall be
supported by a certificate of completion and compliance and includes
the handing over of the keys of the Parcel to the Purchaser.

(3) 自开发商要求买方接管该单位空置占有权日起的三十(30)天后,无论
买方是否实际进入和占有该单位,买方应视为已接管该单位的空置占有
权。Upon the expiry of thirty (30) days from the date of service of a
notice from the Developer requesting the Purchaser to take
possession of the said Parcel, whether or not the Purchaser has
actually entered into possession or occupation of the said Parcel,
the Purchaser shall be deemed to have taken delivery of vacant
possession.

Strata title not yet issued and transfer of title

28. (1) 不论第27(1)(b)条如何规定,若该单位的独立分层产权证因任何不能归咎于


开发商的原因未出具,开发商可向主管申请出具书面证明,以在第25(1)条规定的交付
空置占有权期限内按第27条规定的方式交付该单位的空置占有权。依本条向买方交付
该单位的空置占有权时,应提供一份由主管出具的该书面证明。 Notwithstanding
paragraph 27(1)(b), if the separate strata title to the said Parcel is not issued for
any reason not attributable to the Developer, then the Developer may apply to
the Controller for a certification in writing to deliver the vacant possession of the
said Parcel within the time stipulated for the handing over of vacant possession
under subclause 25(1) and in the manner stipulated in clause 27. The delivery of
vacant possession of the said Parcel to the Purchaser pursuant to this clause
shall be accompanied with a copy of the written certification issued by the
Controller.

(2) 该单位的独立分层产权证发出时,以买方依第5(1)条之规定向开发商支
付购买价并遵守本合约所含条款条件为条件,开发商须在不增加买方任何额外成本与
支出的情况下,签署并向买方或买方律师交付该单位的有效可登记的转让文书,并为
登记在买方名下而出示独立分层产权证。 Upon the issuance of the separate strata
title to the said Parcel, the Developer shall, at no additional cost and expense to
the Purchaser, execute or cause the Proprietor to execute and deliver a valid and
registrable instrument of transfer of the said Parcel to the Purchaser or the
Purchaser’s solicitor together with a separate strata title to be presented for
registration in favour of the Purchaser.

(3) 当该单位的独立分层产权证已登记于买方名下时,开发商应在登记转让
之日起三十(30)天内向买方交付一份证明该单位独立分层产权登记于买方名下文件
的真实副本。 When the document of separate strata title to the said Parcel has
been registered in the name of the Purchaser, the Developer shall hand over to
the Purchaser the original issue document of separate strata title registered in
the name of the Purchaser within thirty (30) days from the date of registration
thereof.

(4) 若开发商未能遵守第(3)条,开发商应负责向买方支付违约赔偿金,费率
同 第 25(2) 条 所 述 延 迟 向 买 方 交 付 该 单 位 空 置 占 有 权 的 违 约 赔 偿 金 费 率 。 If the
Developer fails to comply with subclause (3), the Developer shall be liable to pay
to the Purchaser liquidated damages calculated at the same rate as for delay in
rendering vacant possession of the said Parcel to the Purchaser under subclause
25(2)

公共设施的完成
Completion of common facilities

29. (1) 开发商应于本合约签署日期之后 月内完成供房屋开发项目使用并构成公


共财产组成部分的公共设施的建设。 开发商的建筑师应证明该公共设施的竣工日期,
并 向 买 方 提 供 一 份 证 明 。 The common facilities serving the said housing
development, which shall form part of the common property, shall be completed
by the Developer within thirty-six (36) months from the date of this
Agreement. The Developer's architect shall certify the date of completion of the
common facilities and a copy of the certification shall be provided to the
Purchaser.

(2) 若开发商未能及时完成公共设施的建设,应立即向买方支付违约赔偿金。
该 违 约 赔 偿 金 将以 购买 价最 后百 分之 二 十 ( 20% )的 尾款 金 额 按年 利率 百 分 之 十
(10%)每日计算。If the Developer fails to complete the common facilities in time,
the Developer shall pay immediately to the Purchaser liquidated damages to be
calculated from day to day at the rate of ten per centum (10%) per annum of the
last twenty per centum (20%) of the purchase price.

(3) 为避免任何疑议,买方依本条款主张违约赔偿金的诉因,将累积至卖方完
成公用设施的建设并提供建筑师证明为止。 For the avoidance of doubt, any cause of
action to claim liquidated damages by the Purchaser under this clause shall accrue
on the date the Developer completes the common facilities together with the
architect’s certification.

30. (1) 若买方在取得该单位空置单位占有权之后的二十四(24)个月内发现该单
位、建筑或共有财产有任何明显瑕疵、缺陷或其他缺失,而该瑕疵、缺陷或缺失均是
因不当施工或劣质材料所造成,或因该单位、该建筑物或共有财产未按照表一和表四
的经有关政府机关许可或修改的平面图和描述而建造,开发商应在接获买方书面通知
的 三 十 ( 30 ) 天 内 负 责 修 复 。 Any defect, shrinkage or other faults in the said
Parcel or the said Building or the common property which becomes apparent
within twenty-four (24) months after the date the Purchaser takes vacant
possession of the said Parcel and which are due to defective workmanship or
materials or; the said Parcel or the said Building or the said common property not
having been constructed in accordance with the plans and description as
specified in the First and Fourth Schedules as approved or amended by the
Appropriate Authority, shall be repaired and made good by the Developer at its
own cost and expense within thirty (30) days of the Developer having received
written notice thereof from the Purchaser.

(2) 若开发商未于前述第(1)条规定的三十(30)天内修复该单位、该建筑物或
共有财产的瑕疵、缺陷或其他缺失,买方有权自行进行修复该瑕疵、缺陷或其他缺失
的工作,并有权向开发商追讨相关的修复费用。只要买方在前述三十(30)天期限届
满后和开工前的任何时间通知开发商有关修理该瑕疵、缺陷或其他缺失的费用,让卖
方有机会在买方通知其欲进行修复工作的三十(30)天内自行修复,买方可从开发商
律师依表三第 5 项为开发商托管的款项内扣除该有关修复费用。若开发商未在上述三
十(30)天的期限内进行修复,买方应尽快展开修复工作。在这种情况下,开发商律
师在收到买方具体载明修复费用金额的书面要求的三十(30)天内,应从其依表三第
5 项为开发商保管的款项中发放该修复费用给买方。 If the defect, shrinkage or
other faults in the said Parcel or the said Building or the said common property
have not been made good by the Developer within thirty (30) days referred to in
subclause (1), the Purchaser shall be entitled to carry out the works to repair
and make good such defect, shrinkage or other faults himself and to recover
from the Developer the costs of repairing and making good the same and the
Purchaser may deduct such costs from any sum which has been held by the
Developer's solicitors as stakeholders under item 5 of the Third Schedule,
provided that the Purchaser shall, at any time after the expiry of the period of
thirty (30) days, notify the Developer of the costs of repairing and making good
such defect, shrinkage or other faults before the commencement of the works

and shall give the Developer an opportunity to carry out the works himself
within thirty (30) days from the date the Purchaser has notified the Developer of
his intention to carry out the works and provided further that the Purchaser shall
carry out and commence the works as soon as practicable after the Developer's
failure to carry out the works within the said thirty (30) days. In such an event,
the Developer's solicitors shall release such costs to the Purchaser from the
stakeholder sum held by the Developer's solicitors under item 5 of the Third
Schedule within thirty (30) days after the receipt by the Developer's solicitors of
the Purchaser's written demand specifying the amount of such costs.

(3) 另受第(2)条规定的限制,在买方取得该单位空置占有权的八(8)个月
或二十四(24)个月(分别依表三第5(a)或 5(b)项规定)届满前,如果买方已送交开发
商律师依前述第(1)条的规定通知开发商修理该单位、该建筑物或共有财产的瑕疵、缺
陷或其他缺失的书面通知副本,开发商律师不得依表三第5(a)或 5(b)项规定(视具体情
况而定)将其为开发商保管的款项发放给开发商,直至开发商律师接获开发商建筑师
签发的证实开发商已修复该单位、该建筑物或共有财产的瑕疵、缺陷或其他缺失的证
明。 Subject to subclause (2), where the Purchaser has, before the expiry of the
period of eight (8) months or twenty-four (24) months after the date the
Purchaser takes vacant possession of the said Parcel as set out in items 5(a) and
(b) of the Third Schedule, respectively, duly served on the Developer's solicitors
a copy of the written notice from the Purchaser to the Developer under subclause
(1) to rectify the defect, shrinkage or other faults in the said Parcel or the said
Building or the common facilities, the Developer's solicitors shall not release to
the Developer the relevant sum held by the Developer's solicitors as
stakeholders under item 5(a) or (b) of the Third Schedule, as the case may be,
until the Developer's solicitors shall have received a certificate signed by the
Developer's architect certifying that such defect, shrinkage or other faults in the
said Parcel or the said Building or the said common facilities have been repaired
and made good by the Developer.

(4) 本条所指开发商的律师为表六第9(a)条所述,或者由开发商不时任命的
其他律所,但是: The Developer’s solicitors referred to in this clause shall mean
as stated in Section 9(a) of the Sixth Schedule or such firm of solicitors
appointed by the Developer from time to time in replacement thereof, provided
that-

后,开发商不得在未得到买方事先书面同意的情况下替换开发商律
师。after any sum under item 5 of the Third Schedule has been
paid to the Developer’s solicitors as stakeholders, the
Developer shall not replace the Developer’s solicitors without
the prior written consent of the Purchaser.

买方共有权
Common rights of Purchaser

31. (1) 开发商确认,该单位以及其他所有单位的销售将赋予买方、其个人代表、


业权继承人、受让人、服务人员、代理、被许可人和受邀者与开发商和其他享有相同
权利与自由的任何人,无论在任何时候是否有使用任何车辆,为实现与使用和享用该
单位相关的任何目的,来往于和穿越为该房屋开发项目铺设的所有道路,并进行必要
的连接,其后以适当方式使用由卖方所设或建造在道路上下方的水沟、 水管、电缆与
电线自由权和自主权。 The Developer confirms that the said Parcel and all other
parcels are sold together with free rights and liberties for the Purchaser, his
personal representatives, successors in title, assigns, servants, agents, licensees
and invitees in common with the Developer and all other persons having the like
rights and liberties to use without or with any vehicle of every description at all
times and for all purposes whatsoever connected with the use and enjoyment of
the said Parcel to pass and repass along, over and upon all roads serving the said
housing development and to make all necessary connections and thereafter to
use in a proper manner the drains, pipes, cables and wires laid or constructed by
the Developer under or over such roads.

(2) 开发商特此承诺,该房屋开发项目内所有单位的买家应订立类似的约
定,并承诺为确保当买方转让该单位给后续买方时,该后续买方应承诺并接受本条款
约 定 的 束 缚 , 即 使 在 本 合 约 完 成 后 本 条 款 仍 然 适 用 。 The Developer hereby
undertakes that the purchasers of the parcels comprised in the said housing
development shall enter into similar covenants and hereby further undertakes to
ensure that in the event of any transfer of the said Parcel from the Purchaser to a
subsequent purchaser, the latter shall undertake to be bound by the covenants
of this clause which shall continue to apply notwithstanding the completion of
this Agreement.

Service of documents

32. (1) 依本合约,任何一方发送给另一方的任何通知、请求或要求应为书面形式,


并在符合下列情况时应视为有效送达: Any notice, request or demand required to
be served by either party hereto to the other under this Agreement shall be in
writing and shall be deemed to be sufficiently served:-

(a) 若寄送方或其律师以挂号信件寄送至另一方于本合约內记载的地
址,所寄送的通知、请求或要求应在寄送挂号信起满五(5)天时
视 为 送 达 ; 或 者 if it is sent by the party or his solicitors by
registered post addressed to the other party's address
hereinbefore mentioned and in such case, the notice, request
or demand shall be deemed to have been received upon the
expiry of a period of five (5) days of posting of such notice,
request or demand; or

(b) 其中一方或其律师亲自送达给另一方或其律师。 if it is given by


the party or his solicitors by hand to the other party or his
solicitors.

(2) 任何一方变更地址应通知另一方。Any change of address by either party


shall be communicated to the other.

应承担的费用
Cost to be borne

33. (1) 各方应各自承担与该单位的买卖有关的律师费。 Each party shall bear his


or its own solicitors’ costs in respect of the sale and purchase of the said Parcel.

(2) 本合约的印花税和登记费以及将该单位转让给买方的相关费用应由买方承
担。The Purchaser shall bear the stamp duty and registration fee for this
Agreement and the subsequent transfer of the said Parcel to the Purchaser.

(3) 开发商应承担在申请有关当局批准向买方转让该单位的过程中所产生的一
切成本、费用与支出,如有。The Developer shall bear all costs, charges and
expenses incurred in the application for obtaining the consent of the relevant
State Authority to transfer the said Parcel to the Purchaser, if any.

转让事宜
Assignment

34. 在以下情况下,买方无须取得业主(如适用)或开发商的同意而将其对该单位

享有的权利、利益与所有权转让给第三者,并将转让事项通知业主(如适用)或开发

商:The Purchaser may assign all his rights, interests and titles in and to the said
Parcel to third parties without the consent of the Proprietor (where applicable) or
the Developer, and the Purchaser shall give notice of the assignment to the
Proprietor (where applicable) or the Developer provided-

(a) 买方已全额支付购买价,并遵守本合约针对买方的所有条款、条件和规
定;或者the Purchaser has fully paid the purchase price and duly complied with
all the terms, conditions and stipulations on the Purchaser’s part contained
herein; or

(b) 在全额支付购买价前,开发商及买方融资机构已依第 5(6)条相互给予所需的

承诺。before the full payment of the purchase price, the Developer and the
Purchaser’s Financier have given to each other the undertaking required under

subclause 5(6).
