Dear Sir,
Petroleum Development Oman LLC (‘Company’) invites (‘Tenderer’) to submit a Tender for the Work in
accordance with the terms and conditions specified in the Tender Documents.

The Tender Documents shall comprise the following Sections:

In the preparation and submission of the Tender, Tenderer shall comply with the terms, rules and
requirements set out in the Tender Documents. Company reserves the right to disqualify the Tender if any
of the terms, rules or requirements included in the Tender Documents are not met or are breached by the
Tenderer in their preparation of the Tender or are not addressed or satisfied in the Tender.
In order to receive the Tender Documents, Tenderer is required to print, complete as indicated, sign (by
an authorised signatory), stamp with Tenderer’s corporate seal and submit to Company via Company’s
RABiTAH Supplier Relationship Management (SRM) System scanned electronic copies of the following
documents attached to this Invitation to Tender:
1. Appendix 1 – Confidentiality Declaration;
2. Appendix 2 – Tenderer Data Sheet;
3. Appendix 3 – Vendor Registration and Due Diligence Form (F2); and
4. Appendix 4 - Clarification and Addenda Form
Tender Documents shall not be issued to the Tenderer or the Tender shall not be evaluated unless and
until the above documents are adequately completed and executed by the Tenderer and submitted to
Company.

Terms of Tender
1.1 Confidentiality Declaration
1.1.1 The Tender Documents are confidential and have been provided to Tenderer solely to enable the
Tenderer to prepare and submit a Tender for the Work/Services and their provision is subject to
the Tenderer's compliance with the confidentiality obligations set out in the Confidentiality
Declaration signed by Tenderer.
1.2 Definitions
1.2.1 In this Invitation to Tender, words and expressions shall have the meanings set out in Sections
T1, T2, T3 and the proposed Contract (C1 to C9 inclusive).
1.3 Terms of Tender
1.3.1 The terms and conditions applicable to this Tender Process are detailed in Sections T1, T2 and
T3.
1.3.2 By receiving the Tender Documents, Tenderer is deemed to be aware of and confirms its
acceptance of and adherence to the requirements of Sections T1, T2 and T3.
1.3.3 The Tender Documents are being made available to Tenderer on the condition that the
information contained therein:
1.3.3.1 Is used solely for the purpose of Tenderer preparing its Tender;
1.3.3.2 Is for information purposes only and Tenderer shall not rely on the information provided by or
on behalf of the Company, including in the Tender Documents, and that it shall be fully
responsible for satisfying itself as to the accuracy, correctness and reliability of such information;
and
1.3.3.3 Shall not be disclosed by Tenderer to any Third Party, other than in accordance with the terms
of the Tender Documents.

2.0 Contact Points


2.1 For Company
2.1.1 Company’s contact point for this Tender is the Contracts Engineer (CE), Wahaibi, Ahmed FPR22,
ahmed.aa.wahaibi@pdo.co.om.
2.1.2 All communications shall strictly be in writing and shall only be submitted via the RabiTah SRM
System.
2.2 For Tenderer
2.2.1 In order to correctly identify Tenderer and Tenderer’s point of contact for this Tender Process,
Tenderer shall complete Appendix 2 herein and return it to the Company’s Contract Engineer via
Rabitah within seven (7) days from receipt of this Invitation To Tender.
2.3 Clarification Requests
2.3.1 All Clarification Requests regarding this Tender shall be submitted by Tenderer in the format as
included in Appendix 4 through RABiTAH SRM System.
2.3.2 Company reserves the right not to entertain any Clarification Request received by Company after
the Clarification Request Closing Date stipulated in the Tender schedule below.
2.3.3 Company will endeavour to revert within 14 days from reciept of Clarification submissions as per
Tender Schedule below.
3.0 Tender Process
3.1 Submission of Tender
3.1.1 Split Tender, split evaluation
The Technical Tender Submission Date and the Commercial Tender submission Date are not the
same. The Technical Tender shall be submitted first via the Rabitah SRM System on the Technical
Tender Submission Date. The Technical Tender shall be uploaded onto the c-Folder of the Rabitah

SRM System.
The invitation to submit a Commercial Tender shall be subject to satisfactory evaluation of the
Technical Tender. The Commercial Tender shall be uploaded onto the Notes/ Attachment Tab of
the Rabitah SRM System.
Tenders for the Work or Services must be submitted via the RABiTAH SRM System.
Tender Documents will only be issued to those Tenderers that have answered ‘Yes’ to each and
all of the screening questions posed.
These screening questions are the minimum requirements for successful execution of the Work
or Services being contracted. Tenderers that are unable to answer ‘Yes’ to each and all of the
screening questions will not be permitted to proceed with the Tender.
If Tenderer has answered ‘Yes’ to screening questions, but its Technical Tender fails to
demonstrate this affirmation, Tenderer will be disqualified and the Tender Bond submitted by
Tenderer in accordance with the requirements below shall be drawn upon by Company.
3.2 Tender Submission
Tenders shall be submitted via RABiTAH SRM System and no later than 11:30 a.m. (Muscat –
Sultanate of Oman, Local Time) on the Technical Tender Submission Date and Commercial Tender
Submission Date.
Tender Bond, in hardcopy, shall be submitted to CE in BMF(Bait Mina Al Fahal) building in PDO’s
coastal offices.
3.3 Tender Schedule

3.3.2 Company may, in its sole discretion, amend the dates in the above planned Tender Process
Schedule. Company shall provide advanced written notice to Tenderers of its intention to amend
the Tender Process Schedule.
4.0 Issue of Tender Documents
4.1 Download from RABiTAH SRM System
4.1.1 Upon receipt of the Tenderer Data Sheet requested in Appendix 2, the Contract Engineer shall
provide access to enable Tenderer to download the Tender Documents, in electronic format, from
the RABiTAH SRM System.
4.1.2 Tenderer shall send a message to the Contract Engineer on the C-Folder after successful
download of the Tender Documents.

5.0 Tender Bond


6.0 Company requires Tenderer to issue a Tender Bond in the exact format detailed
in Section T3 to ensure that the Tenderer’s responses to the screening
questions in paragraph 3.1.4 above are truthful and correct, and that
the Tenderer shall submit a Tender that has addressed or satisfied

or complies with the terms, rules or requirements included in the Tender


Documents.
6.1.1 The value of this Tender Bond shall be OMR 2,000.
6.1.2 The Tender Bond, in hardcopy, shall be forwarded to Company as part of the Technical Tender
under separate cover, at the location as detailed in paragraph 3.2 above.
6.1.3 The Tender Bond shall be drawn upon by Company in the event that Tenderer fails to submit a
conforming Tender or in the event of an award of a contract Tenderer fails to accept that award
or to execute the Contract.

7.0 Tender Clarification Meeting


7.1.1 In case there is requirement, Company will call for clarification meeting which Tenderers must
attend with a maximum of 2 representatives on the date to be advise by Company
7.1.2 Tenderers shall be liable for any personal injury, death, loss or damage to any person or property
that arises from or in connection with the acts of its employees, agents or representatives that
visit the Site.
7.1.3 Tenderers shall indemnify Company in respect of any costs, expenses, claims (including the costs
of legal fees), liabilities and damages Company may incur as a result of or in connection with the
acts of its employees, agents and representatives that visit the Site including, but not limited to,
any failure by its employees, agents or representatives to comply with any instructions of
Company whilst on the Site during the Site visit or Tender Clarification meeting.

8.0 Tender Acceptance


8.1.1 Company may, in its absolute discretion, accept any Tender, or refuse to accept any or all
Tenders. Company is not required to accept the lowest priced Tender and is not required to
award a Contract as a result of the Tender process.
8.1.2 No contract shall exist between Company and successful Tenderer unless and until Company
advises the successful Tenderer of the award of the Contract by a Letter of Award (LOA), issue
of a SAP Purchase Order, and Company receives written confirmation from the successful
Tenderer accepting the terms stated in the LOA.
8.1.3 No discussions, negotiations, or written or oral representations by Company, prior to issue of a
LOA that is accepted by the successful Tenderer in writing, shall constitute a Contract between
the Parties.

9.0 Exclusion of Liability


9.1.1 While the terms of the Tender Documents have been prepared in good faith, the Tender
Documents may not be comprehensive and have not been independently verified. Neither
Company, its employees, agents, representatives, consultants or advisors (nor the employees of
such agents, representatives, consultants or advisors) make any representation or warranty
(express or implied) with respect to the adequacy, accuracy, validity, completeness or reliability
of the information contained in the Tender Documents or any representations (whether written
or oral) made to a Tenderer prior to or during the Tender Period.Company shall not be liable for
any losses or damage suffered by the Tenderer on account of the Tenderers reliance on any
information provided by Company, save for any fraudulent misrepresentation made by Company.

Modern Diamond Drop Oman, being a Company incorporated under the laws of Sultanate of Oman
with Commercial Registration number 1314924 having its head office at Bldg.5010, Block
No.3/M,Area: Bawsher, Way No.5505
(hereinafter called the 'Tenderer')
Hereby represents and warrants to PETROLEUM DEVELOPMENT OMAN LLC, being a Company
incorporated under the laws of the Sultanate of Oman, with a Commercial Registration number 9999,
having its Head Office at Mina Al Fahal, PO Box 81, PC100, Muscat, Sultanate of Oman (hereinafter
called the 'Company') to be unconditionally bound by the following terms and conditions with respect
to the receipt, review, and treatment of all information and documents provided to the Tenderer by
or on behalf of the Company, including but not limited to the Tender Documents, in connection with
the Tender for Contract C3100000040

Definitions
1.1 Confidential Information shall mean all knowledge, data or information in connection with this Tender
or the Project, which from time to time may be disclosed to the Tenderer by Company, or on behalf
of Company, in writing, including drawings, magnetic tapes, computer programs or in any other way,
as well as all knowledge, data or information derived there from, to the extent that such knowledge,
data or information at the time of such acquisition or disclosure is not either already in the unrestricted
possession of Contractor or part of public knowledge or literature.
1.2 Confidential Record shall mean all documents and any other material containing Confidential
Information.

2 ConfidentialityThe Tenderer shall:


(a) preserve and cause its employees, potential Subcontractors and Manufacturers to preserve
the secrecy of any Confidential Information;
(b) not disclose, except with the prior written consent of the Company, to any Third Party any
Confidential Information or Confidential Record or enable any Third Party to note the fact
that the Tenderer has been invited to submit a Tender for the work for any purpose other
than the performance of the work or the preparation and Submission of a Tender for the
work;
(c) not, without the prior written consent of the Company, disclose any Confidential
Information furnished to it to anyone other than the Tenderer’s employees, consultants,
agents, and/or professional advisors who have a legitimate need to know such Confidential
Information in order to perform their duties in relation to the preparation and submission
of a Tender for the work;.
(d) not use, reproduce, transform, or store Confidential Information or Confidential Record in
an externally accessible computer or electronic information retrieval system or transmit it
in any form or by any means whatsoever outside of its usual place of business.
2.2 The Tenderer may disclose Confidential Information or Confidential Records as required by
law or to a court or tribunal of competent jurisdiction if an order for such disclosure is made
and, in those circumstances, only to the extent necessary by law or to satisfy such order for
disclosure. The Tenderer shall notify the Company prior to any such disclosure and shall
provide all reasonable assistance as may be requested by the Company to prevent or minimise
such disclosure.

2.3 The undertakings under Clause 2.1 above shall continue so far as the Confidential Information in
question has:
(a) not become part of public knowledge or literature, or
(b) not been disclosed to the Tenderer by a Third Party (other than one disclosing on behalf
of the Company) whose possession of such information is lawful and who is under no
secrecy obligation with respect to the same.
3 Intellectual Property Rights
3.1 All Intellectual Property Rights, including but not limited to copyright, patents, trade marks, moral
rights and industrial design rights in any Confidential Record shall, in the absence of any express
provision to the contrary thereon, be vested in the Company.

4 Return of Confidential Record


4.1 In the event that it is decided by the Company that the tendered work will be entrusted to another
tenderer, or if the Tender process is terminated or suspended by the Company for any reason
whatsoever, the Tenderer shall, upon receipt of a written notification thereof from the Company,
return to the Company the Tender Documents as well as any Confidential Record pertaining thereto
and delete any electronic record thereof in Tenderer’s possession.

5 Third Parties
5.1 The Tenderer shall ensure that if, under the terms of this Confidentiality Declaration, any of the
Confidential Information comes to the knowledge of and/or into the possession of any Third Party,
the Tenderer shall require from such Third Party that it shall abide by identical stipulations to those
contained in this Confidentiality Declaration.
5.2 Notwithstanding the above clause 5.1, the Tenderer shall at all times remain liable to Company for
any breach of the obligations under this Confidentiality Declaration, irrespective of whether or not the
disclosure is actually caused by the Tenderer or a Third Party to whom the Tenderer has disclosed
the Confidential Information.

6 Governing Law
6.1 This Confidentiality Declaration shall be governed by and construed in accordance with the Laws of
the Sultanate of Oman.
6.2 In the event of a dispute arising under or in connection with this Confidentiality Declaration, including
with respect to the existence, operation or validity of this Confidentiality Declaration, such dispute
shall be resolved by Arbitration in accordance with the UNCITRAL Arbitration Rules in force at the
date of execution of this Confidentiality Declaration, before three Arbitrators. The Arbitration
proceedings shall be conducted in the English language and the seat of the Arbitration shall be Muscat,
Sultanate of Oman.
