Dear Sirs,

Sub: Application for Education Institution Loan

We, ___________________________________________a Trust having Registration No.

__________________________having its registered office at ________________________________. and
Communication address at _________________________________________________________refer to the
Application submitted by us to Avanse Financial Services Ltd. (AVANSE) (hereinafter referred to as the “Lender”),
for availing of an education institution loan (the “Loan”).

We agree and undertake that the Loan Amount shall be utilized for the purpose of Development and Construction
of school Building

I /We hereby represent, warrant and confirm that the aforesaid purpose is a valid purpose and is not speculative
or illegal in any manner whatsoever.

I/We further agree, confirm and undertake that the purpose of use of funds under the Loan shall not be changed in
any manner during the tenor of the Loan; or that such change in purpose shall take place only with the prior
written permission of the Lender.

I/We agree that any breach or default in complying with all or any of the aforesaid undertaking(s) will constitute
an event of default under the Facility Agreement.

We understand that I/we shall be liable in case of the funds being diverted for any purpose other than as specified
above/ in the Facility Agreement and shall abide by any action taken by the law/ regulators against us in this
regard for which we shall be solely responsible.
