Independent contractor Agreement This agreement executed between (hereinafter referred to as "Contractor"), a citizen residing in fF , and ,, Inc. (hereinafter referred to as " “or the "Firm"), a Texas corporation. CLAUSE 1 Contractor is not required to report to Firm’s office at any specific time, and his attendance at Firm's conferences and briefings is not required except. for occasional consultations. Contractor shall-choose the time and manner for performing each part of the job, according to his own routines and schedules, independent from the Firm's operations. CLAUSE 2 No training will be provided by Firm. Contractor represents that he is fully trained and that he is not in need of any training by Firm. CLAUSE 3 Firm agrees to allow Contractor to choose how to complete the job and to choose who shall be responsible for performing each particular part of the job. CLAUSE 4 Contractor shall be responsible for hiring, supervising and paying its own assistants. In no way shall Contractor be acting in the capacity of foreman or supervisor on behalf of Firm when Contractor engages his own assistants. Contractor must furnish all tools, all materials , and all other equipment necessary to perform the services under the terms and conditions of this Agreement. CLAUSE 5 Contractor’s hours of work shall be of his own. choosing CLAUSE 6 Contractor’s workplace shall be of his own choosing, either on Firm's premises or at a site other than Firn’s premises. Contractor’s presence on Firms premises shall not be required.CLAUSE 7 Contractor shall not be responsible for submitting any regular oral or written reports as.to his progress on the job. CLAUSE 8 Firm agrees to pay Contractor $1,500.00 (One thousand five hundred dollars) per month, though this fee| may be adjusted upon mutual assent. Firm shall pay Contractor’s fee within two weeks of receiving Contractor’s billing. Contractor shall not be entitled to any compensation other than as stated above. Nor shall Contractor be entitled to any benefits that would otherwise-accrue if contractor were an employee of Firm. Contractor accepts full and complete responsibility for filing all tax returnsvand paying all taxes which may be required or due for payments received from Firm under the terms and conditions of this Agreement. CLAUSE 9 Contractor agrees to be fully and totally responsible for all expenses incurred while completing performance in accordance with the terms of this Agreement. CLAUSE 10 Contractor has the right to perform services for others during the term of this Agreement. CLAUSE 11 Since, under the terms of this Agreement, Contractor is working independently and not as an employee, Firm has no right to discharge Contractor at will. Similarly, Contractor has no right to terminate his relationship with Firm at will. However, each party is fully responsible for the performance of services in accordance with the terns and conditions of this Agreement and the absence of any right to discharge ot terminate at will in no way limits either party’s right to performance under this Agreement.
