PARC DE MONT CHOISY IRS - ZONE 2 – (WPZ2.11) BANYAN GROVE APARTMENTS - NOMINATED
SUBCONTRACT – EXTERNAL TIMBER JOINERY - (CANOPIES/ CLADDING/ EXTERNAL FALSE CEILINGS/
WINDOWS AT GABLE) FOR THE IRS DEVELOPEMENT OF 8 NR APARTMENT BLOCKS

1. For and on behalf of the Mont Choisy Property Development Ltd, in terms of Clause 5 and Clause 13 of
the General Conditions of Contract and as amended in the Particular Conditions, we hereby instruct
you to enter into a Nominated Subcontract Agreement with the following Sub-Contractor for the
execution of the above Sub-Contract:

Subcontract Work: External timber Joinery Works (Canopies/ Cladding/ External False
Ceilings/ Windows at Gable) for the IRS development of 8 Nr
Apartment Blocks for the Parc de Mont Choisy (WPZ2.11).

Subcontract price: MUR 26,455,335.27 (Rupees Twenty-Six Million Four Hundred and
Fifty-Five Thousand and Three Hundred and Thirty-Five and Cents
Twenty-Seven Only) including VAT, excluding profit and charges

2. The Subcontractor shall be appointed of the basis of the Agreement and Schedule of Conditions of the
Subcontract referred to in the Main Contract. All the contractual conditions applicable to the
Contractor shall be “mutatis mutandis” applied to the Subcontractor.

3. The Subcontractor Price (rates) shall be Rs 26,455,335.27 (Rupees Twenty-Six Million Four Hundred
and Fifty-Five Thousand and Three Hundred and Thirty-Five and Cents Twenty-Seven Only)
including 15% VAT.

4. The Subcontract Price shall be fixed and firm and not subject to any contract price adjustment
whatsoever for the duration of this contract in respect of any fluctuations in material or labour and /
or any increases arising out in connection with these item such as transport, fuel, freight, duties,
taxes, fluctuations in exchange rate, devaluation, etc. or any other matters affecting the cost for
execution of the subcontract.

5. Payments to the Subcontractor will be effected through the Main Contractor in terms of Clause 14.0
based on the subcontract terms of Payment through the monthly Quantity Surveyor’s valuation and
Engineers Certification, within the time specified in the contract. Claims must be submitted to the
Main Contractor no later than the 20th day of the month. It is a condition of the Main Contract that
proof of payment to the subcontractor must be submitted to the Engineer on a monthly basis. The
Employer reserves the right to pay the Subcontractor directly.

6. Before formally placing your order for this work in the form of the appointment of the Nominated Sub-
Contractor, you are to ensure that the dates for delivery and completion of the work are in
accordance with your own contract programme and time schedule. The Sub-Contractor shall settle
and agree with the Main Contractor the programme requirements including any phasing together with
the sequencing and coordination with the Main Contractor and other Sub-Contractors. The Sub-
Contractor shall liaise with the Main Contractor and / or Sub-Contractor’s to ensure proper
coordination of the works.

7. The Form of Contract shall be the Conditions of Subcontract for Construction for Building and
Engineering Works designed by the Employer” First Edition 2011, published by the Federation
Internationale des Ingénieurs Conseils (FIDIC) with the amendments as per the tender documents.
The Following documents shall form part of the Sub-Contract:-

x. Main Summary

8. The Sub-Contractor shall furnish a Performance Guarantee as per the tender documents Annexure “H”
and an Advance Payment Guarantee as per Annexure “I” to be issued by a bank or other approved
financial institution. Advance payment shall be paid 56 days after receipt of advance payment
guarantee.

9. The Subcontractor shall liaise with Main Contractor and/or Subcontractors’ to ensure proper
coordination of the works.

10. The Subcontractor shall communicate in a timely manner all necessary information requiring the Main
Contractor’s input and action to ensure proper implementation of the Works.

11. An English speaking literate supervisor is to be stationed at the site at all times.

12. Should there be any substantial changes to design, this will be considered as a variation order and will
be confirmed in writing by the Project Manager / Principal Agent.

13. The Subcontractor shall settle and agree with the Contractor the programme requirements including
any phasing together with the sequencing and coordination with the Contractor and other
Subcontractors.

14. You shall liaise with the Subcontractor to confirm delivery dates and quantum of delivery.

15. All other correspondence, discussions and agreements shall be deemed to be null and void and
replaced by the Conditions of this Letter and the Subcontract Documents.

16. You are required to co-ordinate with the Subcontractor regarding actual physical samples to be
delivered before placing the bulk order.

17. You are requested to immediately issue the Contractor’s Letter of Acceptance to the Subcontractor
and to settle and agree with the Subcontractor your programme sequence and co-ordination of these
works.

18. The Subcontractor confirms that all scaffolding and cranage required has been provided for in their
preliminaries.
