DEFINITIONS
The words below shall have the meanings herein assigned to them:
"Contract" shall mean the entire agreement between the Purchaser and the Seller, including these General Conditions, the Offer as the case may be,
the Purchaser's order, the Seller's acknowledgment of order and any amendments thereto of these documents.
"Offer" shall mean the budget or firm commercial quotation issued in writing by the Seller to the Purchaser for the sale of the Services.
"Parts" shall mean any of the spare parts sold and/or the parts provided with options & upgrades.
"Services" shall mean the spare parts, and/or options & upgrades, and/or the manpower, which are exhaustively identified, as the case may be, in the Offer
or in the acknowledgment of order.
1. General
These General Conditions shall govern all quotations, offers, orders, return receipts of the orders, invoices, sales between the Parties and shall prevail over any
conflicting clauses contained in the Purchaser's general terms and conditions of purchase. The Purchaser's general terms and conditions of purchase will not
be accepted in any circumstances and if contained in another document they shall be deemed to have no effect. These General Conditions shall come into
force upon their signature by both Parties and shall have a first duration of one year. They shall thereafter be automatically extended for successive one (* year
periods, unless terminated by either Party having given written notice of termination to the other Party at least three (3) months prior to the end of the initial term
or any subsequent period of one (* year.
The Contract supersedes any and all previous agreements and understandings, whether written or oral, between the Parties with respect to the subject matter
hereof.
In the event of contradiction between the various documents composing the Contract referred to above, the first listed document shall prevail over the others
in the following order of precedence

The Contract shall be deemed to have been entered into upon the date of the acknowledgment of order. No modification from these General Conditions
shall be considered as accepted until it has been agreed to by the Parties in a written amendment. The Purchaser is responsible for providing to the Seller
all information, data and specifications necessary for the Seller to provide an accurate Offer.
3. Force Majeure
Neither Party shall be liable for failure to perform in whole or in part any of its obligations by reason of a force majeure event such as, notably, governmental
action, war (whether declared or not), fire, flood, thunder, disturbance in supplies from normally reliable sources (including but not limited to electricity, water,
gas, electronic components, etc.), interruption or delay in transportation, strike or lock-out, or any other event, the effect of which
is beyond the reasonable control of the Party concerned.
If the performance in whole or in part of any substantial obligation under this Contract is delayed by reason of any such force majeure event for
a period exceeding three (3) months, the Parties shall meet and review in good faith the desirability of terminating or continuing this Contract.
The Seller shall be entitled to the payment due for the Services delivered and/or already performed.
5. Passing of Risks
The price and time upon which the risk on the Parts shall pass to the Purchaser shall be fixed in accordance with the Incoterm (ICC Incoterm 2000)
indicated in the Seller's invoice.
6. Variations
Any addendum, amendment or addition to the Services requested by the Purchaser after conclusion of the Contract is subject to prior written agreement
of the Parties.
7. Regulation in Force
Seller shall not be under any obligation to deliver and/or perform the Services, if such delivery and/or performance are hindered by applicable export laws and
regulations of France, the United States of America or other countries. With respect to those Parts which include materials or technology originating from the
United States of America, Purchaser undertakes to comply at all time and in all circumstances with all export and/or re-export laws and regulations of the United
States of America.
The Parts shall comply with standards and regulations in force in the European Union at the conclusion date of the Contract.
8. Retention of Title
The Parts shall remain the property of the Seller, and the Seller shall have a pledge and security thereof for guarantee purposes, until full payment
of the price has been received on the Seller's bank account.
10.Inspection/Storage/Warehousing
Purchaser shall open the crate(s) and inspect the Seller's Parts promptly upon their arrival at the delivery destination and shall within five (5) business
days after delivery give written notice to the Seller of any claim for damages, defects or nonconformity, together with photographic evidence
of the damage to the Seller's Parts. Failure to make such claim or give such notice within the stated period shall constitute an irrevocable acceptance
of the Seller's Parts and an admission that such Parts have has been received by Purchaser in good condition, free of damage and that they fully comply
with all the terms and conditions of the Contract. Seller shall not bear any responsibility for any third party Parts found to be damaged
or nonconforming upon receipt by Purchaser. Any loss or damage to the Seller's Parts that occurs during transportation, storage or otherwise after
the Parts have been accepted shall be the sole responsibility of Purchaser.
11. Warranty
The Seller warrants that the Parts are free from any malfunction due to a defect in the material, in the manufacture or in the conception of such Parts
for a period of one (* year from shipment date. No other warranty shall be borne by the Seller. Common wear parts and consumables are excluded from the
warranty. Wear parts are those parts designed to support on their own or as a priority the deteriorations such as abrasion, corroding, ageing, fatigue, etc. Wear
parts are for example, but not limited to, seals, guiding parts (bearings, rollers...), shock absorbers, springs, electrical components, etc. The Seller is not bound
by any warranty whether legal or contractual, and shall not be held liable for defects or damages arising from any
of the following reasons: bad maintenance of the Parts or the equipment (herein after “Equipment”) on which they are installed by Purchaser,
,modification/replacement/repair of the Parts or the Equipment without the written consent of the Seller or incorrectly carried out by the Purchaser,
non-compliance with operating manual and directions for use provided by the Seller, unqualified or not properly trained personnel, or personnel who cannot
read or write (generally or in Purchaser's home language), normal wear and tear, exposure to conditions outside the range of the environmental specifications,
or chemical, electronic or electrical influences which were not contemplated in the Contract.
Seller shall perform the manpower and training Services under the Contract with the sole obligation to use the necessary resources. Training shall be provided
on a collective basis and Seller will be deemed to have fulfilled its obligations hereunder even though some or all trainees have not attended all courses. At the
end of each training course, Seller may issue a training certificate in respect of each trainee having completed the courses,
but Seller shall not incur any liability as to the results of such training courses or as to the trainees' performance of their tasks after having been trained. Any
failure related to the performance of the manpower Services shall be notified to Seller within 8 days upon completion of the maintenance service concerned
and, should the claim be justified, shall cause the defective manpower Service to be performed again.
THE ABOVE WARRANTIES SHALL CONSTITUTE THE ONLY WARRANTY AND SOLE REMEDY OF PURCHASER AND THE SOLE LIABILITY
OF SELLER; THE WARRANTIES OF THIS PARAGRAPH ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. THE IMPLIED
WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND ALL OTHER WARRANTIES, REPRESENTATIONS AND
CONDITIONS, EXPRESS OR IMPLIED BY STATUTE, TRADE USAGE OR OTHERWISE ARE EXCLUDED AND SHALL NOT APPLY TO
THE PARTS DELIVERED OR SERVICES PERFORMED, EXCEPT FOR WARRANTIES WHICH BY LAW CANNOT BE EXCLUDED OR LIMITED.
12.1 Parts: Cancellation of the order of a Part will either be charged (totally or partially) or not by the Seller depending of the Part concerned and the nature
and furtherance of manufacturing of this Part. In any case, the Seller will charge the Purchaser for the costs of any option & upgrade study.
12.2 Manpower: When the cancellation of the order of technicians occurs fifteen (15) days prior to the determined date of intervention, the Seller
will charge the Purchaser for the travel booking fees.
12.3 Training: When the cancellation of the order of a training session occurs:
• Thirty (30) to fifteen (15) days prior to the determined date of the training session, the Seller will charge the Purchaser 30% of the training session price
• Fifteen (15) days prior to the determined date of the training session, the Seller will charge the Purchaser the total price of the training session
and travel booking fees
In case, the trainees do not attend the whole duration of the training session, the Seller will nevertheless charge the Purchaser the total price
of the training session and travel fees.
14. Arbitration
All disputes, controversies or claims arising in connection with this Contract will be finally settled under the Rules of Arbitration of the International Chamber
of Commerce by three arbitrators appointed in accordance with the said Rules unless the Parties agree on the choice of one arbitrator.
The arbitration will take place in Geneva, Switzerland, in English.
16. Confidentiality
16.1 For the purposes of the present Contract, and except where an exception commonly recognised as such by the law and case law applies, notably where
the information was already known prior to its disclosure, or where such information has been disclosed by a third party by virtue of the law,
the term "Confidential Information" shall mean all information in whatever form, tangible or intangible, including but not limited to all technical and/or financial
information obtained by either Party (the "Receiving Party") from the other Party (the "Disclosing Party") or their respective affiliates.
The content and the subject matter of the Contract shall also be treated as Confidential Information.
16.2 Any and all Confidential Information shall remain the exclusive property of the Disclosing Party.
The Receiving Party shall neither disclose Confidential Information to a third party, nor use it for any purpose other than is required for the performance of the
Contract or the exercise of its rights hereunder, and shall take all necessary measures to ensure that such obligation be complied with
for a period of five (5) years after its expiration or termination.
16.3 The Parties acknowledge that no representation or warranty, express or implied, is made by the Parties hereto with respect to the truth, accuracy,
completeness or reasonableness of Confidential Information exchanged.
17.2 Seller represents that, to the best of its knowledge, the Parts do not infringe any industrial or intellectual property right of third parties
(hereafter "Third Party Rights").
In the event of a claim based on infringement of Third Party Rights as a result of Purchaser's possession or use of the Parts supplied hereunder,
the Seller shall at its expense and at its choice either: i) indemnify the Purchaser or ii) obtain the right to use the infringing Parts, or iii) modify the Parts so that
they become non-infringing, or iv) replace the Parts with non-infringing Parts. Any indemnity will be limited to the sale price of the Services as invoiced to the
Purchaser. Seller's obligations hereunder are conditional upon Purchaser: i) giving notice in writing within fifteen (15) days of any claim or proceeding being
made or threatened; ii) not making any admission, declaration or arrangement which may be prejudicial to the defense of such claim or proceeding; iii) allowing
the Seller to defend and settle under its responsibility any proceedings or claims and affording all available assistance in connection therewith. The Seller shall
have no obligations hereunder with respect to infringements caused by acts of the Purchaser over which Seller has no control. Such acts include: i) Seller's
compliance with the Purchaser's designs or instructions; ii) use of the Parts in a manner, for a purpose,
or in a foreign country not agreed to in writing by the Seller; iii) assembly, operate or use of the Parts in combination with any product not supplied
by the Seller, iv) modification of the Parts without the Seller's prior written consent.
19. Termination
This Contract may be terminated prior to its expiration date as follows:
(a) Unilaterally, by either Party upon delivery of a written notice to the other Party indicating that such other Party has materially defaulted in the performance
of its obligations under this Contract, provided that the default has not been cured without effect during forty-five (45) days after receipt
of such notice;
(b) Unilaterally, by one of the Parties in case of insolvency, bankruptcy or dissolution of the other party, to the extent that such termination is permitted by law.
Termination is immediate and without judicial formalities, notwithstanding possible damages that may be claimed against the defaulting Party. Upon termination
of this Contract by the Seller due to a default by Purchaser, Seller's performance of its obligations under this Contract shall cease and Purchaser shall pay
Seller the balance of any and all payments due to Seller for Services delivered and/or performed provided up to and including
the date of termination.
