HISTORY OF MAHINDRA AND MAHINDRA LTD

The birth of Mahindra & Mahindra began when K.C. Mahindra visited the
United States of America as Chairman of the India Supply Mission. He met
Barney Roos, inventor of the rugged 'general purpose vehicle' or Jeep and
had a flash of inspiration: wouldn't a
vehicle that had proved its invincibility on the battlefields of World War II
be ideal for India's rugged terrain and its kutcha rural roads?

 
Swift action followed this thought. The Mahindra brothers joined hands
with a distinguished gentleman called Ghulam Mohammed & on October
2nd, 1945, Mahindra & Mohammed was set up as a franchise for
assembling Jeeps from Willys, USA.
   
Two years later, India became an independent nation and Mahindra &
Mohammed changed its name to Mahindra & Mahindra. Ghulam
Mohammed migrated to Pakistan post-partition and became the first
Finance Minister of Pakistan.
   
Since then, Mahindra & Mahindra has grown steadily in size and stature
and evolved into a Group that occupies a premier position in almost all key
sectors of the economy. The Group's history is studded with milestones.
Each one taking the Group forward. In fact, today, its total turnover is
about 6.3 billion dollars.
  
Mahindra is a group in a hurry, engaged in an ambitious, sustained and
prolonged penetration into the global arena. Its spirit can be encapsulated
in the words of the poet Robert Frost, a favourite of India's first Prime
Minister, Pandit Jawaharlal Nehru:

Corporate Profile

Automotive Sector: Mahindra Group is the market leader in utility vehicles in


India since inception. Mahindra also manufactures and markets utility vehicles
and light commercial vehicles, including three-wheelers. Some of the famous
automobile brands of Mahindra are: Scorpio and Bolero. Recently, Mahindra
joined hands with French automobile major Renault to enter passenger car
segment. It has launched a car called Mahindra Renault Logan. 

Farm Equipment Sector: Mahindra is the largest producer of tractors in India


and is among the top five tractor brands in the world. It has its own state-of-
the-art plants in India, USA, China and Australia, and a capacity to produce
1,50,000 tractors a year. 

Trade & Financial Services: Mahindra Intertrade Limited and its subsidiaries


have specialized domain knowledge in imports and exports of commodities,
domestic trading, marketing and distribution services. Mahindra Finance is
one of the largest Non Banking Finance Companies in India with an asset base
of about Rs. 5000 crores. Mahindra Insurance Brokers offer Life and Non-life
Insurance plans to retail and corporate customers. Mahindra Steel Service
Centre is the first steel service centre in the organised sector in India. 

Infrastructure Development: Mahindra Group has interests in real estate,


special economic zones, hospitality industry, infrastructure development,
project engineering consultancy and design. Mahindra Holidays & Resorts is
the leader in the lifetime holiday market in India. Mahindra Gesco is fastest
growing Construction Company in India. Mahindra World City is developing
and promoting India's first Integrated Business City. Mahindra Acres
Consulting Engineers is a multidisciplinary engineering consultancy
organization. 

Information Technology: Mahindra Group entered into IT sector in 1986


when it formed a joint venture with British Telecommunications plc. The
company was called Mahindra-British Telecom. The Company has recently
changed its name to Tech Mahindra. Tech Mahindra is a leading provider of
telecommunication solution and service industry world-wide. It is India's 8th
largest software exporter.

Speciality Businesses: Mahindra Group companies such as Mahindra


AshTech, Mahindra Defence, Spares Business Unit and Mahindra Logistics are
into Speciality Businesses. Mahindra AshTech undertakes turnkey contract
execution for Ash Slurry System and Travelling Water Screens. Mahindra
Defence Systems looks after the requirements of India's defence and security

Corporate Governance
The goal of any system of governance is to achieve the best performance within
the overall context of the prevalent economic environment, so as to secure
maximum benefit for all the stakeholders. For this to be achieved, governance
cannot only be systems, processes and metrics. It also has to integrate within
itself the beliefs, values, culture and ethics of an organization, ultimately
leading to the cornerstones of transparency and accountability, which is what
good governance, is all about.

In the recent past, corporate India has been flooded with several prescriptive
principles of governance, the result of intense deliberations of eminent
commissions. Ironically, the corporate failures in developed countries regulated
by highly disciplined capital markets have only brought home the stark reality
that good governance can never be the result only of legislation. It must have
real commitment from the management.
Our shareholders are aware that the Mahindra Companies have been
associated with good governance even before corporates were faced with
legislation and a set of regulations. The Company has formally enunciated its
own governance practices by way of a Code of Corporate Governance. This
Code seeks to serve as a reminder of the underlying principles governing the
conduct of our businesses. They are a reiteration of the fundamental precept
that good Corporate Governance must, and will, always be an integral part of
the fabric that makes up our ethos.

Mr. Keshub Mahindra


Chairman of Mahindra & Mahindra Ltd.
Mr. Keshub Mahindra, Chairman of Mahindra & Mahindra Ltd., is a graduate
from Wharton, University of Pennsylvania, USA. After joining the Company in
1947, he
became the Chairman in 1963. Over five decades, his continuous involvement
has enabled the Mahindra Group to reach where it is today.
He is a well-known philanthropist who redefined corporate governance by
effectively channelising funds into the social sector. He has contributed
immensely to the cause of building ethical corporations in India and is
currently a part of numerous prestigious organizations and committees. He
was also appointed by
the Government of India to serve on a number of Committees including the
Sachar Commission on Company Law & MRTP; Central Advisory Council of
Industries etc.
Today, he is an icon, an inspiring business leader and a distinguished
corporate citizen that everyone looks up to.

BRIEF CAREER HISTORY OF MR. ANAND G. MAHINDRA
The flagship company of the US $6.3 billion Mahindra Group, which is among
the top 10 industrial houses in India - graduated from Harvard College,
Cambridge, Massachusetts, Magna cum Laude. In 1981 he secured an MBA
degree from the Harvard Business School, Boston, Massachusetts. He returned
to India that year and joined Mahindra Ugine Steel Company Ltd (MUSCO), the
country’s foremost producer of speciality steels, as Executive Assistant to the
Finance Director. In 1989 he was appointed President and Deputy Managing
Director of the company.

During his stint at MUSCO, he initiated the Mahindra Group’s diversification


into the new business areas of real estate development and hospitality
management.

In the summer of 1991, he was appointed Deputy Managing Director of


Mahindra & Mahindra Ltd., the country’s dominant producer of off-road
vehicles and agricultural tractors. He has since been engaged in a
comprehensive change programme in Mahindra & Mahindra Ltd. to make the
company an efficient and aggressive competitor in the new liberalised economic
environment in India.

Iin April 1997, he was appointed Managing Director of Mahindra & Mahindra
Ltd and in January 2003 given the additional responsibility of Vice Chairman.

Mr. Mahindra was a co-promoter of Kotak Mahindra Finance Ltd., which in


2003 was converted into a bank. Kotak Mahindra Bank is one of the foremost
private sector banks today.

Mr. Mahindra frequently shares his views and ideas on Indian economy and
business through his writings in some of India’s leading business magazines.

Mr. Mahindra is the recipient of the following awards:

also been President of the Automotive Research Association of India (ARAI).

Mr. Mahindra is a Director of The National Stock Exchange of India Limited


appointed under the “Public Representatives” category.

He takes a keen interest in matters related to education and apart from being a
Trustee of the K.C. Mahindra Education Trust, which provides scholarships to
students, he is also on the Board of Governors of the Mahindra United World
College of India.

Mr. Mahindra is the Founder Chairman of the Mumbai Festival, which was
launched in January 2005. The event was the first comprehensive festival to
celebrate the rich cultural diversity of the city.

He is the Co-Chairman of the International Council of the Asia Society, New


York.

The Board of Directors as the governing body of the Company meets on an
average of six times in a year depending on the exigencies to decide on crucial
matters of policy and business. In order to facilitate operational independence,
timely direction and supervision within the framework of the general policy of

A. Remuneration/Compensation Committee

The role of the Remuneration/Compensation Committee is to review market


practices and to decide on remuneration packages applicable to the Vice

Corporate Social Responsibility has always been an integral part of the
Mahindra Group's vision and the cornerstone of our Core Value of Good

The Mahindra Group defines Corporate Social Responsibility as making socially


responsible products, engaging in socially responsible employee relations and
making a commitment to the community around it. At the Mahindra Group,
Corporate Social Responsibility is not just a duty; it's a way of life.

In 2005, the Group celebrated its 60th anniversary by renewing its


commitment to Corporate Social Responsibility. It pledged to dedicate 1% of its
profit (after tax), on a continuous basis towards Corporate Social
Responsibility. A unique kind of ESOPs - Employee Social Options was
launched to enable Mahindra employees to involve themselves in socially
responsible activities of their choice. The Group also announced a special gift:
to provide free cochlear implants to 60 profoundly hearing-impaired, under-
privileged children.

In addition to giving impetus to the Nanhi Kali project for the girl child and the
Mahindra All India Talent Scholarship for the economically disadvantaged, the
Mahindra Group is planning to set up two Mahindra Pride Schools. These
schools will offer a variety of courses, with an emphasis on employability,
including training for Information Technology, Retail, Automotive Engineering
etc. They will provide new skills and capabilities to the weaker sections of
society, particularly the scheduled castes and scheduled tribe youth. While
these projects are already underway, plans for more social initiatives are on the
anvil.

Mahindra United world College

The Mahindra United World College of India, part of the United World College
movement, was founded by the late Harish Mahindra in 1997. It is the Group’s
endeavour to promote world-class education with an emphasis on the ideals of
peace and understanding, central to the ethos of the United World Colleges.
There are 10 United World Colleges spread across the globe, with colleges
situated in United Kingdom, Singapore, Canada, Swaziland, Italy, United
States of America, Venezuela, Hong Kong, Norway and India. Her Majesty
Queen Noor of the Hashemite Kingdom of Jordan is the President of the United
World Colleges and Mr. Nelson Mandela, former President of the Republic of
South Africa, is the Honorary President of the United World College
International Council.

Mahindra Education Society


As part of its Corporate Social Responsibility activities, the Mahindra Group
has established schools near its factories primarily for children of its
employees. At present, the Group has three schools that impart high standards
of education - Mahindra Academy at Malad in Mumbai, Mahindra Academy in
Zaheerabad and a schoolin Khopoli.The establishment of these schools has not
just benefited their employees but also the community around these schools.
Teachers at these schools are qualified and undergo regular training as well as
attend relevant workshops. Their teaching methodologies are constantly
evaluated and modified when necessary.

Environment Initiatives

Environment protection is a part of everyday being at the Mahindra Group.


Right from Mahindra products such as vehicles which are designed meeting
International standards of Safety and emission, to all Mahindra plants across
the nation which comply way beyond necessary environmental regulations by
setting new standards in natural resource conservation, efficient water
management and with the most recent Green IT; Mahindra shows that it care
of planet earth proactively.

Towards making planet earth greener, the Group has vowed to plant a One
Million Trees across the Nation by October 2008 under the Mahindra Hariyali
initiative. Mahindra Hariyali, is a mass tree plantation initiative undertaken by
each and every Mahindra location - be it a Plant/factory setting or a corporate
office. Shramdaan by Mahindra employees (and their families) themselves and
even Mahindra dealers is a major driver of the initiative. With strong and
meaningful partnerships with various stakeholders in the civil society such as
schools, colleges, trusts, and also the Government (Forest Departments etc),
the Mahindra Hariyali model ensures plantation and nurturing of these trees in
the society at large. What started as a seed with top management vision is now
bearing fruits towards reaching the zenith of completion.
