Offer to Purchase

This non-binding Offer to Purchase outlines the terms and conditions on which Fraternidad
Cristiana or an entity to be named (“Purchaser”) would be willing to pursue further negotiations
for an agreement of sale (“Agreement”) with Zilber Realty, LLC (“Seller”) with respect to its
property at 1049 Lowell Street, Bronx, NY 10459.

Purchase Price: $2,300,000.00

Deposit: 10% of purchase price. Upon closing, Purchaser will receive a


credit against the Purchase Price in the amount of the Deposit.

Due Diligence Period: 90 days.

Closing: Not later than 90 days from the end of the Due Diligence Period

Conditions of Closing: 1. Clean Title


2. Mortgage Approval (Buyer intends to finance no more than
70% of the purchase price.)

Commission: This offer is subject to Friedland Realty Advisors receiving a


commission based on a separate agreement.

This Offer to Purchase does not constitute a binding contract and no Agreement is intended to
arise unless and until the final Agreement is approved and fully executed by both Purchaser and
Seller.
