CONTRACT
ART. 1305. A contract is a meeting of minds between two or more persons whereby one
binds himself, with respect to the other, to give something or to render some service.
(NCC)
A contract is also a specific type of agreement, that is by its terms and elements, is
legally binding and enforceable in a court of law. It is legally binding as it imposes
obligation to parties involved. An obligation is a juridical necessity and the non
performance or breach of such obligation causes the other party to commence an action
for the fulfillment of such obligation. Thus, there arises a legal right which is stated as a
claim.
AGREEMENT
An agreement defines the relative rights and responsibilities of the parties involved.
An agreement may not create any legal right and obligation of the parties, but, an
agreement which is enforceable by law is a contract.
An agreement is a less formal creation of an obligation between the two parties while a
contract, by its terms or contents, provides for an obligation that is mandated or
supported by the pertinent provisions governing the laws on contracts. An agreement
usually lacks one or more of the essential elements that are required to be present in
order to form a valid contract that will be considered legally enforceable by a court of
law.
