Subject: Letter of Assurance

Dear Dell,

We, [insert entity name] (“we” or “us”), understand that Dell, Inc. and its subsidiaries (“Dell”)
may furnish to certain [insert entity name] entities hardware, software, services and/or
technology (hereinafter “Products”), and these Products may be subject to U.S. and other
countries’ export and sanctions laws, regulations, and related restrictions. Accordingly, we agree
that Dell will ship Products and provide necessary services for the Products provided to us only
upon receipt of our written assurance as set out in this letter.

We certify that:

 All Products will be used in compliance with U.S. export and sanctions laws and
regulations, and will not be re-exported or transferred (including in-country transfers) or
otherwise made available for use, except as authorized by such laws and regulations,
including those administered by the Department of Commerce, Bureau of Industry and
Security (“BIS”) and the Department of the Treasury, Office of Foreign Assets Control
(“OFAC”).

 We will not directly or indirectly export, re-export, or transfer to, or otherwise make any
Products available for use in, Crimea, Cuba, Iran, Democratic People’s Republic of Korea
(North Korea), Sudan, Syria, or any other country subject to restriction under applicable
U.S. laws and regulations;

 We are not located in or controlled by the foregoing countries and are not nationals or
residents of these countries;

 We will not directly or indirectly export, re-export, or transfer to, or otherwise make any
Products available for use by, any prohibited party under U.S. or other applicable law.
We understand and agree that a prohibited party includes any individual or entity
designated on OFAC’s Specially Designated National (“SDN”) List, the BIS Denied
Persons List, Entity List and Unverified List, or on any other similar trade restriction,
sanctions or blocking list maintained by the U.S. government or other applicable
jurisdiction;
 We will not use or make Products available for use in any military end-use, or for the
development, production, or use and maintenance of weapons of mass destruction or
related activities, including but not limited to development and/or production-related uses
with respect to nuclear weapons, missiles, and biochemical weapons; we also will not
directly or indirectly export, re-export, or transfer to, or otherwise make available any
Products for use by, any party engaged in any of the above activities;

 When transferring, exporting or re-exporting Products, we agree to comply with all


applicable laws and regulations, including all applicable export control and sanctions
laws, directives, regulations, and licensing requirements;

 We affirm that the restrictions and requirements stated herein apply to any parts,
components, and software contained within finished Products, as well as stand-alone
parts, components, and software provided by Dell as spares, or for repair or replacement;

 We agree Dell may immediately suspend or terminate any applicable purchasing


agreements with us (including withholding of shipment and services), without liability on
the part of Dell if Dell reasonably suspects that we are in breach of any export or
sanctions requirements;

 If it is necessary to amend this assurance letter, we will contact Dell’s Trade Compliance
Department at WW_Export_Compliance@dell.com to secure written approval from Dell.
