1 . Các định nghĩa

Mua hàng thông thường trong nước: là hình thức mời chào hàng rộng rãi mà chỉ có Nhà cung cấp trong nước đư
chào giá.
Mua hàng thông thường quốc tế: là hình thức mời chào hàng rộng rãi mà Nhà cung cấp trong nước và nước ngo
dự chào giá.
Mua hàng đặc biệt: là hình thức mời chào hàng không công bố thông tin rộng rãi, mà chỉ có một hoặc một số ít N
được tham dự chào giá.
Nhà cung cấp trong nước: là tổ chức được thành lập theo pháp luật Việt Nam.
Nhà cung cấp nước ngoài: là tổ chức được thành lập theo pháp luật nước ngoài.
1 . The Definitions
Domestic normal purchase: is public invitation form which only domestic Vendors are allowed to attend.
International normal purchase: is public invitation form which domestic & foreign Vendors are allowed to attend.
Special purchase: is invitation form which not public information, only one or a few Vendors are allowed to attend.
Domestic Vendor: is an organization established under Vietnamese law
Foreign Vendor: is an organization established under foreign law.
2 . Tính hợp lệ của thỏa thuận liên danh
Trong thoả thuận liên danh phải phân định rõ trách nhiệm, quyền hạn, khối lượng công việc phải thực hiện và giá
ứng của từng thành viên trong liên danh, kể cả người đứng đầu liên danh và trách nhiệm của người đứng đầu liên
ký của các thành viên, con dấu (nếu có).
2 . The validity of Parnership agreement
The partnership agreement must clearly define responsibilities, powers, work volume to be performed and the corres
value of each partner, including the head of the partnership, and responsibilities of the partnership leader, signature
partners and their seals (if any).
3 . Tính hợp lệ của hàng hóa, thiết bị
Tất cả vật tư, thiết bị và dịch vụ liên quan được cung cấp theo hợp đồng phải có xuất xứ rõ ràng, hợp pháp. Nhà c
phải nêu rõ ký hiệu, mã hiệu, nhãn mác và xuất xứ của vật tư, thiết bị chính. Honda Việt Nam (HVN) có thể yêu cầ
cấp cung cấp bằng chứng về xuất xứ của vật tư, thiết bị. Đối với các vật tư, thiết bị khác, Nhà cung cấp phải nêu r
trong quá trình thực hiện hợp đồng;
3 . The validity of goods, equipment
All kind of goods & service relating are supplied follow contract must have clear origin, legality. Vendor must be clea
mark & country of origin of main materials, equipment. Honda Vietnam (HVN) may be asking Vendor submit origin
materials, equipments. With other materials & equipments, Vendor must clarify origin when implement contract;
4 . Làm rõ Hồ sơ mua hàng (HSMH)

Trong trường hợp cần làm rõ HSMH, Nhà cung cấp phải gửi văn bản đề nghị làm rõ đến HVN trước thời điểm m
thiểu 07 ngày hoặc đặt câu hỏi trong hội nghị làm rõ HSMH (trong trường hợp HVN có tổ chức hội nghị)
Khi nhận được đề nghị làm rõ HSMH của Nhà cung cấp, trong thời gian hợp lý HVN sẽ có văn bản trả lời tất cả cá
làm rõ HSMH. Trường hợp việc làm rõ dẫn đến phải sửa đổi HSMH thì HVN tiến hành sửa đổi HSMH
4 . Clarify the Invitation dossier
In case Invitation dossier need clarify, Vendor must send a written request to HVN before opening time less than 07
questions at clarification conference (in case HVN organization)
When HVN receive request to clarify invitation dossier, in reasonable time HVN will reply all questions. In case the cl
necessary to revise Invitation dossier, HVN will modifies invitation dossier
5 . Khảo sát tại hiện trường
Nhà cung cấp nên đi khảo sát hiện trường công trình cũng như khu vực liên quan và tự chịu trách nhiệm tìm hiểu
tin cần thiết để lập Hồ sơ báo giá (HSBG) cũng như thực hiện hợp đồng. Toàn bộ chi phí đi khảo sát hiện trường d
cấp tự chi trả.
HVN sẽ chỉ cho phép Nhà cung cấp tiếp cận hiện trường để phục vụ mục đích khảo sát với điều kiện Nhà cung cấ
tuân thủ mọi quy định nội bộ của HVN, đồng thời HVN không phải chịu bất kỳ trách nhiệm nào đối với Nhà cung
quan đến việc khảo sát hiện trường này. Nhà cung cấp sẽ tự chịu trách nhiệm cho những rủi ro của mình như tai n
hoặc thiệt hại tài sản và bất kỳ các mất mát, thiệt hại và chi phí nào khác phát sinh từ việc khảo sát hiện trường. T
hợp cần thiết, HVN sẽ tổ chức, hướng dẫn Nhà cung cấp đi khảo sát hiện trường.
5 . Survey
Vendor should goes to field survey and search all relating information for making Quotation dossier and implement
Field survey expense pay by Vendor.
HVN will only allow Vendor access to the Site for survey provided that Vendor is committed to comply with all intern
regulations of HVN and that HVN shall not be responsible for any Vendors related in this field survey. Vendor will be
for its own risks such as accident, loss or damage to property and any other losses, damages and costs arising from t
investigation. In case of necessity, HVN will organize, instruct the Vendor to go the field survey.
6 . Hội nghị làm rõ Hồ sơ mua hàng
Trong trường hợp cần thiết, HVN tổ chức hội nghị làm rõ HSMH. Mục đích của hội nghị là giải thích, làm rõ các vấ
lời các câu hỏi mà Nhà cung cấp thấy chưa rõ liên quan đến nội dung HSMH. Để tạo điều kiện thuận lợi cho HVN
cầu làm rõ HSMH, Nhà cung cấp nên gửi yêu cầu làm rõ đến HVN trước ngày tổ chức hội nghị.
Nội dung hội nghị làm rõ HSMH sẽ được HVN lập thành biên bản, trong đó bao gồm: nội dung các câu hỏi của N
(không nêu tên cụ thể Nhà cung cấp hỏi), nội dung câu trả lời của HVN. Biên bản hội nghị làm rõ HSMH được gử
các Nhà cung cấp đã tham dự hội nghị. Trong trường hợp HSMH cần phải được sửa đổi sau khi tổ chức hội nghị l
HSMH, HVN sẽ phát hành văn bản sửa đổi HSMH, biên bản hội nghị làm rõ HSMH không phải là văn bản sửa đổi
không tham gia hội nghị làm rõ HSMH không phải là lý do để loại Nhà cung cấp.
Trường hợp HVN tổ chức Hội nghị làm rõ HSMH, thông tin về thời gian và địa điểm tổ chức sẽ được HVN đăng tả
Internet. Nhà cung cấp có quan tâm đề nghị truy cập website Honda.com.vn để biết thông tin chi tiết.
6 . Clarification conference of Invitation dossier
In case of necessity, HVN will organize the clarifying conference for Quotation dossier. The purpose of the confere
explain, clarify the questions that Vendor is unclear regarding the content of the Invitation dossier. To facilitate HV
responding to the request clarification of the Invitation dossier, Vendors should send a request to clarify to HVN b
conference date.
The content of Clarification conference must be recorded in minutes, inclusion: questions of Vendor (Do not have
name), answers of HVN. The minutes is sent to all Vendors who had jointed. In case Invitation dossier must be cha
will distribute modification letter, the clarification conference minutes is not modification letter. Not participating
conference is not the reason for elimination Vendor.
In case HVN organizes Clarification conference, the time & place will be upload on Internet. Vendor access websit
Honda.com.vn to see detail information.
7 . Sửa đổi Hồ sơ mua hàng
- Việc sửa đổi HSMH được thực hiện trước thời điểm mở báo giá thông qua việc đăng tải thông tin sửa đổi HSMH
Honda.com.vn. Nhà cung cấp phải có trách nhiệm theo dõi, cập nhật thông tin thay đổi của HSMH kể từ khi phát
đến khi nhận được thông báo lựa chọn nhà cung cấp.
- Nhằm giúp các Nhà cung cấp có đủ thời gian hợp lý để sửa đổi HSBG, trong trường hợp cần thiết HVN có thể q
hạn thời điểm mở báo giá.
7 . Amendment of Invitation dossier
- The amendment Invitation dossier is taken before opening time, information is uploaded on website Honda.com.vn
must follow, update Invitation information from distribute until receive Notification for Vendor selection result.
- For Vendor enough preparing Quotation dossier time, In case of necessity, HVN may extend opening time.
8 . Chi phí lập & nộp Hồ sơ báo giá (HSBG)
Nhà cung cấp phải chịu mọi chi phí liên quan đến việc chuẩn bị và nộp HSBG. Trong mọi trường hợp, HVN sẽ khô
trách nhiệm về các chi phí liên quan đến việc tham chào giá của Nhà cung cấp.
8 . Expense of preparing & submission Quotation dossier
The Vendor must bear all expense with the preparing and submission Quotation dossier. In any case, HVN will not b
for expense of Vendor when Vendor attended offering price.
9 . Ngôn ngữ sử dụng
Tất cả các văn bản giao dịch giữa HVN và Nhà cung cấp phải lấy bản tiếng Việt làm căn cứ pháp lý đối với nhà
cung cấp trong nước; Lấy bản tiếng Anh làm căn cứ pháp lý đối với Nhà cung cấp nước ngoài.
9 . The language in used
The legal grounds of language used in all documentations exchanged between investor and domestic Vendors shall
Vietnamese, and English for foreign Vendors
10 . Quy cách của Hồ sơ báo giá
- HSBG phải được đánh máy, in bằng mực không tẩy được, đánh số trang theo thứ tự liên tục. Nếu có những chữ
giữa, tẩy xoá hoặc viết đè lên bản đánh máy thì chỉ có giá trị khi có chữ ký của người ký báo giá ở bên cạnh và đư
dấu.
- HSBG bao gồm 1 bản gốc, 1 bản chụp và 03 đĩa CD. Đĩa CD phải đảm bảo nội dung đầy đủ như bản cứng và ph
10 . Specification of the Quotation dossier

- Quotation dossier have to type, print by unerased inks, numbering page contiguously. Writtens for clarification of Q
dossier (if any) have to be signed by lawful representative of Vendor & stamp.
- Quotation dossier include 01 "original", 01 "copy" & 03 CD disk. CD disk must ensure full content as "original" & m
opened.
11 . Niêm phong và bảo mật Hồ sơ báo giá
- Bản gốc, bản chụp và đĩa CD của HSBG phải được đựng trong túi có niêm phong (cách đánh dấu niêm phong d
cấp tự quy định) và ghi rõ “Hồ sơ báo giá” phía bên ngoài túi.
- Trong trường hợp HSBG gồm nhiều tài liệu cần đóng gói thành nhiều túi nhỏ để dễ vận chuyển thì trên mỗi túi
rõ số thứ tự từng túi trên tổng số túi nhỏ, từng túi nhỏ cũng phải được đóng gói, niêm phong.
- Nhà cung cấp tự chịu trách nhiệm về sự toàn vẹn, bảo mật của HSBG của mình đến thời điểm bàn giao cho nhâ
Cung ứng trước khi hết hạn nộp hồ sơ. HVN sẽ không chịu trách nhiệm về bảo mật HSBG của Nhà cung cấp nếu
được đóng gói, niêm phong theo quy định trên.
11 The seals & keeping secret for Quotation dossier
- The original, the copies & disks of Quotation dossier must be contained in sealed bags (method of marking seal is r
Vendor) & specify “Quotation dossier” ouside bags
- When Quotation dossier including documents which necessary to pack into many small bags due to transportation
each small bags must indicate bag number in order per number of bags, each small bag also packing, sealing.
- Vendor is solely responsible for the integrity and security of his or her Quotation dossier until delivery to the Purcha
before the expiration of the submission period. HVN will not be held responsible for Vendor's Quotation dossier secu
Quotation dossier is not packaged or sealed in accordance with the above.
12 . Giá chào và nội dung báo giá
- Giá chào là giá do Nhà cung cấp nêu trong báo giá thuộc HSBG.
- Trường hợp Nhà cung cấp có đề xuất giảm giá thì có thể ghi trực tiếp vào báo giá. Trường hợp có thư giảm giá
giá có thể để cùng trong HSBG hoặc nộp riêng song phải bảo đảm HVN nhận được trước thời điểm mở báo giá.
- Báo giá là giá bao gồm toàn bộ các chi phí (chưa tính giảm giá, VAT) để thực hiện gói hàng theo Yêu cầu của HS
giá chi tiết từng gói hàng phải được xây dựng căn cứ theo quy định đơn vị tính của HVN. Biểu giá chào phải được
đủ nội dung theo các biểu mẫu dành cho Nhà cung cấp ở mục F1.1. Trường hợp Nhà cung cấp có đơn giá bất thư
có thể yêu cầu Nhà cung cấp làm rõ về cơ cấu đơn giá đó của Nhà cung cấp.
12 . Offer price & Quotation content
- Offer price is price quoted by Vendor in Quotation dossier.
- When the Vendor offers a discount, it can be entered directly into the quotation. In case of discounted letter, the dis
can be placed in the Quotation or separately but must be received by HVN before quotation opening.
- The quotation is price include all expense (exclude discount, VAT) for implement package following requirement of
dossier. Detail unit price of each package must build base on Unit regulation of HVN. Quotation must be include all
follow form F1.1. In case Vendor has exceptional unit price, HVN may be asked Vendor to clarify about that unit pric

14 . Đề xuất nhiều phương án trong HSBG

- Trường hợp HSMH quy định về việc Nhà cung cấp có thể đề xuất nhiều phương án thì các phương án đề xuất đ
được xem xét.
- Các phương án đề xuất chỉ được xem xét khi được đánh giá là đáp ứng Yêu cầu kỹ thuật. Trong trường hợp này
cấp phải cung cấp tất cả các thông tin cần thiết để HVN có thể đánh giá phương án đề xuất, bao gồm: thuyết min
thông số kỹ thuật, biện pháp tổ chức thi công, tiến độ thi công và các thông tin liên quan khác theo yêu cầu.
14 . Propose options in Quotation dossier

- In case Invitation dossier provides that Vendor may propose options, the proposal options that are considered.
- Proposal options are only considered when they are evaluated as match the Technical requirements. In this case, th
must provide all necessary information so that HVN can evaluate the proposal, including: explanations, drawings, sp
construction progress and other related information.
15 . Đồng tiền trong báo giá
Nhà cung cấp nước ngoài có thể báo giá bằng đồng đô la Mỹ/đồng yên Nhật, đồng baht Thái, đồng Việt Nam tù
định của pháp luật Việt Nam về ngoại hối; Nhà cung cấp trong nước phải báo giá bằng đồng Việt Nam.
15 . Quotation currency

16 . Thời hạn nộp Hồ sơ báo giá
Là thời gian ghi trên website Honda.com.vn. Trường hợp HVN gia hạn thời gian nộp HSBG nhiều lần thì thời hạn n
thời gian gia hạn cuối cùng ghi trên website.
Hồ sơ nộp muộn sẽ bị trả lại Nhà cung cấp nguyên trạng.
16 . The expiration of the time limit for submission of the Quotation dossier
It is the time on the website Honda.com.vn. In case, HVN extends opening time many times, the deadline for submis
Quotation dossier is the last extension time recorded on the website.
Late submission quotation will be returned to the Vendor.
17 . Thời hạn hiệu lực của Hồ sơ báo giá
HSBG phải có hiệu lực không ngắn hơn thời hạn quy định tại F1.4
Trong trường hợp cần thiết, trước khi hết thời hạn hiệu lực của HSBG, HVN có thể đề nghị các Nhà cung cấp gia h
của HSBG, đồng thời yêu cầu Nhà cung cấp gia hạn tương ứng thời gian có hiệu lực của bảo lãnh báo giá (bằng t
hiệu lực của HSBG sau khi gia hạn cộng thêm 30 ngày). Nếu Nhà cung cấp không chấp nhận việc gia hạn hiệu lực
thì HSBG của Nhà cung cấp không được xem xét tiếp và Nhà cung cấp sẽ được nhận lại bảo lãnh báo giá. Nhà cu
nhận đề nghị gia hạn không được phép thay đổi bất kỳ nội dung nào của HSBG. Việc đề nghị gia hạn và chấp thu
không chấp thuận gia hạn phải được thể hiện bằng văn bản. Việc Nhà cung cấp không phản hồi đề nghị gia hạn
hoặc không cung cấp đủ tài liệu gia hạn trong thời gian quy định thì HSBG của Nhà cung cấp không được xem xé
17 . Validity period of the Quotation dossier

Quotation dossier must be effective no shorter than the time specified in F1.4
In necessary case, before Quotation dossier expries, HVN may ask Vendors extension validity period of the Quotation
the same time HVN request the Vendor to extend the validity period of the Quotation deposit (equal the effective da
Quotation after the extension plus 30 days). If the Vendor does not accept the extension of validity of the Quotation
Vendor Quotation dossier will not be considered further and the Vendor will receive the quotation deposit. The vendo
the extension request is not allowed to change any content of the Quotation dossier. The extension request and acce
disapproval must be made in letter. The vendor do not reply extension request of HVN or do not submit material eno
specified time, the Vendor's Quotation dossier is not considered further.
18 . Bảo lãnh báo giá

Bảo lãnh báo giá là việc Nhà cung cấp bảo lãnh để bảo đảm trách nhiệm tham dự báo giá của Nhà cung cấp tron
gian xác định.
Nhà cung cấp phải nộp bảo lãnh báo giá trong trường hợp HSMH (F1) có quy định. Hiệu lực của bảo lãnh báo giá
lực của HSBG cộng thêm 30 ngày.
Bảo lãnh báo giá được nộp bằng thư bảo đảm của Ngân hàng. Bảo lãnh này được nộp cùng với HSBG và không đ
trong suốt thời gian bảo lãnh báo giá.
Trường hợp liên danh thì Các thành viên trong liên danh thỏa thuận để một thành viên chịu trách nhiệm thực hiệ
bảo lãnh báo giá cho thành viên liên danh đó và cho thành viên khác trong liên danh. Trong trường hợp này, bảo
có thể bao gồm tên của liên danh hoặc tên của thành viên chịu trách nhiệm thực hiện biện pháp bảo lãnh báo giá
danh nhưng bảo đảm tổng giá trị không thấp hơn mức yêu cầu. Nếu bất kỳ thành viên nào trong liên danh vi phạ
dẫn đến không được hoàn trả bảo lãnh báo giá thì bảo lãnh báo giá sẽ không được hoàn trả.
Sau 20 ngày kể từ ngày thông báo kết quả lựa chọn Nhà cung cấp, đề nghị Nhà cung cấp không được chọn đến n
lãnh báo giá.
Đối với Nhà cung cấp được chọn, bảo lãnh báo giá được hoàn trả sau khi Nhà cung cấp thực hiện biện pháp bảo
hiện Hợp đồng.
Bảo lãnh báo giá sẽ không được hoàn trả nếu Nhà cung cấp vi phạm các quy định sau:
+ Rút HSBG sau khi đã nộp hồ sơ đúng hạn, HSBG đã được mở và HSBG vẫn còn hiệu lực.
+ Trong thời hạn 10 ngày kể từ khi nhận được thông báo được chọn của HVN mà không tiến hành hoặc từ chối t
thương thảo, hoàn thiện hợp đồng hoặc đã thương thảo, hoàn thiện xong nhưng từ chối ký hợp đồng mà không
chính đáng.
+ Không thực hiện biện pháp bảo đảm thực hiện hợp đồng.
+ Nhà cung cấp vi phạm điều cấm (điều 35) dẫn đến phải hủy gói hàng.
18 . Quotation deposit
Quotation deposit means the Vendors deposit to assure their liability for participation offering price in a definite per
to requirements
The Vendors must submit Quotation deposit in case Invitation dossier (F1) has regulation. The effective time of Quot
equal effective time of Quotation dossier plus 30 days.

+ Withdraw Quotation dossier after timely submission, Quotation dossier has been opened and still valid.
+ Within 10 days after receiving the Notification for Vendor selection result by HVN without proceeding or refusing
finalizing the contract or having already negotiated and finalized but refuses to sign the contract without any justifia
+ Do not take measure to contract performance security.

+ Vendor violates the prohibition (Article 35) must cancellation of the package
19 . Mở Hồ sơ báo giá
- Việc mở hồ sơ được tiến hành công khai ngay sau thời điểm hết hạn nộp hồ sơ theo thời gian và địa điểm quy đ
chứng kiến của những người có mặt và không phụ thuộc vào sự có mặt hay vắng mặt của các Nhà cung cấp đượ
- Sau khi mở hồ sơ, phòng Kế hoạch cung ứng quản lý bản gốc theo chế độ quản lý hồ sơ "mật". Việc đánh giá hồ
tiến hành theo bản chụp và đĩa CD.
19 . Opening Quotation dossier

20 . Đánh giá Hồ sơ báo giá
HSBG được đánh giá dựa theo tiêu chuẩn đánh giá và yêu cầu kỹ thuật nêu trong F1.2.
Loại bỏ hồ sơ không đáp ứng các điều kiện theo tiêu chí "đạt", "không đạt" và/hoặc có số điểm thấp hơn yêu cầu
điểm của Tiêu chuẩn đánh giá.
Nhà cung cấp đạt các tiêu chuẩn đánh giá, có giá chào sau giảm giá, sửa lỗi, hiệu chỉnh sai lệch hoặc có giá đánh
nhất sẽ được mời thương thảo, đàm phán hợp đồng.
Nhà cung cấp không được nhận lại hồ sơ sau thời điểm hết hạn nộp hồ sơ.
20 . Evaluation Quotation dossier
The Quotation dossier is evaluated base on evaluation criteria and specification requirement on F1.2.
Eliminate dossiers which are not satisfied method of evaluation by the ‘pass” or “fail” and/or have point less than mi
requirement.
Vendors who meet the criteria for evaluation, have a price after discount, corrected errors, flaws have been corrected
or have the lowest evaluated price will be invited to negotiate the contract..
Vendors can not receive their Quotation dossier after the expiration date.
21 . Làm rõ Hồ sơ báo giá
Nhà cung cấp không được tự ý thay đổi, bổ sung HSBG sau thời điểm hết hạn nộp hồ sơ.
HVN có quyền yêu cầu làm rõ mọi nội dung trong HSBG. Nhà cung cấp phải có trách nhiệm làm rõ HSBG khi có y
HVN.
Việc làm rõ được thực hiện dưới hình thức trao đổi trực tiếp (những nội dung hỏi và trả lời phải lập thành biên bả
tiếp (HVN gửi văn bản yêu cầu làm rõ và Nhà cung cấp phải trả lời bằng văn bản) hoặc thông qua email. Nội dun
một phần của HSBG. Trong văn bản yêu cầu làm rõ cần quy định thời hạn làm rõ của Nhà cung cấp. Trường hợp q
làm rõ mà Nhà cung cấp không trả lời hoặc HVN không nhận được văn bản làm rõ, hoặc Nhà cung cấp có văn bả
nhưng không đáp ứng được yêu cầu làm rõ thì sẽ bị đánh giá không đáp ứng yêu cầu.
Việc làm rõ HSBG chỉ được thực hiện giữa HVN và Nhà cung cấp có hồ sơ cần phải làm rõ.
21 . Clarify quotation dossier
Suppliers are not allowed to change or add to the quotation dossier after the expiration date.
HVN reserves the right to request clarification of all contents of the quotation dossier. Suppliers are responsible fo
the quotation dossier base on request of HVN.
The clarification communicate direct (the questions and answers must be recorded in minutes) or indirectly (HVN
written request for clarification and Supplier must reply in writing) Or via email. Content clarification is part of quo
dossier. The written request clarifies the need for a clarification period for the Supplier. In case of expiration of cla
period, the supplier does not reply or HVN does not receive the clarification document, or the supplier has clarifie
to satisfy the clarification requirement, it will be evaluated not satisfy request.
The clarification of quotation dossier is only made between HVN and the supplier whose records need clarificatio
22 . Sửa lỗi
Sửa lỗi là việc sửa lại những sai sót trong hồ sơ bao gồm lỗi số học, lỗi khác, lỗi nhầm đơn vị và được tiến hành th
tắc sau đây:
a) Đối với lỗi số học bao gồm những lỗi do thực hiện các phép tính cộng, trừ, nhân, chia không chính xác.
- Trường hợp không nhất quán giữa đơn giá và thành tiền thì lấy đơn giá làm cơ sở pháp lý cho việc sửa lỗi.
- Trường hợp không nhất quán giữa bảng giá tổng hợp và bảng giá chi tiết thì lấy bảng giá chi tiết làm cơ sở phá
sửa lỗi.
b) Đối với các lỗi khác
- Cột thành tiền được điền vào mà không có đơn giá tương ứng thì đơn giá được xác định bổ sung bằng cách chi
cho số lượng.
- Khi có đơn giá nhưng cột thành tiền bỏ trống thì thành tiền sẽ được xác định bổ sung bằng cách nhân số lượng
- Nếu một nội dung nào đó có điền đơn giá và thành tiền nhưng bỏ trống số lượng thì số lượng bỏ trống được x
sung bằng cách chia thành tiền cho đơn giá của nội dung đó. Trường hợp số lượng được xác định bổ sung nêu tr
số lượng nêu trong Hồ sơ mua hàng thì được coi là sai lệch về phạm vi cung cấp và được hiệu chỉnh theo quy địn
chỉnh sai lệch.
- Lỗi nhầm đơn vị: sử dụng dấu "," (dấu phẩy) thay cho dấu "." (dấu chấm) và ngược lại thì được sửa lại cho phù h
viết của Việt Nam.
22 . Error correction
Error correction involves correcting errors contained in the quotation dossier including numerical errors and other
calculating unit which shall be performed under the following rules:
a) Numerical errors include those incurred in the inaccurate operations of addition, subtraction, multiplication, div

23 . Hiệu chỉnh các sai lệch

Hiệu chỉnh các sai lệch là việc điều chỉnh những nội dung thiếu hoặc thừa trong HSBG so với yêu cầu của HSMH c
điều chỉnh những khác biệt giữa các phần của HSBG; giữa đề xuất kỹ thuật và đề xuất tài chính; giữa con số và ch
nội dung trong báo giá và các phần khác của HSBG. Việc hiệu chỉnh sai lệch được thực hiện như sau:
a) Trường hợp có những sai lệch về phạm vi cung cấp thì phần chào thiếu sẽ được cộng thêm vào, phần chào thừ
trừ đi theo nguyên tắc: nếu không thể tách ra trong báo giá của Nhà cung cấp đang tiến hành sửa sai lệch thì lấy
chào cao nhất đối với nội dung này (nếu chào thiếu) và lấy mức giá chào thấp nhất (nếu chào thừa) trong số các H
vượt qua bước đánh giá về mặt kỹ thuật. Trong trường hợp chỉ có một Nhà cung cấp duy nhất vượt qua bước đán
kỹ thuật thì tiến hành sửa sai lệch trên cơ sở lấy mức giá của Nhà cung cấp này (nếu có) hoặc của các HSBG hoặc
hàng được duyệt theo nguyên tắc lấy mức giá cao nhất (đối với chào thiếu) hoặc thấp nhất (đối với chào thừa) để
cho các nội dung nêu trên.
b) Trường hợp có sai lệch giữa những nội dung thuộc đề xuất kỹ thuật và nội dung thuộc đề xuất tài chính thì nội
đề xuất kỹ thuật sẽ là căn cứ cho việc hiệu chỉnh sai lệch.
c) Trường hợp không nhất quán giữa con số và chữ viết thì lấy chữ viết làm cơ sở pháp lý cho việc hiệu chỉnh sai l
d) Trường hợp có sự sai khác giữa giá ghi trong báo giá (không kể giảm giá) và giá trong biểu giá tổng hợp thì đư
là sai lệch và việc hiệu chỉnh sai lệch này được căn cứ vào giá ghi trong biểu giá tổng hợp sau khi được hiệu chỉnh
theo biểu giá chi tiết.
23 . Adjustment of deviation
Correcting deviations means adjusting the missing or surplus contents of the quotation dossier against the requirem

financial proposal; Between numbers and letters; Between content in quotation and other parts of quotation dossier.

+ Chi phí vận hành, bảo dưỡng;
+ Chi phí thiệt hại do chậm lịch trình giao hàng/ hoàn thành công việc xây dựng 1 ngày: ……… VND
+ Chất lượng (hiệu suất, công suất, tuổi thọ …);
+ Xuất xứ;
+ Các yếu tố khác (nếu có).
25 . determining evaluated price

26 . Xếp hạng và thương thảo hợp đồng
Nhà cung cấp có giá đánh giá nhỏ nhất được xếp thứ nhất và sẽ được gọi vào thương thảo hợp đồng
Việc thương thảo hợp đồng với Nhà cung cấp được chọn dựa trên cơ sở sau đây:
a) Kết quả đánh giá HSBG.
b) Mẫu hợp đồng đã điền đủ các thông tin cụ thể của gói hàng.
c) Các yêu cầu nêu trong HSMH.
d) Các nội dung nêu trong HSBG và giải thích làm rõ của Nhà cung cấp được chọn (nếu có)
e) Các nội dung cần được thương thảo, hoàn thiện hợp đồng giữa HVN và Nhà cung cấp được chọn.
Trường hợp thương thảo không thành công, HVN được quyền quyết định mời Nhà cung cấp xếp hạng tiếp theo v
thảo; trường hợp thương thảo với các Nhà cung cấp xếp hạng tiếp theo không thành công thì HVN được quyền q
hủy mua hàng.
26 . Ranking and contract negotiation
The supplier hase evaluation price is ranked first and will be called into the contract negotiation
Contract negotiations with the selected supplier basis on:
a) Result of evaluation quotation dossier.
b) The contract template filled out the package details.
c) Requirement in invitation dossier.
d) The contents stated in the quotation dossier and clarifications explained by the selected Supplier (if applicable).
e) The content need negotiated, finalization of the contract between HVN and selected suppliers.
In case of unsuccessful negotiations, HVN shall have the right to decide to invite the next ranking supplier to negotia
case of negotiation with the next ranking supplier failed, HVN is entitled to cancel the purchase decision.
27 . Xác định giá đề nghị ký hợp đồng
Giá đề nghị ký hợp đồng là giá trong báo giá sau giảm giá, sửa lỗi, hiệu chỉnh sai lệch và đàm phán về giá nhưng
giá gói hàng.

28 . Chuyển đổi sang một đồng tiền chung
Khi các HSBG hoặc một trong các HSBG báo giá bằng các loại đơn vị tiền tệ khác nhau thì sẽ phải chuyển đổi san
chung là đồng Việt Nam theo tỷ giá của Ngân hàng Ngoại Thương tại thời điểm hết hạn nộp hồ sơ để so sánh xế
28 . Convert to a common currency

29 . Revision or withdrawal of the quotation dossier
When the supplier wants to amend or withdraw the submitted dossier, the supplier must send a request written befo

30 . Thông báo kết quả lựa chọn Nhà cung cấp

Việc thông báo kết quả lựa chọn Nhà cung cấp được thực hiện ngay sau khi người có thẩm quyền phê duyệt kết
Nhà cung cấp.
Thông báo kết quả lựa chọn Nhà cung cấp được gửi cho tất cả Nhà cung cấp tham dự báo giá.
30 . Announcement of Supplier selection results
The notification of Supplier selection results shall be made immediately after the competent person approves the res
selection of Supplier.
Notice of Supplier selection results is sent to all Participated Suppliers for quotation.
31 . Bảo đảm thực hiện Hợp đồng
Trước khi hợp đồng có hiệu lực, Nhà cung cấp được chọn phải cung cấp một bảo đảm thực hiện hợp đồng theo h
bảo lãnh do ngân hàng hoặc tổ chức tín dụng hoạt động hợp pháp tại Việt Nam phát hành.
Giá trị bảo đảm thực hiện hợp đồng được quy định trong hợp đồng. Đối với hợp đồng có giá hợp đồng < 1 tỷ, gi
đảm thực hiện hợp đồng là 3%, hợp đồng có giá hợp đồng ≥ 1 tỷ, giá trị bảo đảm thực hiện hợp đồng là 5%.
Thời gian có hiệu lực của bảo đảm thực hiện hợp đồng phải kéo dài cho đến khi Nhà cung cấp chuyển sang thực
vụ bảo hành (nếu có)
Nhà cung cấp không được nhận lại bảo đảm thực hiện hợp đồng trong trường hợp sau:
- Từ chối thực hiện hợp đồng sau khi hợp đồng có hiệu lực;
- Vi phạm thỏa thuận trong hợp đồng;
- Thực hiện hợp đồng chậm tiến độ do lỗi của mình nhưng từ chối gia hạn hiệu lực của bảo đảm thực hiện hợp đ
31 . Contract performance guarantee

32 . Tiếp xúc với Chủ đầu tư
Các giao dịch giữa Nhà cung cấp và HVN đều phải thông qua Phòng Cung ứng.
Các cuộc họp giữa Nhà cung cấp và tổ chuyên gia đều phải được Phòng Cung ứng tổ chức và giám sát
32 . Contact with the Owner
Transactions between the supplier and HVN shall be through the purchase Dept.
Supplier and expert team meetings must be organized and supervised by the purchase Dept.
33 . Giải quyết kiến nghị
Trường hợp Nhà cung cấp có thắc mắc, kiến nghị về quá trình chào giá, đánh giá HSBG của HVN, HVN sẽ giải quy
gian sớm nhất có thể.
33 . Resolve the petition
If the supplier has any questions, recommendations on the offer price, evaluation process of quotation dossier of HVN
resolve as soon as possible.
34 . Xử lý tình huống
Các trường hợp phát sinh trong quá trình lựa chọn Nhà cung cấp, HVN có quyền đưa ra Xử lý tình huống dựa trên
Đảm bảo lợi ích kinh tế, công bằng, minh bạch.

In cases of selection of suppliers, HVN has the right to put forward the case management based on the principle of e
economic, fair and transparent benefits.
35 . Hủy mua hàng
HVN có quyền thông báo hủy mua hàng trong các trường hợp sau đây mà không phải trả bất kỳ một khoản phí n
cung cấp tham dự nộp HSBG được hiểu là đồng ý:
- Tất cả HSBG không đáp ứng được các yêu cầu nêu trong HSMH;
- Thay đổi mục tiêu, phạm vi đầu tư đã ghi trong HSMH;
- Không có Nhà cung cấp nộp HSBG;
- Có bằng chứng về việc đưa, nhận, môi giới hối lộ, thông đồng, gian lận, lợi dụng chức vụ, quyền hạn để can thiệ
vào hoạt động mua hàng dẫn đến làm sai lệch kết quả lựa chọn Nhà cung cấp.
- Các trường hợp khác mà việc tiếp tục mua hàng ảnh hưởng đến lợi ích kinh tế của HVN;
35 . Cancel purchase
HVN can cancel in the following cases without paying any fees and the supplier submited the quotation dossier is de
agree:
- All quotation dossier did not meet the requirements in the invitation dossier;
- Changing the targets and scope of investment stated in the invitation dossier;
- No Supplier submits quotation dossier;
- There is evidence of taking, receiving, mediating bribes, collusion, cheating, abuse of position and authority to inter
negatively in purchasing activities that distort Supplier selection results.
- Other cases but continued purchase affects the economic benefits of HVN;
36 . Các hành vi bị cấm
Đưa, nhận, môi giới hối lộ.
Thông đồng, bao gồm các hành vi sau đây:
- Thỏa thuận về việc rút HSBG được nộp trước đó để một hoặc các bên tham gia thỏa thuận được chọn;
- Thỏa thuận để một hoặc nhiều bên chuẩn bị HSBG cho các bên tham dự chào giá để một bên được chọn;
- Thỏa thuận về việc từ chối cung cấp hàng hóa hoặc các hình thức gây khó khăn khác cho các bên không tham g
thuận.
Gian lận, bao gồm các hành vi sau đây:
- Trình bày sai một cách cố ý hoặc làm sai lệch thông tin, hồ sơ, tài liệu của một bên trong chào giá nhằm thu đư
chính hoặc lợi ích khác hoặc nhằm trốn tránh bất kỳ một nghĩa vụ nào;
- Nhà cung cấp cố ý cung cấp các thông tin không trung thực trong HSBG làm sai lệch kết quả lựa chọn Nhà cung
Cản trở bằng cách: Hủy hoại, lừa dối, thay đổi, che giấu chứng cứ hoặc báo cáo sai sự thật; đe dọa, quấy rối hoặc
bất kỳ bên nào nhằm ngăn chặn việc làm rõ hành vi đưa, nhận, môi giới hối lộ, gian lận hoặc thông đồng.
36 .Prohibited acts
The handing, taking, brokerage of bribes.
