CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This Contract To Sell, made and entered into this ___ of November 2018,
by and between:

JUAN DELA CRUZ, of legal age, married to JUANA DELA CRUZ, with
residence and postal address at 123 Asawa ni Marie Street, United Village,
Parañaque City, hereinafter referred to as the VENDOR;

-and-

JOHN DOE, of legal age, single, Filipino, and with residence and postal
address at Unit 456 Walapan 3 Condominium, Capt. Barbel Street, Pasig
City, hereinafter referred to as the VENDEE;

WITNESSETH:

WHEREAS, the VENDOR is the lawful and registered owner of a parcel of land
consisting of SEVEN HUNDRED FORTY (740) square meters, more or less, located at
Lot 17 Block 33, Araw Gabi Executive Village, Barangay Yayamanin, Taguig City, and
covered by Transfer Certificate of Title No. 13768 issued by the Registry of Deeds of
Taguig City. Such parcel of land is more particularly described as follows:

“A parcel of land (Lot 17, Blk. 33 of the cons. Subd. Plan, Pcs-13-000484, being a
portion of the cons. of Lot 1-B (LRC) Psd-106434, Lot 501-B, Swo-13-000076, (LRC)
Pcn-1312, and Lot 500,MCadm-590-D, Taguig Cadastral Mapping (Swo-13-000077),
LRC Rec. No. 26859, 3548 & C-8052), situated in the Bo. of Wawa, Mun. of Taguig,
Metro Manila. Bounded on the NW., along line 1-2 by Lot 19, Blk. 33 on the NE., along
line 4-1 by Lot 18. Both of Blk. 33, all of the cons. subd. Plan. Beginning at a point
marked 1 on plan, being S. 14 deg. 17’E., 18.24.38 m. from BLLM 1, Taguig Cad;
thence N. 20 deg. 38’E. 20.00 m. to point 2; (over) S. 69 deg. 22’E, 12.00 m. to point
3; S. 20 deg. 38’W., 20.00 m. to point 4; N. 69 deg. 22’W, 12.00 m. to the point of
beginning; containing an area of TWO HUNDRED FORTY(240) SQUARE METERS. All
points referred to are indicated on the plan and marked on the ground by PS cyl. conc.
mons., bearings true; date of orig. sur., May 10, 1953, that of cons. subd. sur. Feb. 1-
28, 1985, approved on Nov. 5, 1985.”

WHEREAS, the VENDEE has offered to purchase the above described property
through a PAG-IBIG housing loan;

WHEREAS, the VENDOR is willing to grant the VENDEE this request, and has
agreed to sell the property under the terms and conditions herein below set forth;

NOW THEREFORE, for and in consideration of the foregoing premises and the
payment of the agreed purchase price in the manner and form herein stipulated, the
VENDOR agrees to SELL, TRANSFER and CONVEY unto the VENDEE, his heirs,
assigns and successors-in-interest, and the VENDEE hereby agrees to BUY the
aforesaid property subject to the following terms and conditions:

1. The total consideration shall be EIGHTEEN MILLION PESOS


(PHP18,000,000.00), payable as follows:

a. The amount of ONE HUNDRED THOUSAND PESOS
(PHP100,000.00), representing earnest money shall be payable
by the VENDEE to the VENDOR upon signing of this Contract to
Sell;

b. The VENDEE shall apply for a housing loan with PAG-IBIG in the
amount of SEVENTEEN MILLION NINE HUNDRED THOUSAND
PESOS (PHP17,900,000.00) to pay the VENDOR for the parcel of
land above mentioned. The proceeds of the PAG-IBIG housing
loan shall be paid to and in the name of the VENDOR;

c. For purposes of the loan, the VENDOR shall allow the transfer of
the title in the name of the VENDEE, but only after the
issuance of a letter of guarantee from PAG-IBIG.

2. The Capital Gains Tax, Documentary Stamp Tax, and Real Estate Tax up to
the time of sale shall be for the account of the VENDOR;

3. The Transfer Tax, Notarization Fees, Registration Fee, registration expenses,


and all other miscellaneous fees and expenses shall be for the account of the
VENDEE;

4. Possession of the subject property shall be delivered by the VENDOR to the


VENDEE upon full payment of the total consideration;

5. Upon full payment of the total purchase price, the VENDOR shall sign and
execute a DEED OF ABSOLUTE SALE in favor of the VENDEE. The
VENDOR shall likewise execute and/or deliver any and all documents,
including but not limited to the original copy of the Transfer Certificate of
Title, Tax Declaration and all other documents necessary for the transfer of
ownership from VENDOR to the VENDEE, unless PAG-IBIG requires
otherwise.

6. In case the VENDOR could not fulfill any of the obligations stated in this
Contract to Sell, the VENDEE shall be entitled to a full refund.

7. This Contract shall be binding upon the heirs, successors, executor,


administrators and assigns of the respective parties hereto.

8. The parties hereby mutually agree to sign, execute, acknowledge, seal and
deliver any such further documents, instruments, agreements, papers and
other writing as may be necessary to carry into full effect this Contract To
Sell.

IN WITNESS WHEREOF, the parties have hereunto set their hands this ___ day
of November 2018, in Taguig City, Philippines.
